AMENDMENT NO . 1
This is an Amendment to the existing Engineering Services Agreement (AGREEMENT) dated
October 7 , 2003 between Carter Associates , Inc . ( ENGINEER) and Indian River County ( COUNTY) .
This Amendment addresses changes in " Section I — Project Limits and Description ", " Section III - Scope
of Services " , " Section IV Time for Completion" , " Section V - Compensation " , and " Section XVI
Duration of Agreement . "
SECTION I - PROJECT LIMITS AND DESCRIPTION
Professional services are required to revise the plans previously produced by the ENGINEER
( dated March 2004 ) to reduce the 5 - lane section to a 3 - lane section from 8 `" Street to 16'x' Street with right
turn lanes at 8 "i, 12 "', and 16"' Streets , to terminate the project at the existing 5 -lane pavement width south
of SR -60 ( in the vicinity of the Cumberland Farms store) , to provide mast -arm signals at the 8 `", 12 ' x , and
16 °i Street/43r" Avenue intersections , and to delete the planned improvements on 44' x' Avenue . Services
include incorporating these scope changes into the project plans and modifying the necessary permits .
SECTION III - SCOPE OF SERVICES
A . Specific Tasks
Services to be provided by the ENGINEER for these proposed changes are more
specifically described as follows :
I . Roadway Geometry Revisions -- ENGINEER will revise the roadway plans to
transition the pavement and striping to match the existing 43rd Avenue 5 - lane
roadway width south of the S . R . 60 intersection . The previous design and details
for 43 "' Avenue improvements through the SR60 intersection will be removed
from the construction drawings . The new project limits will end where the new
paving and striping transitions match the existing roadway .
2 . Typical Section Revisions ENGINEER will revise the typical pavement
section from 8 ° to 16 ` ' Streets to eliminate the outside travel lanes in each
direction . The conceptual ( 30% design ) drawings will include single eleven - foot
wide travel lanes , three - foot wide paved shoulders , and the twelve-foot center
multi -use left -turn lane . The six -foot wide sidewalks will remain on both sides ,
one -foot inside the limits of the typical 80 - foot ROW , and a grass strip will be
provided between the sidewalks and the new backs of the curbs .
3 . 44 "' Avenue Revisions — ENGINEER will remove the 44 °i Avenue design and
details from the construction drawings . The previously contracted scope of work
associated with the 44 °i Avenue drainage improvements is hereby removed from
the Engineering Services Agreement .
4 . Stormwater Management System Revisions The current stornnwater
management ponds , pipes , and structures will be preserved as designed for the S -
lane roadway . ENGINEER will add new concrete flumes , ditch bottom inlets ,
and pipes to convey the runoff from the revised 3 - lane roadway into the current
system . The current curb inlet P -tops will be replaced with man - hole lids that

will provide access to the drainage structures in the new configuration , and can
be replaced with the P -tops in the future . ENGINEER will revise the stormwater
management calculations to eliminate the drainage basins outside the new project
limits , and will revise the stonnwater management report to properly describe the
revised scope of the work .
5 . Cross-Sections — ENGINEER will revise cross - sections which are provided
every 100 feet of the project length to reflect the proposed design changes . Cut
and fill calculations will be revised based on the new typical sections .
6 . Signing and Marking — ENGINEER will revise signing and marking plans
based on the County Traffic Engineer ' s "mark-ups" to reflect the proposed
roadway changes . The County Traffic Engineer, Chris Mora , will sign and seal
all revised drawings , as necessary .
7 . Signalization —ENGINEER will revise the signalization plans based on the
County Traffic Engineer ' s "mark-ups" to provide mast -arm signals in lieu of the
previously designed span -wire signals at the 8 "i, 12 "'. and 16 °' Street/43 `d Avenue
intersections . The COUNTY shall be responsible for obtaining easements or
rights-of-way to accommodate the mast arm foundations . Mast ann foundations
shall be located to avoid conflict with existing and/or proposed utilities and
drainage features . The County Traffic Engineer, Chris Mora , will sign and seal
all revised drawings , as necessary .
8 . Landscaping — ENGINEER will revise landscape construction drawings to
reflect the proposed changes .
9 . Construction Phasing / Maintenance of Traffic Plans ENGINEER will
remove the construction phasing plans from the construction drawings and will
provide general notes to describe the general requirements for the contractor ' s
maintenance of traffic operations . The contractor will be required to submit
construction phasing / maintenance of traffic plans to the COUNTY for approval .
10 . Sedimentation and Erosion Control Plans ENGINEER will provide
sedimentation and erosion control plans , as required for NPDES permitting by
the contractor.
if . Computation Notes ENGINEER provide computation notes for quantities of
major elements of the construction ( e . g . asphalt , base , sod , turn -outs ) from station
to station to assist the COUNTY in verifying the contractor ' s applications for
payment during the construction of the project .
12 . Public Meeting ENGINEER will attend a public meeting, to be arranged by
the COUNTY , to assist the COUNTY in answering questions related to the
proposed revised roadway layout .
13 . Revise Miscellaneous Drawings In addition to the drawing revisions already
mentioned , ENGINEER will revise the following miscellaneous drawings , as
required :

14 . Permitting — ENGINEER shall prepare and submit applications for permit
modifications with the SJRWMD and the IRFWCD for construction of the
proposed project . ENGINEER shall prepare the applications for signature by the
COUNTY and shall provide the necessary exhibits , including permit sketches ,
construction drawings and calculations as required for the permit applications .
The COUNTY shall provide application fees as required for the permit
application submittals . The previously contracted scope of services associated
with FDOT permitting is hereby removed from the Engineering Services
Agreement .
15 . County Review/Submittals — ENGINEER will prepare and submit conceptual
( 30% design) , preliminary ( 60% design ) and final ( 100 % design ) design
drawings to COUNTY for review and comment . In general , following each
submittal , the COUNTY will provide review comments in writing to
ENGINEER . ENGINEER will meet with the COUNTY to discuss the
COUNTY ' S review comments (if required) and ENGINEER will provide written
responses to the COUNTY ' S continents . ENGINEER will incorporate the
COUNTY ' S review comments into the design drawings , where applicable .
A . The conceptual drawings shall include revised typical sections and plan view
of roadway layout including side streets , driveways , sidewalks and striping .
B . The preliminary design drawings will include revised plan/profile sheets ,
cross - sections , signing and marking plans , signalization plans , and
landscaping plans , along with revised miscellaneous sheets .
SECTION IV - TIME FOR COMPLETION
The time for completion of the conceptual ( 30% design ) drawings shall be six ( 6 ) weeks . After
COUNTY review , the time for completion of the preliminary ( 60 % design) drawings , calculations , and
permit applications shall be ten ( 10 ) weeks . After COUNTY review , the time for completion of the final
( 100 % design ) drawings , shall be six (6 ) weeks . After COUNTY review and receipt of permits , the time
for completion of the bid documents ( drawings and specifications ) shall be six ( 6 ) weeks .
SECTION V - COMPENSATION
Fees for Amendment No . l professional services are $ 55 , 000 . 00 , lump sum . This fee when added
to the original professional services fee of $ 232 , 000 . 00 results in a new total fee of $287 , 000 ,00 .
SECTION XVI - DURATION OF AGREEMENT
The AGREEMENT shall remain in full force and effect for a period of three ( 3 ) years after the
date of execution of this Amendment or until completion of all project phases as specified by the Public
Works Director, whichever occurs first , or unless othenvise terminated by mutual consent of the parties
hereto or pursuant to Section X11 of the AGREEMENT .

The AGREEMENT is hereby amended as specifically set forth here in . All other sections of the
AGREEMENT shall remain in full force and effect and are incorporated herein .
This Amendment No . 1 to the AGREEMENT regardless of where executed, shall be governed by
and construed by the laws of the State of Florida .
IN WITNESS WHEREOF the parties have executed this Amendment this 29th day of
March 2005 .
