This Amendment Number 2 to Work Order 4 ( "Amendment" ) is entered into as of 7
this day of December 5 , 2006 (" Effective Date") pursuant to that certain Continuing
Contract Agreement for Professional Services entered into as of Aril 6, 2004
( "Agreement" ) , by and between Indian River County, a political subdivision of the State of
Florida (" COUNTY" ) and Kimley-Horn and Associates Inc. (" CONSULTANT' ) .
1 . The COUNTY has selected the Consultant to perform the professional
services set forth in Work Order Number 4 dated April 13, 2004 .
2 . The COUNTY and the Consultant desire to amend Work Order Number 4
as set forth in Attachment 1 attached to this Amendment and made a part hereof by this
reference, all in accordance with the terms and provisions set forth in the Agreement .
3 . From and after the Effective Date of this Amendment, Work Order Number
4 is amended as set forth in this Amendment. Pursuant to paragraph 1 . 4 of the Agreement,
nothing contained in any Work Order shall conflict with the terms of the Agreement and the
terms of the Agreement shall be deemed to be incorporated in each individual Work Order
as if fully set forth herein .
IN WITNESS WHEREOF , the parties hereto have executed this Amendment as of
the Effective Date first written above .

Project Description and Understandin¢
This Amendment Number 2 modifies the scope of work in Work Order 94 and Amendment Number I to
Work Order #4 for additional design and permitting for the Horizontal Directional Drill (HDD)
installation of the Sub-Aqueous Utility Relocations, crossing the Wabasso River. The following scope of
services consists of revising the plans to make the previously designed reclaimed (IQM or reuse)
watermain into the presently proposed forcemain crossing of the Wabasso Causeway (CR510) from the
mainland to the barrier island, and to design new watermain segments between the previously design
HDD installations . The existing 12-inch forcemain and 12-inch watermain will be taken out of service,
and used as a reclaimed watermain in the future. A new general permit for this forcemain construction is
required for this proposed change to the original plan.
SCOPE OF SERVICES
The Scope of Services for Amendment #2 to Work Order 44 consists of the following :
Task 1 .0 — Meetings and Project Permit Coordination
No change to the previously approved Work Order for this task. This task is complete.
Task 2.0 — Collection of Existing Data
No change to the previously approved original Work Order for this task. This task is complete.
Task 3.0 — Field Survey, Geotechnical Exploration, and Environmental Data Collection
No change to the previously approved Work Order and Amendment one for this task. This task is
complete.
The consultant will provide Additional Survey that is required in the vicinity of the Marsh island entrance
to locate the existing watermain and forcemain, which was not included in the original scope of this
project. This area includes an environmentally sensitive area that will be located and shown on the survey
to design the project for the construction to avoid this area, as the existing permit application described
that all construction would occur in upland areas. The Consultant will provide Environmental Resource
Permitting services in this area if necessary, as Additional Services.
Task 4.0 — Design
The previously approved Work Order and Amendment one for this task is complete, and is amended as
follows .
The Consultant will revise the reuse design plans to make the pipe on the south side on the causeway the
proposed forcemain pipe, and design new watermain segments between the previously designed HDD
installations. This will allow the conversion of the existing watermain and the existing forcemain into the
IQM transmission piping that crosses the Indian River along the CR 510 causeway. Revisions to the
plans consist of adding an additional design sheet, revising the design sheets to show the entire length of
the causeway, to show tie-ins at each end of the project, designing tie-ins for the existing branches on the
forcemain at Marsh Island, Wabasso Island Road, and the Indian River County Boat Ramp facility near

the middle of the causeway for the new watermain and forcemain.
Task 5.0 - Environmental Permitting
No change to the previously approved Work Order and Amendment one for this task. This task is
complete.
Task 6.0 - Permitting and Agency Coordination
No change to the previously approved Work Order for this task. This task is complete .
Task 7.0 — Construction Permitting
The previously approved Work Order and Amendment one for this task is amended as follows .
The general permit for the original forcemain design has been issued. This general permit does not allow
for deviations to the construction similar to this reconfiguration. Therefore, a new general permit for the
forcemain is required for this change in the original design.
The Consultant will prepare and submit the construction general permit application required through the
Florida Department of Environmental Protection (FDEP) for the forcemain construction on the FDEP
form 62-604. 300(8)(x) . The Consultant will pay the $250 application fee to the FDEP . Construction
drawings will be submitted as part of the permit application. Consultant will respond to reasonable
comments from the FDEP during the 30-day permit processing period.
The Consultant will pay the $500 specific permit application fees for each of the required FEDP specific
permits for the watermain construction, along with the preparation and submittal of the information
required in F.A. C . rule 62-555 -520(4).
Task 8.0 — Construction Phase Services
The previously approved Work Order and Amendment one for this task is amended as follows.
The Consultant will provide oversight of the installation of the installation of the underground installation
of the new watermain the existing 12-inch forcemain piping for the following additional services, as part
of this Amendment and revised design.
The original scope of services for construction observations was based on the installation of three parallel
pipes with two drill rigs operating simultaneously. The contract documents will be revised to allow the
contractor to construct the project with one drill rig, instead of two, as originally specified. The contract
construction duration of 10-months will be increased to 12-months for the additional watermain
construction. This will result in the two additional months of construction observations as provided in the
original scope of services for the eight directional drills.
The Consultant will make up to two (2) revisions to the IRCU' s contract documents prior to bidding this
project. Any additional revisions to the IRCU' s contract documents during the construction phase can be
provided by the Consultant, as Additional Services.
The Consultant's visits will be for the purpose of endeavoring to provide IRCU a greater degree of
confidence that the completed work of its contractors will generally conform to the construction
documents prepared by the Consultant. The Consultant neither guarantees the performance of
contractors, nor assumes responsibility for any contractor' s failure to perform its work in accordance with
the contract documents. Work that the Consultant believes does not comply with the contract documents
will be brought to the attention of IRCU and the contractor. The Consultant shall have no responsibility
for any contractor's means, methods, techniques, equipment choice and usage, sequence, schedule, safety

programs, or safety practices, nor shall the Consultant have any authority or responsibility to stop or
direct the work of any contractor.
While it is not anticipated that there will be hazardous materials or conditions encountered on this project,
should any such conditions be discovered during this scope of services, the Consultant shall notify IRCU
of hazardous substances or conditions not contemplated in this Scope of services of which the Consultant
actually becomes aware . Upon such notice by the Consultant, the Consultant may stop affected portions
of its services until the hazardous substance or condition is eliminated. The parties shall decide if the
Consultant is to proceed with the services and if the Consultant is to conduct testing and evaluations, and
the parties may enter into further agreements as to the additional scope, fee, and terms for such services .
ASSUMPTIONS and Additional Services
L It is assumed that ground-water, sediment quality, and surface water quality data monitoring in the
project area will not be necessary and is not provided under this scope.
2 . Surveying and bathymetry outside of existing available data and beyond the scope listed herein can be
provided, as additional services .
3 . Monitoring beyond what is listed herein and as defined by the DEP during the ERP process.
4. Environmental Resource Permitting services in vicinity of Marsh Island, if necessary.
SCHEDULE
The scope described herein is anticipated to take approximately ten to fourteen months from notice to
proceed. Kimley-Horn will work diligently to have the permitting scope complete within two months,
and bid the project concurrently with the permitting process in order for construction to commence prior
to hurricane season. However, permitting agency review, bidding, and contractor delays are beyond our
control and make take longer than anticipated.
Permitting and bidding: 2 - 4 months
Construction: 10 - 12 months
Total t2 - 16 months
FEES
Consultant will provide these services in accordance with our non-exclusive professional Consulting
Agreement dated April 6, 2004 . Consultant will provide these Services as described herein on a lump
sum basis as follows :
