AMENDMENT NUMBER 2 TO WORK ORDER NUMBER 1 This Amendment Number 2 to work Order Number 1 ("Amendment") is entered into as of this 12th day of September 2006 ("Effective Date") pursuant to that certain Continuing Contract Agreement for Professional Services dated entered into as of August 12 , 2003 ("Agreement') , by and between Indian River County, a political subdivision of the State of Florida ("COUNTY") AND Ecotech Consultants, Inc . ("CONSULTANT") . 1 . The COUNTY has selected the Consultant to perform the professional services set forth in Work Order Number 1 dated November 16 , 2004 . 2 . The COUNTY and the Consultant desire to amend Work Order Number 1 as set forth in Exhibit 1 attached to this Amendment and made a part hereof by this reference, all in accordance with the terms and provisions set forth in the Agreement. 3 . From and after the Effective Date of this Amendment, Work Order Number 1 is amended as set forth in this Amendment. Pursuant to paragraph 1 .4 of the Agreement, nothing contained in any Work Order shall conflict with the terms of the Agreement and the terms of the Agreement shall be deemed to be incorporated in each individual Work Order as if fully set forth herein. Fell, Assistant un Attorney EXHIBIT 1 ATTACHMENT INDIAN RIVER UTILITIES DEPARTMENT NORTH COUNTY BRINE DISPOSAL SCOPE OF SERVICES Amendment No . 2 modifies the scope of work in Work Order No . 1 as issued to Ecotech Consultants, Inc. for assisting the County with responding to request for additional information (RAI) received from the Florida Department of Environmental Protection (FDEP), meetings with FDEP in Tallahassee, and the preparation of a mitigation plan for the Spoonbill Marsh using a portion of the Lost Tree Islands property. Amendment No. 2 is being implemented at this time to provide professional environmental and engineering services by Ecotech Consultants, Inc . and Masteller & Moler, Inc . associated with the project described above. The additional work to be performed as part of this Amendment will generally included preparation of responses to RAI questions, meetings with FDEP, and the preparation of mitigation plans . A brief description of the scope of services for Amendment No . 2 is provided below : Task 1 . FDEP Tallahassee Presentation Ecotech Consultants, Inc . (ETC) will prepare a power point presentation outlining the design and design rationale for the project. ETC will meet with Mr. Mike Sole and the administrative staff of the technical departments within the Tallahassee FDEP office. The deliverables for this task will include a summary memo outlining the discussion with FDEP . Task 2 . Investigate ERP Optional Design ETC will meet with the FDEP UMAM and ERP staff on the project site to discuss the environmental aspects of the project, especially as they relate to mitigation. ETC will, with prior concurrence by the County, modify the Industrial Waste Permit (IWP) to reflect the changes agreed to by FDEP based on the on-site meeting. Page 1 of 6 The deliverables for this task will include two copies of the draft IWP application for review by the County. ETC will modify the draft application as appropriate in response to comments received from the County, after the County completes their review of the draft application. Task 3 . ERP Lost Tree Conceptual Design ETC will meet with Ms. Beth Powell to discuss the use of a portion of the Lost Tree Island tract owned by the County for mitigation of the Spoonbill Project. ETC will prepare a conceptual mitigation plan using a portion of the Lost Tree acreage. The plan , once approved by the County, will be presented to FDEP in Orlando . The deliverables for this task will include a description of the plan. Task 4. IWP/ERP Meetings ETC will meet with FDEP, the U. S . Army Corps of Engineers, the U. S . Fish & Wildlife Service, and the St. Johns Water Management District to discuss the four RAI letters received for the Spoonbill project. The deliverables for this task will include a letter summarizing the information discussed during these meetings . Task 5. ERP Lost Tree Plan (if necessary) If mitigation is required, then ETC will design the Lost Tree mitigation plan and will modify the ERP application to include this plan. One copy of the draft plan will be provided to the County for review . ETC will modify the plan as appropriate in response to comments received from the County, after the County completes their review of the draft plan. ETC will provide the County with one copy of the modified plan . Task 6. ERP RAI Response ETC will assist the County with preparation of a response letter addressing the issues in the request for additional information received from FDEP . One copy of the draft RAI response letter will be provided to the County for review . ETC will modify the draft response letter as appropriate relative to comments received from the County, after the County completes their review of the draft response letter. ETC will provide the County with Page 2 of 6 one copy of the letter as sent to FDEP . Task 7. IWP RAI Response ETC will assist the County with preparation of a response letter addressing the issues in the request for additional information received from FDEP . One copy of the draft RAI response letter will be provided to the County for review . ETC will modify the draft response letter as appropriate relative to comments received from the County, after the County completes their review of the draft response letter. ETC will provide the County with one copy of the letter as sent to FDEP . Task 8. Engineering Servives Masteller & Moler, Inc. will assist ETC with the preparation of responses to the FDEP RAI questions and with the preparation of the mitigation plans . This work will be included with the deliverables associated with tasks 5 , 6 , and 7 above . Team proposes to complete the Scope of Services described in Amendment No . 2 , Attachment I for the lump sum amount of$35 ,640 .00 . This increases the overall cost of Work Order No . 1 from $206 , 580. 00 to $242 ,220. 00 . An approximate breakdown of this lump sum amount, by task, is presented below. The time needed to complete each of the tasks described in Attachment 1 by Ecotech Consultants, Inc . and the County can be reasonably estimated as shown below with the limitation that neither the County nor Ecotech Consultants, Inc. can control the phase of the permitting process controlled by the Florida Department of Environmental Protection, the St . Johns River Water Management District, or the U. S . Army Corps of Engineers .
