AMENDMENT NUMBER 2 TO
WORK ORDER NUMBER 1
This Amendment to Work Order Number 1 is entered into as of this 15th day of
September 2009 pursuant to that certain Continuing Contract Agreement for Professional
Services entered into as of August 10 , 2004 and amended effective July 24 , 2007 ( as so amended ,
the "Agreement" ) , by and between Indian River County Solid Waste Disposal District , a dependent
special district of Indian River County , Florida ( " District" ) and Brown and Caldwell ( Corporation ) , a
California Corporation ( " Consultant " ) .
The District has selected the Consultant to perform the professional services set forth on
Exhibit 1 , attached to this Work Order and made part hereof by this reference . The professional
services will be performed by the Consultant for the fee schedule set forth in Exhibit 1 and within
the
timeframe more particularly set forth in Exhibit 1 , all in accordance with the terms and provisions
set
forth in the Agreement . Pursuant to paragraph 1 . 4 of the Agreement , nothing contained in any
Work Order shall conflict with the terms of the Agreement and the terms of the Agreement shall be
deemed to be incorporated in each individual Work Order as if fully set forth herein .
IN WITNESS WHEREOF , the parties hereto have executed this Amendment to Work Order
as of the date first written above .

Dear Mr. Mehta:
Enclosed please find the Brown and Caldwell team's proposal for Amendment 2 work
associated with the Fellsmere Convenience Center project. As discussed with you
previously, Amendment 2 work includes additional services provided by Brown and
Caldwell, Carter and Associates , Inc . and other subconsultants as a result of project
changes and delays that have occurred since construction began in July 2008 . A more
detailed discussion of the Amendment 2 Scope of Services is provided as Attachment 1
to this letter. The revised Project Budget and Project Schedule are included as
Attachments 2 and 3 , respectively.
Please review the attached material and let me know if there are any questions
or
concerns . Please note that a portion of the engineering costs covered by this
Amendment 2 are being reimbursed through a deductive change order from the
Contractor as provided for in the SWDD 's construction contract with the Contractor.

INDIAN RIVER COUNTY SOLID WASTE DISPOSAL DISTRICT
FELLSMERE CONVENIENCE CENTER EXPANSION
SCOPE OF SERVICES
Amendment No . 2 modifies the scope of work in Brown and Caldwell ' s Work Order No . 1 for
planning, design , permitting, and construction of an expansion to the existing Fellsmere
Convenience Center located at 12510 C . R . 512 to include additional engineering services requested
by Indian River County during construction as well as additional construction phase services
provided due to the extended duration of the project. The following paragraphs describe the work
to be authorized in Amendment No . 2 .
TASK 1 - PROJECT MANAGEMENT
Additional work activities to be completed under Task 1 include the following :
1 . Contract Administration - Prepare contract and subcontract amendments . Update project
control data and continue monitoring of manpower and budgetary resources for a period of
an additional eight ( 8 ) months .
2 . Proiect Coordination - Prepare for and attend one ( 1 ) project coordination meeting with
County staff and the Contractor to discuss design requirements for the canopy and
monument sign improvements .
TASK 2 - SITE INVESTIGATIONS
Amendment No . 2 does not require any additional work under Task 2 .
TASK 3 - PRELIMINARY DESIGN PHASE
Amendment No . 2 does not require any additional work under Task 3 .
TASK 4 - SITE PLAN APPROVAL
Amendment No . 2 does not require any additional work under Task 4 .
TASK 5 - CONSTRUCTION PLANS AND SPECIFICATIONS
Additional work activities to be completed under Task 5 include the following .
1 . Structural Design of Canopy and Foundations - Prepare a conceptual structural design and
layout for the canopy, sufficient in scope and detail to prepare a planning level cost estimate

for the improvements required . Coordinate with the Contractor , as needed, regarding
constructability issues that could influence the feasibility of alternative designs .
2 . Architectural and Structural Design of Monument Sign — Coordinate with the Contractor to
develop a planning level cost estimate for construction of the monument sign . Cost
estimating to be based on a monument sign similar to the existing monument sign designed
previously for the Indian River County Utility Department ' s Operations Complex .
3 . LandscaRing — Attend meetings , prepare documentation, and obtain approvals to modify
landscaping to reflect Florida Friendly Landscaping changes requested by Indian River
County subsequent to Contracting .
4 . Utility Conflict Resolution — Design of a conflict structure to resolve a wastewater force
main and a storm sewer conflict discovered during construction.
5 . Electrical Power Service — Redesign the FPL service at the site from above ground to below
ground.
6 . Right-of-Way Improvements — Re- engineering of the following right-of- way improvements
at the direction of Indian River County Engineering:
a . Stormwater crossings under 125`h Drive and 126`h Avenue .
b . Modifications to air relief valve structure .
Please note that all of the design revisions noted above are in response to requests made by the
Indian River County SWDD or by Indian River County Engineering subsequent to issuance of
permits and during construction of the project .
TASK 6 — PERNUTTING
Amendment No . 2 does not require any additional work under Task 6 .
TASK 7 — BIDDING SERVICES
Amendment No . 2 does not require any additional work under Task 7 .
TASK 8 — CONSTRUCTION PHASE SERVICES
Additional work activities to be completed under Task 8 include the following:
1 . Additional Construction Observation Due to Extended Duration of Project. Provide eight
( 8 ) months of construction observation and coordination with the Contractor for additional
services provided during the extended duration of the project . Conduct periodic construction
oversight and monitoring. Respond to Requests for Information (RFIs ) from the Contractor,
approve Contractor pay requests and attend monthly coordination meetings with the

Contractor at the project site . Please note that approximately four ( 4 ) months of this
extended project duration is due to changes in the project scope requested by the SWDD and
that the remainder is due to weather and other Contractor delays . Additional engineering
costs associated with the Contractor delays are being reimbursed to the SWDD as a
deductive change order by the Contractor.
TASK 9 — OFF SITE ROADWAY IMPROVEMENTS
Amendment No . 2 does not require any additional work under Task 9 .
TASK 10 — REIMBURSABLE EXPENSES
Additional work activities to be completed under Task 10 include the following:
1 . Reimbursables : Direct reproduction costs , communications , mileage , postage, express mail ,
etc . attributable to the completion of this project will be billed to the Client in accordance
with contract terms and conditions and shall not exceed the amount indicated for this Task in
Attachment 2 .

PROJECT BUDGET
The BC Team proposes to complete the Scope of Services described in Amendment No . 2 ,
Attachment 1 for the lump sum amount of $21 ,000 . This increases the overall cost of Work
Order No . 1 from $ 190, 875 to $ 211 , 875 . An approximate breakdown of this lump sum amount ,
by task, is presented below .
