AMENDMENT NO. 3 TO THE PROFESSIONAL
ENGINEERING SERVICES AGREEMENT
66TH AVENUE PAVING AND DRAINAGE IMPROVEMENTS
BETWEEN SR 60 AND 4TH STREET

THIS is an amendment to the existing AGREEMENT dated NOVEMBER 17, 1998 , including
AMENDMENT NUMBER 1 AND AMENDMENT NUMBER 2, between CARTER ASSOCIATES , INC .
(ENGINEER) and INDIAN RIVER COUNTY (COUNTY) . The proposed scope of work generally includes
final design of roadway and drainage improvements, permitting, and construction phase services . The re-
design will be based on the new alignment prepared under Amendment No . 2 of the existing agreement . All
provisions of the original Professional Engineering Services Agreement including Amendment Nos . 1 and 2
shall remain in full force and effect, unless otherwise specifically modified. This amendment addresses
changes in "FINAL DESIGN AND PERMITTING", "CAI CONSTRUCTION PHASE SERVICES
(ROADWAY AND DRAINAGE)", "JENKINS & CHARLAND CONSTRUCTION PHASE SERVICES
(BRIDGE)", "COMPENSATION" , and "TE\/M OF COMPLETION ' of the AGREEMENT .
SCOPE OF SERVICES
See attached letter from Carter Associates , Inc . dated April 2 , 2004, which specifies changes in the
" SCOPE OF SERVICES " and "COMPENSATION", the manhour breakdown attachment EXHIBIT A, and
the attached current Rate Schedule from Carter Associates, Inc .
COMPENSATION
This section of the AGREEMENT entitled " SECTION V - COMPENSATION" shall be revised in
response to the Scope modifications set out herein. The charges associated with this AMENDMENT NO . 3
are as follows :
Fees for Final Design and Permitting : $93 , 000 . 00 (Lump Sum)
Construction Phase Services (Roadway and Drainage) : N. T. E . $20, 000 . 00 (Time & Materials) *
*Fees used for this work shall be per attached Rate Schedule dated February 2004 . There will be no
allowance for travel expense within Indian River County.
Jenkins & Charland Construction Phase Services (Bridge) : $ 5 , 800 (Lump Sum)

The charges associated with the AGREEMENT (which includes changes from Amendment 1 and
Amendment 2 and these additional services included in proposed Amendment 3 ) , shall be increased from
$ 178 , 820 . 00 to $297 , 620 . 00 .
The AGREEMENT is hereby amended as specifically set forth herein. All sections of the
AGREEMENT shall remain in full force and effect, and are incorporated herein . This Amendment No . 3 to
the AGREEMENT, regardless of where executed, shall be governed by and construed by the laws of the
State of Florida.
TIME OF COMPLETION
Carter Associates , Inc . shall have 90 calendar days from their receipt of a written Notice to Proceed to
submit plans that are 90% complete . After receiving Indian River County comments regarding these plans ,
they have 45 calendar days to submit plans that are 100% complete .
In WITNESS whereof the parties have executed the Amendment this 20th Day of
April , 2004 .
