SERVICE AGREEMENT
PELICAN ISLAND
WILDLIFE REFUGE TIDAL MARSH PHASE 1 =B
IRC PROJECT NO , 0424
THIS AGREEMENT or " CONTRACT " , entered into this 1 st dayof February , 2005
by and between INDIAN RIVER COUNTY, a political subdivision of the State of Florida,
hereinafter referred to as the COUNTY, and COASTAL TECHNOLOGY INC . , hereinafter referred
to as the CONSULTING ENGINEER,
WITNESSETH
The COUNTY and the CONSULTING ENGINEER, in consideration of their mutual
covenants , herein agree with respect to the performance of professional engineering services by the
CONSULTING ENGINEER and the payment for those services by the COUNTY as set forth below.
The CONSULTING ENGINEER shall provide professional engineering, and related services
to the COUNTY for the project described as Indian River County Project No . 0424, PELICAN
ISLAND REFUGE TIDAL MARSH — PHASE 1 -B , serve as the County ' s professional
CONSULTING ENGINEERING representative for the project as set forth below and shall give
professional engineering consultation and advice to the COUNTY during the performance of the
services to be rendered hereunder.
SECTION I - PROJECT LIMITS
As described in Exhibit "A " Scope of Work General Information - Section 1 - 1 ) .A) .
SECTION II - COUNTY OBLIGATIONS
The COUNTY agrees to provide the following material, data, or services as required in
connection with the work to be performed under this Agreement :
A . Provide the CONSULTING ENGINEER with a copy of all plans, surveys and
information available in its files for the above location.

B . The COUNTY shall assist the CONSULTING ENGINEER in making provisions for
the ENGINEER to enter upon public or private property as required for the CONSULTING
ENGINEER to perform his services .
Co The COUNTY will provide payment directly to permitting agencies for permit
applications and promptly execute all permit applications necessary to expedite the acquisition of any
local, state or federal permits made necessary by the project.
SECTION III = SCOPE OF SERVICES
A . Engineering Phase
1 . A detailed description of the scope of services is given in Exhibit "A " .
2 . In order to accomplish the work described under this Agreement in the time
frames and conditions set forth in this Agreement, the CONSULTING ENGINEER will observe the
following requirements :
a. The CONSULTING ENGINEER shall strive to complete his work on
the project within the time allowed by maintaining an adequate staff of engineers and technicians in
the required areas of expertise, or having the services of qualified sub-consultants, approved by the
COUNTY, on the work at all times .
b . The CONSULTING ENGINEER will comply with all federal, state,
and local laws applicable to this project. The CONSULTING ENGINEER will design the project in
such a manner as to be in conformance with all applicable federal , state and local laws .
c. The CONSULTING ENGINEER will prepare necessary sketches and
completed application forms to accompany the COUNTY'S applications for any required federal,
state, or local permits, during the appropriate design phase of the project .
d . The CONSULTING ENGINEER will cooperate fully with the
COUNTY in order that all phases of the work may be properly scheduled and coordinated.
e. The CONSULTING ENGINEER shall send a complete set ofplans to
all utility providers at each phase of plan development. Also , plans will be sent to everyjurisdiction,
or agency from which a permit, or approval , of any kind is required. The plans will be sent as
directed by the COUNTY and the COUNTY shall reimburse the CONSULTING ENGINEER for the
cost of reproducing the plans at the agreed unit cost . The CONSULTING ENGINEER shall
coordinate the design with the jurisdiction, or agency in order to obtain the required permit, or
approval .

f. The CONSULTING ENGINEER will identify all utilities having
facilities, which could be affected by the project.
g. The CONSULTING ENGINEER shall report the status of this project
to the Director of the Public Works Department, or his designee, upon request and hold all drawings,
calculations and related work open to the inspection of the Director or his authorized agent at any
time, upon reasonable request.
3 . The drawings prepared by the CONSULTING ENGINEER will be of
sufficient detail to permit the actual location and construction of the proposed improvements within
the project's right-of-way, or property boundaries .
4 . The CONSULTING ENGINEER acknowledges that preparation of all
applicable permits for the COUNTY'S submittal through governmental regulatory agencies are
included within the scope of basic compensation as defined by Exhibit "A " Scope of Work. Any
additional work required by laws, or regulations established after the date of this Agreement shall be
an additional service and the COUNTY shall compensate the CONSULTING ENGINEER in
accordance with Section VI - Additional Work, of this Agreement .
SECTION IV - TIME FOR COMPLETION
A . The CONSULTING ENGINEER understands and agrees that TIME IS OF THE
ESSENCE and that the time for completion and the schedule for performance will be governed by
Task 4 of EXHIBIT "A " Scope of Work .
B . The Services under the construction phase shall run concurrently with construction,
beginning with the notice to proceed being issued to the Contractor and ending with issuance of the
final payment to the Contractor.
C . The CONSULTING ENGINEER understands that timeliness of performance is a
factor which will be evaluated in determining the award of future professional services in accord
with FS287 . 055 and that failure to meet the time for completion may disqualify the CONSULTING
ENGINEER from award of future professional services work with the COUNTY .

SECTION V — COMPENSATION
The COUNTY agrees to pay and the CONSULTING ENGINEER agrees to accept for
services rendered pursuant to this AGREEMENT, Fee Compensation in an amount Lump Sum as
established herein, unless authorized as Additional Services, the following :
$509752 .00 - FIFTY THOUSAND SEVEN HUNDRED FIFTY TWO DOLLARS
The compensation above is based on the following conditions and understanding :
A. The CONSULTING ENGINEER certifies that the following wage rates and other
factual unit costs supporting the compensation are accurate, complete and current at the time of
contracting :

The original contract price and any additions thereto shall be adjusted to exclude any
significant sums by which the COUNTY determines the contract price was increased due to
inaccurate, incomplete or non-current wage rates and other factual unit costs . All such contract
adjustments shall be made within one year following the end of the contract.

Be Section on Reimbursable. Travel shall not be compensated unless out of state and
pre-approved by the Public Works Department. Cost of Reimbursable expenses is included in Lump
Sum contract price.
SECTION VI - ADDITIONAL WORK
In the event changes are requested by the COUNTY or extra work is imposed on the
COUNTY by the demands of certain regulatory agencies after the approval by the COUNTY of this
Agreement, and upon the issuance of a subsequent work order by the Director of Public Works
Department, and approved by the Board of County Commissioners, said extra work may commence
in accordance with the fee schedule as shown in Section V, Paragraph A, or a lump sum amount
based on that fee schedule .
SECTION VII - PARTIAL PAYMENTS
The COUNTY shall make periodic partial payments to the CONSULTING ENGINEER for
all authorized work according to the " Schedule of Deliverable Items " . Invoices will be submitted on
forms furnished for that purpose by the CONSULTING ENGINEER to the COUNTY periodically
for work products delivered and expenses incurred pursuant to this Agreement.
The CONSULTING ENGINEER shall submit duly certified invoices in duplicate to the
Director of the Public Works Department, or his designee. The amount of the invoices submitted
shall be the amount due for all work delivered to date.
The amount of the partial payment due for the work item delivered to date shall be an amount
calculated in accordance with the Schedule of Deliverable Items, Exhibit "A " attached hereto, less
ten percent ( 10%) of the amount thus determined which shall be withheld by the COUNTY, as
retainage, and less previous payments .
The ten percent ( 10%) retainage withheld through the design phase, shall be paid in full to the
CONSULTING ENGINEER upon award of a construction contract, but in no case shall the amount
be retained longer than four (4) months after the date of final acceptance of the design phase by the
Director of Public Works . Payment of invoices shall be in accordance with the Florida Prompt
Payment. Act, FS 218 . 70 et seq .

SECTION VIII - INSURANCE AND INDEMNIFICATION
During the performance of the work covered by this Agreement, the CONSULTING
ENGINEER shall provide the COUNTY with evidence that the CONSULTING ENGINEER has
obtained and maintains the insurance listed in the Agreement . All insurance policies shall be
occurrence form not claims made policies . If an occurrence form is unavailable for a specific
coverage, the County Risk Manager may give approval for claims made policy.
A . Statutory Workers' Compensation and Employer's Liability are included in the same
policy. The standard limit of liability as required by the Florida Worker's Compensation Law shall
be insured against.
B . Commercial general liability is carried in the amount of $ 1 , 000, 000 . 000 combined
single limit for bodily injury and property damage . The coverages designed for a general contractor
(x . c. u . coverage, broad form property damage, contractor's protective liability) are not included or
required by an CONSULTING ENGINEER firm. Contractual liability is included in the policy.
C . Commercial automobile insurance for all owned, hired or borrowed vehicles are
covered in the amount of $ 1 ,000 , 000 combined single limit and $ 500, 000 uninsured motorists
coverage.
D . Professional Liability Insurance providing coverage for negligent acts, errors, or
omissions committed or alleged to have been committed by CONSULTING ENGINEER with a limit
of $ 500, 000 per claim/annual aggregate. This insurance shall extend coverage to loss of interest,
earning, profit, use and business interruption, -cost ofreplacement power, and other special , indirect
and consequential damages subject to the limitation regarding consequential damages described in
Paragraph 5 below. If the COUNTY requests the CONSULTING ENGINEER to obtain additional
insurance coverage, the cost of such additional insurance not otherwise reimbursed to the
CONSULTING ENGINEER under this Agreement shall constitute an additional direct charge to the
project.
E . For specialized services not performed by the CONSULTING ENGINEER, the
CONSULTING ENGINEER shall require each of its subcontractors to take out and maintain during
the life of such subcontract work the insurance coverages set forth in Paragraphs A, B , C and D
above; provided however, the following limits shall apply:
1 . Employer's Liability Insurance (bodily injuries) with limit of $ 100,000 per

occurrence, and Employer's Liability Insurance (occupational disease) with limits of $ 100,000 per
person and $ 500,000 in the aggregate.
2 . Commercial General Liability Insurance, with limits of $ 500,000 each person
$ 1 ,000,000 each occurrence for bodily injuries, and $ 1 , 000, 000 each occurrence for property
damage.
F . The limits under Paragraph 5 shall be the same for any subcontractor.
G. The CONSULTING ENGINEER shall furnish the COUNTY with two (2) copies of a
Certificate of Insurance evidencing policies required in Paragraphs A, B , C, D, E and F above and
evidencing policies of insurance required above for subcontractors . Such Certificates shall give the
COUNTY at least thirty (30) days written notice in the event of cancellation of or material change in
any of the policies . The Certificate of Insurance shall give a brief description of the work being
performed under this Agreement. All insurance companies provided shall be companies rated at
least A + VII per Best's Key Rating Guide and licensed to do business in the State of Florida.
H . To the extent of the insurance benefits under the insurance policies required by this
Article, or for any loss, damage or expense falling within the deductible portion of Engineers
Professional Liability Insurance described in Paragraph D hereof, whether indemnity payment,
defense costs, or otherwise, the CONSULTING ENGINEER shall save the COUNTY harmless from
and against all costs and losses, and all claims, demands, suits , actions, payments and judgments
arising from personal injuries or otherwise, brought or recovered against the COUNTY arising out of
any negligent error, or omission of the CONSULTING ENGINEER, its agents, servants or
employees, in execution or guarding of the work, including any and all expense, legal or otherwise,
incurred by the COUNTY or its representatives in the defense of any claim or suit.
SECTION IX - OWNERSHIP OF DOCUMENTS
All plans, specifications, calculations and other work products paid for under this contract
shall be the property of the COUNTY and shall be delivered to the COUNTY at its direction . The
COUNTY shall have the right to re-use drawings of the structural details in a manner consistent with
law and the State of Florida Department of Professional Regulation rules . To the extent allowed by
law, the COUNTY shall indemnify and hold harmless the CONSULTING ENGINEER from all
claims, damages , losses, and expenses, including attorney's fees , arising out of, or resulting from any
such re-use.

SECTION X - CERTIFICATION AGAINST CONTINGENT FEES
The CONSULTING ENGINEER warrants that he has not employed or retained any company
or person, other than a bonafide employee working solely for the CONSULTING ENGINEER to
solicit or secure this agreement and that he has not paid or agreed to pay any person, company,
corporation, individual, or firm, other than a bonafide employee working solely for the
CONSULTING ENGINEER any fee, commission, percentage, gift, or other consideration contingent
upon or resulting from the award or making of this agreement .
SECTION XI - PUBLIC ACCESS
The COUNTY may unilaterally cancel the contract for refusal by the CONSULTING
ENGINEER to allow public access to all documents, papers, letters, or other material subject to the
provisions of Chapter 119, Florida Statutes, and made or received by the CONSULTING
ENGINEER in conjunction with the contract .
SECTION XII — SEVERABILITY
If any portions of this Agreement shall be held invalid or unenforceable, such invalidity or
unenforceability shall not affect any other provisions hereof, and this Agreement shall be construed
and enforced as if such provisions had not been included.
SECTION XIII — TERMINATION
The obligation to provide further services under this Agreement may be terminated by either
party upon 30 days' written notice by either party. In the event of any termination, CONSULTING
ENGINEER will be paid for all services rendered to the date of termination, all reimbursable
expenses and termination expenses .

SECTION XIV — GENERAL
A. No alteration, change, or modification of the terms of this Agreement shall be valid
unless made in writing and signed by both parties hereto .
B . The contact person in the COUNTY'S behalf shall be the Indian River County
ENGINEER, Christopher J . Kafer, Jr. , P . E . The CONSULTING ENGINEER shall take directions
for the work from the Indian River County ENGINEER, exclusively, or whom the Indian River
County Public Works Director might otherwise designate in writing.
C . This Agreement, regardless of where executed, shall be governed by and construed
according to the laws of the State of Florida.

Indian River County Pelican Island National Wildlife Refuge Restoration Project
Coastal Tech Project No. 02460. OP Scope of Work
General Information : Indian River County (COUNTY), in collaboration with the Pelican
Island National Wildlife Refuge (Refuge) staff, is seeking to restore a maritime marsh area
altered by construction of mosquito control ditches and proximity to agricultural land use. The
project site (Site) is located on a 6 . 1 acre parcel known as the "Triangular Area" and depicted on
the drawing prepared for the COUNTY by Carter Associates (CAI; survey dated August 10,
2004) . This survey provides a detailed description of the Site and contains important baseline
elevation data which will be used throughout the duration of the project proposed herein. This
proposal describes engineering, permitting, and design services performed by COASTAL TECH
in pursuit of marsh restoration as described below :
Task 1 - Site Assessment
Task la — Existing Conditions : COASTAL TECH will use recent data ( aerial photography,
surveys, maps, water quality data, etc . ) as available from the COUNTY and Refuge staff as
baseline data. COASTAL TECH will visit the Site to observe, identify, and measure existing
ecological and physical resources (upland, wetland) using available GPS -GIS technology and
including : ( 1 ) soils, (2) topography (not reflected on CAI survey) and apparent drainage/tidal
pathways , (3 ) surface water salinity, and (4) vegetative associations .
COASTAL TECH will evaluate these data and then map existing conditions using ( 1 ) a
Level IV FLUCFCS map , (2) ArcGIS 9 . 0 data layers and (3 ) associated land cover maps
depicting specific themes that may include, but are not limited to : ( 1 ) soils, (2) site
topography and surface water drainage, and (3 ) potential habitat that may be utilized by State
and/or federally listed wildlife species . COASTAL TECH will research existing databases to
identify listed species which are recorded as occurring within the vicinity of the Site .
COASTAL TECH will then generate a summary of listed wildlife species that may occur on
the Site .
All geospatial data and related maps will be Florida Geographical Data Library compliant .
This information will be used during the formulation of the project ' s conceptual restoration
design and to facilitate project permitting. COASTAL TECH will identify any additional
data or surveys necessary for completion of the conceptual design; the COUNTY shall
provide such additional data or surveys . COASTAL TECH will also prepare a written
summary of land use, wherein descriptions of the dominant vegetative cover and the overall
intactness (degree of disturbance) of each vegetative community, as identified on the
FLUCFCS map , will be provided.
Task lb — Historical Conditions : Utilizing the oldest available aerial photography ( 1943 ?) ,
as made available by the COUNTY and Refuge staff, COASTAL TECH will interpret
historical SITE conditions (i . e . , vegetative associations) relevant to the goals and objectives
of this project . COASTAL TECH will then prepare an ArcGIS 9 . 0 data layer and associated
maps summarizing the historical conditions that may include , but are not limited to : ( 1 ) local
relief or topography, (2) surface water drainage, and (3 ) the distribution and intactness of

natural vegetative communities . These maps will then be compared to Existing Conditions,
as identified under Task 1 a, to assess historical SITE change and those biological or physical
conditions which may be pertinent to the formulation of a successful restoration design .
COASTAL TECH will meet with the COUNTY and Refuge staff to review Task 1 results
and to identify Task 2 SITE restoration design objectives and criteria.
Task 2 - Design
Task 2a — Conceptual Design : Based upon Task 1 results and existing baseline data made
available by the COUNTY or REFUGE staff (i . e, , the CAI topographic survey) , COASTAL
TECH will prepare a draft conceptual design for site restoration. The draft design will be
submitted in the form of permit sketches (i . e. , 8 . 5 " X 11 " drawings) including ( 1 ) draft plan-
view drawings, generated in ArcGIS 9 . 0 or AutoCAD, depicting the proposed conceptual
restoration design and (2) representative cross- sections . This design shall include conceptual
details of proposed grading, re-routing of drainage flow ways , removal of exotics, and re-
vegetation. The draft conceptual design shall be based upon ( 1 ) the design objectives and
criteria identified in Task 1 and (2) professional experience and project team judgment .
COASTAL TECH will also prepare an opinion of probable construction costs using the
DRAFT conceptual design documents . .
COASTAL TECH will meet with the COUNTY and Refuge staff to review the draft
conceptual design . Concomitantly, COASTAL TECH will also arrange for a pre- application
conference with regulatory staff to discuss the draft conceptual design (see Task 3a below) .
Subsequent to the pre-application and COUNTY meetings, COASTAL TECH will
incorporate COUNTY, Refuge staff, and regulatory agency staff comments and revisions
into the draft design documents to yield permit sketches suitable for inclusion in the permit
application as described under Task 3b . Revisions to the draft conceptual design will also
form the basis of COASTAL TECH ' s preliminary design document as described below .
Task 2b — Preliminary & Final Design : Upon request by the COUNTY, COASTAL TECH
will prepare preliminary and final SITE restoration design documents . Following each phase
of the design, COASTAL TECH will confer with the COUNTY to review the design
drawings and COASTAL TECH ' s opinion of probable construction costs . COASTAL TECH
will prepare one design and one set of reproducible drawings .
The preliminary design shall address site-specific conditions and shall include relevant
engineering calculations . The preliminary design will assume a balance of "cut and fill"
quantities and prescribe finished grades in proposed wetland and upland areas . When
possible, all excavated material will be re-distributed on site. The preliminary design shall
define : ( 1 ) proposed planting and exotic plant removal by the Contractor and (2)
recommended monitoring, maintenance, and management by the COUNTY and/or Refuge
staff. All drawings included in the preliminary design shall : ( 1 ) illustrate the proposed site

plan, (2) include a representative cross- section, and (3 ) contain appropriate section details .
These drawings shall constitute 80% completion of design.
The final design shall include technical construction specifications and drawings consistent
with the USACE and SJRWMD permit requirements . Completion of the final design shall
constitute 100% completion of the design.
Task 3 - Permitting
3a — Pre-Application Conferences : COASTAL TECH will arrange, attend, and chair one
pre- application meeting each with the U . S . Army Corps of Engineers (USACE) and the St.
John ' s River Water Management District (SJRWMD) . The meeting shall occur on Site . The
purpose of each Pre-application conference shall be to : ( 1 ) present Task 1 results and the
Task 2a draft conceptual design, (2) obtain agency staff comments , and (3 ) identify agency
permit requirements . COASTAL TECH will prepare a written summary of each meeting .
3b —Permit Application : COASTAL TECH will prepare and submit a single application for
a Joint State of Florida Environmental Resource Permit (ERP)/U. S . Army Corps of
Engineers (COE) Individual permit (IP) . The application will include ( 1 ) a supporting
environmental narrative assessment of (a) existing and proposed upland habitats, (b) wetland
habitats , and (c) temporary wetland impact areas as identified during Task la mapping, and
(2) conceptual design drawings as prepared in association with Task 2 .
3c — Permit Processing : COASTAL TECH will respond to as many as three (3 ) SJRWMD
"Request for Additional Information" (RAI) iterations . COASTAL TECH will also address
comments from the Public Notice issued by the USACE . COASTAL TECH will informally
confer with and incorporate feedback from COUNTY and agency personnel in an effort to
streamline the permitting process and to provide cost effective environmental solutions as
they may be required . COASTAL TECH will meet with the COUNTY and Refuge staff
subsequent to submittal of the ERP application and upon receipt of the first RAI and/or
public comments . At that time, COASTAL TECH will review draft responses with
COUNTY and Refuge staff.
Task 4 — Time for Completion
4a — The work described in this scope of work for engineering, design, and permitting must
be completed by June 30 , 2005 .
