COLLEGE LANE WATER MAIN PRIVITY AGREEMENT Boyle Engineering Corporation ( " Engineer ' ) , a California corporation authorized to do business in the State of Florida , successor by merger to LBFH , Inc . a Florida Corporation , as Engineer under that certain AGREEMENT BETWEEN DISTRICT BOARD OF TRUSTEES OF THE INDIAN RIVER COMMUNITY COLLEGE AND ENGINEER FOR PROFESSIONAL SERVICES with the Florida Division of Emergency Management , Contract #07 - HS -34- 14-00- 22469 , dated August 22 , 2002 ( " Contract" ) hereby represents and warrants to Indian River County , Florida that : 1 ) the Contract is attached hereto as Exhibit A and incorporated herein by this reference ; 2 ) Engineer will perform the services set forth in Exhibit B attached hereto and incorporated herein by this reference for Indian River County , Florida under all of the terms and conditions of the Contract ; 3 ) All references to " College " in the Contract shall be deemed to mean Indian River County , Florida ; 4 ) Engineer will submit payment invoice (s ) to Indian River County , in form satisfactory to Indian River County , Florida ; 5 ) Indian River County , Florida , will be named as an additional insured as set forth in the Certificate of Liability Insurance in Exhibit C on all of the types of insurance set forth in the Contract ; and 6 ) The Project Manager for Indian River County shall be Gordon Sparks , P . The Engineer shall assist the College with advertisement to bid and publication in Dodge Report and make recommendations as to the award of the bid to the College . 2. 13 Design Team Meetings (Phase 50) : In addition to any meetings discussed in other sections of this agreement, the Engineer will attend up to 20 meetings (assumed bi - weekly during the design process ) with the College and Indian River County staff to review progress plans , review preliminary estimates of probable cost and provide value engineering services . 2. 14 Geographic Information System Services (Phase 18) : Geographic information systems (GIS ) are being used by many organizations to house information in a geographic framework which can be linked to external database information . The College can realize advantages of GiS in areas such as planning, maintenance , asset inventory.. analysis , daily operations , and emergency/disaster response . The Engineer will prepare and gather base data in the general vicinity of the project area and other useful existing data and incorporate into a GiS format for the College . Examples of the data to be gathered include adjacent properties , including aerial photography , parcel ownership boundaries , and land use . The mapping will be conducted on the Florida State Plane Coordinate System . Where GPS is used , sub- meter accuracy GIS Data Collection will be utilized . Where applicable , source data will he hyperlinked to feature data in GIS . Deliverables will be prepared in F.SRI Geodatahase or shapefile format and will be submitted on DV) or CD . The Engineer will create GIS data of the project area and in particular the College Lane extension and bridge construction , which includes infrastructure such as water/sewer, irrigation , drainage , electrical , lighting , signalization , cable from record drawings and GPS . Readily available easement information will be included ( i . e . , included on record drawings) . College will provide record information to be used . The ENGINEER will include a brief report that includes data documentation . Schedule assumes review and comment of sample deliverable are received within 5 days . 2. 15 Service During Construction (Phase 60 ) : The Engineer and sub -consultants shall perform the following construction related services as required by the Indian River County , Indian River Farms Water Control District and SJRWMD . The Engineer will perform periodic inspections of the construction activities for the purposes of observing the progress and quality of the work, and to determine whether or not the work is proceeding in accordance with the construction drawings and specifications . This effort is directed toward providing the College a greater degree of confidence that the completed project will conform to the requirements contained in the approved drawings , specifications and regulatory agency permits and will enable Engineer to prepare construction certifications of the completed work to permitting agencies . At the conclusion of the work , Engineer will prepare certifications of the completed work based on certified record drawing information prepared by a Florida licensed Professional Surveyor and Mapper that is to be retained by the site development contractor. The Engineer has no control over the College ' s selection of a contractor, weather, work stoppages , material shortages , and the quality of the contractor' s work or the sequencing of time . Therefore , it is understood that the following scope of work and associated fees are estimates only . The Engineer' s services under this section shall include : 1 . Pre -Construction Meeting: The Engineer shall attend a pre-construction meeting with the College, the College ' s contractor and other applicable agencies and public utilities prior to the commencement of construction . The Engineer shall issue plans for construction to the contractor at this time . Note that the Engineer shall be listed as an additional named insured by the contractor' s insurer for all construction related to this project . 2 . Shot) Drawings : The Engineer shall review shop drawings for any components related to the improvements designed by the Engineer. Shop drawings shalt be forwarded to applicable agencies and public utilities for their final review and approval , as necessary . 3 . Limited Construction Observation . The Engineer, by providing limited construction observation services , shall make site visits to observe the construction of improvements such that an engineering certification can be made regarding the construction of the proposed improvements . The purpose of the limited project representation is to provide construction observation of the progress and quality of the construction work , and to determine , in general , if the construction is proceeding in accordance with the contract documents . The services provided are not intended to be comprehensive or exhaustive in nature , IRCC-Assignment Authorization. March 2006 05-0351 Mueller Campus College Lane Roadway Extension & Bridge Construction 8 of 15 and shall in no wa lieve the contractor from their compl , responsibility of the means , methods , sequence of construction and construction site safety . 4 . Weekly Construction Meetings : The Engineer shall attend weekly construction _ meetings with the contractor and owner to discuss weekly progression of the construction and schedules . This estimate assumes that the Engineer shall provide limited project representation by being present at the site at intervals appropriate to the various stages of construction . For this estimate , it is assumed that the site work will be conducted during a nine - month ( 36 - week ) construction period for site work, and that regular site inspections will occur three (3 ) times a week and lasting three (3 ) hours each — for a total of 324 hours of field time . The Engineer shall notify the College of observed permanent work which does not appear to substantially conform to the contract documents , prepare a written report describing any apparent non -conforming permanent work and make recommendations to the College for its correction . Should limited construction observation be required beyond the nine (9) month duration , these services will be considered Additional Services and compensated as such . The Contractor shall notify the Engineer of all tests and installations which would require the presence of the Engineer for engineering certifications as required by the various agencies with jurisdiction over the project . The Engineer shall review up to nine (9) pay requests as submitted by the contractor as they relate to improvements designed by Consultant . Consultant shall verify quantities as represented on the pay requests and make a recommendation to the Owner to proceed with the payment as requested, or as modified based on Consultant' s review . The Engineer shall perform a construction observation visit to determine if the project is substantially complete , and a final construction observation visit to determine if the project has been completed in accordance with the approved Plans and Specifications and in a manner satisfactory to provide the necessary certifications. If repetition of these visits is required, the additional visits shall be considered Additional Services and will be invoiced on a Time & Expense basis in accordance with the Unit Rates presented in Exhibit B The Engineer will prepare certifications based upon as-built survey and record drawing information , provided by and signed and sealed by the contractor' s Professional Surveyor and Mapper, identifying any changes made during the construction process and indicating all record information required by the regulatory agencies having jurisdiction . These drawings will be submitted to the applicable regulatory agencies as a part of the final certification process . The contractor shall provide the Engineer with an electronic copy of the as-built information (AutoCAD 2000 ) . Additionally, the Engineer shall provide bridge rating calculations based on Load Resistance Factor Rating methodology. One set of the bridge rating calculations each will be submitted to the College and Indian River County their records . 2. 16 Sketch & Legal Description of Right-of- Way (Phase 15 ) : The Engineer shall prepare a sketch and legal description of the road right-of-way of for the project for the purposes of the transfer of ownership from the College to Indian River County. The sketch and legal description shall be signed and sealed by a licensed and registered Florida Professional Surveyor and Mapper. 2. 17 Direct Expense Items (Phase REIM) : Any direct , non - salary expense including but not limited to , photocopies , blueprints , out -of-office reproductions or photographic services , long distance telephone calls , special mailing or delivery services , and contract services authorized by the College . "Lump Sum " (IS ) fees are fixed amounts to be paid, in full , for the services or activity indicated. Engineer will provide technical elements of the work to assist College with this task . 1RC'C -Assignment Aulhorization, March 2006 05-0351 Mueller Campus College Lane Roadway Extension & Bridge Construclum 12 of 15 SPECIAL PROVISIONS 6. 1 The College shall provide any legal services required as a part of the permitting process . _ 6.2 Permit or application fees shall be the responsibility of the College . 6.3 The College shall designate , in writing, one person to act as the College ' s representative with respect to the services to be rendered . Such person shall have complete authority to transmit instructions , receive information , interpret and define the CLIENT ' s policies and decisions with respect to LBFH , Inc . ' s services for the project . 6.4 The College shall assist Engineer, by placing at our disposal all available information pertinent to the project including previous reports , surveys and any other data relative to design or construction of the project . Where possible , and as applicable , this information shall be provided in electronic form . 6.5 Work in this Agreement includes our normal expeditious coordination and follow - up on permitting submittal with the agencies . Additional time expended by the Engineer to expedite permit processing because of the College ' s need for rapid permit approvals will be compensated for on a Time & Expense basis . 6.6 The Scope of Services in this Agreement does not include a "hydrological basin study" for the basin or sub-basin . It only includes the submittal of an application to SJRNVMD for an individual Environmental Resource Permit for the project site . Any remodeling of the existing system beyond the project site , if required by SJRWMD . would require an agreement for additional services from the College . 6. 7 The Scope of Services in this Agreement does not include any formal groundwater modeling (i . e . Theis or Mod Flow modeling) that may be required for the Water Use pennitting if environmental issues require it . (Boyle Engineering Corp . ) (ENGINEER) and Indian River Community College ( IRCC ) . This Work Order No . 1 is issued to ENGINEER by Indian River County ( COUNTY ) piggy backing on the agreement between the ENGINEER and IRCC , amended as follows : SECTION I — PROJECT LIMITS This Work Order No . 1 is for the ENGINEER to perform an additional design related to the Indian River County/Indian River Community College- College Lane Extension and Bridge Replacement project located in Indian River County and lying in a portion of Sections 5 and 8 , Township 33 South , Range 39 East . SECTION II — SCOPE OF SERVICES As agreed upon between ENGINEER and COUNTY , ENGINEER shall provide Professional Engineering services to complete all tasks as outlined in this Work Order No . 1 described as follows : • Utility Design : 1 . Boyle will modify the existing construction plans for the College Lane Extension and Bridge Replacement project to include the extension of a 16- inch water main from a connection point at the existing 12- inch water main along the north side of the IRCC campus near the west end of the existing College Lane , terminating at the west end of the intersection of College Lane and 66`h Avenue . The water main will be located on the north side of the right-of- way , will cross the road east of the bridge and cross the IRFWCD Lateral A Canal on the south side of the bridge . The water main will be designed to meet Indian River County Department of Utility Services (IRCUSD) standards and FDEP requirements . 2 . This design assumes that there is 3 , 800 LF of 16- inch water main located at the back of the proposed sidewalk, with fire hydrants spaced at every 500-feet, sampling points at ever 1 ,200-feet and at dead ends, valves at every 1 ,500-feet, air relief valves at all high points , up to 5 conflicts with proposed utilities and 2 directional drills underneath the existing IRCC driveways . This design also assumes that there will be no aerial canal crossings or design of jack and bore installations, structural or retaining wall design , and conflicts with existing or proposed landscaping , or additional survey . These services , if required , will be provided upon addition l approvals from the COUNTY . 3 . Construction Drawings that are 90% complete will be used to make the FDEP submittal on behalf of the COUNTY . ENGINEER shall respond to as many as one ( 1 ) Request for Additional Information (RAI) from the FDEP . The COUNTY shall pay FDEP the permitting fees directly . 4 . ENGINEER shall prepare project specifications for the construction of the 16-inch water main for inclusion in the College Lane Extension and Bridge Replacement project specifications manual . It is assumed that these projects will be bid , awarded and constructed as a single-phased project. 5 . The permitted drawings will be incorporated into the 100% complete construction drawings for the College Lane Extension & Bridge Replacement project. 1 6 . ENGINEER shall provide limited construction observation services such that an engineering certification can be made regarding the construction of the proposed improvements . The purpose of the limited project representation is to provide construction observation of the progress and quality of the construction work, and to determine, in general , if the construction is proceeding in accordance with the contract documents . The services provided are not intended to be comprehensive or exhaustive in nature, and shall in no way relieve the contractor from their complete responsibility of the means , methods , sequence of construction and construction site safety . 7 . ENGINEER shall review shop drawings for any components related to the improvements designed by the ENGINEER . Shop drawings shall be forwarded to applicable agencies for their final review and approval as necessary . 8 . At the conclusion of the work, ENGINEER will prepare certification of the completed work based on certified record drawing information prepared by a Florida licensed Professional Surveyor and Mapper that is to be retained by the contractor . SECTION III — TIME FOR COMPLETION This project shall follow the same timeline as the College Lane Extension and Bridge Replacement project . SECTION IV — DELIVERABLEIWORK PRODUCT 1 . Deliverables shall consist of the same as those defined for the College Lane Extension and Bridge Replacement project . SECTION V — COMPENSATION The COUNTY agrees to pay , and the ENGINEER agrees to accept, for services rendered as identified in Sections II , III , and IV of this Work Order No . 1 a lump sum fee of $20,000.00 . All areas lying and being in Sections 5 & 8 , Township 33 South , Range 39 East , in Indian River County , Florida . 1 .2 Nature, Character and Extent of the Project : The Project consists of the design , surveying , geographic information systems development , preparation of permit applications , preparation of a project manual , preparation of cost estimates and services during construction for the College Lane roadway extension and bridge construction proposed north of the IRFL'VCD ' s Main Canal from the western extent of College Lane to 00"' Avenue . The Project includes . but is not limited to , the construction of an undivided . two lane asphalt road, a metal or concrete bridge consisting of three lanes and a sidewalk spanning the IRFWCD ° s Lateral ' A ' Canal and their associated drainage and utility appurtenances . ARTICLE 2 SCOPE OF SERVICES 2. 1 Topographic Survey (Phase 12) : The Engineer shall retain Carter Associates , Inc . as a sub-consultant to provide topographic surveying services for this project . The topographic survey of the College Lane extension and bridge construction . and associated improvements shall include the following : 1 . The Engineer shall prepare a survey drawing prepared by a licensed and registered Florida Professional Surveyor and Mapper which meets the minimum technical standards set forth by the Florida Board of Professional Surveyors and Mappers in Chapter 61G17 , Florida Administrative Code pursuant to Section 472 . 027 , Florida Statutes . The specific purpose survey will be tied to and projected in the state plane coordinate system , Florida East Zone ( 901 ) and referenced to the North American Datum of 1983 , Adjustment of 1999 . 2 . The Engineer shall establish vertical control for topographic survey in National Geodetic Vertical Datum of 1929 . 3 . The Engineer shall provide a topographic survey of all that portion of the Subject parcels lying south of Lundberg Road ( 16'hStrect ) and north of the north right -of- way of IRFWCD Main Canal including cross sections of the existing pond ( Basin B Pond ) . 2. 2 Wetland Determination (Phase 05 ) : The Engineer shall retain Environmental Services , Inc . to prepare an environmental assessment of the existing borrow pit located south of the proposed roadway ( Basin B Pond ) . These services also include coordination with St . Johns River Water Management District (SJRWM.D ) and Army Caps of Engineers ( ACOE) staff to use the former borrow pit for stormwater treatment and detention . 2 .3 Pre- Application Meetings (Phase 04 ) : The Engineer shall schedule and attend a total of 4 pre-application meetings with staffs of the SJRWMD . the Indian River Farms Water Control District ( IRFWCD) , Indian River County Department of Utility Services ( IRCDUS ) , and Indian River County Public Works Department ( IRCPWD ) , as applicable . 2.4 Utility Coordination (Phase 27 ) : Engineer will coordinate with Indian River County Department of Utility Services , Florida Power & Light Company. BellSouth and the local cable company regarding the locations of their existing and proposed facilities . The intent of this coordination is , to the extent practicable , avoid conflicts and provide locations for crossings and conduits to ease the installation/relocation of these utilities . 2 .5 Project Feasibility Report (Phase 21 ) : The Engineer and the Sub-Consultants shall attend a pre-design meeting with the College and Indian River County staff, coordinate bridge design concepts , and prepare an economic study ( including budget options of construction costs for the various bridge options ( including canal relocation to move the bridge further east from 66`h Avenue) . 2. 6 30 % Construction Plans (Phase 22A ) : Upon approval of a design concept based on the Feasibility Report ; pre-application meetings with SJRWMD and IRFWCD , and authorization to proceed to the next phase by the College , the Engineer shall prepare 30% Construction Plans . As shown below , this phase is split into the two different aspects of design ( i .e . roadway and bridge). The Engineer shall retain Jenkins & Charland, Inc . as a sub -consultant for the bridge design portions of this project .
