For good and valuable consideration, receipt of which is hereby acknowledged , the parties hereto agree as
follows :
1 . Purpose of Agreement. This cost share agreement is authorized by the St. Johns River Water
Management District ("the District") from funding designated for identification and u e of alternative
water supplies, including reclaimed water, pursuant to the Alternative Water Supply Construction
Cost Sharing Program ("the Program") , which implements section 373 . 1961 (2) , Fla. Stat.
2 . Execution of Agreement . This cost share agreement shall constitute an offer until authorized , signed
and returned to the District by Recipient . Failure to do within sixty (60) days of receipt shall result in
a retraction of this offer by the District .
3 . Term of Agreement. This Agreement shall extend from the Effective Date to the date that work
hereunder is required to be completed (36 months from effective date of Agreement) . The Effective
Date of this Agreement shall be the date upon which the last party to this Agreement has dated
and executed the same . Recipient shall not be eligible for reimbursement foray work that is
commenced, or costs that are incurred, prior to the Effective Date .
4 . Scope of Project. Recipient shall commence work funded hereunder ("the Work' ) within fifteen
( 15) days after receipt of the fully executed Agreement from the District, and shall prosecute the
Work diligently and complete the Work in accordance with Exhibit "A" (attached ) , "Statement of
Work," and Exhibit `B" (attached) "Alternative Water Supply Constructior Cost Sharing
Application " and the Work shall be completed within the time frames specified above unless
extended in writing by the District .

5 . Permits . Any work completed without proper permits shall not be considered in compliance with
this Agreement , and shall not constitute work performed hereunder. Recipient acKnowledges its
understanding that any work not properly permitted prior to implementation shall not be approved
for payment by the District, and that Recipient may be fined per appropriate regu atory channels
and/or may be required to remove said unauthorized construction .
6 . Legislative Requirements . The Florida Legislature requires recipients of funds granted through the
Program to meet several specific conditions . The Recipient must provide the District with written
assurance of its continued qualification under these requirements with submittal of its invoice or
forfeit funding . Details concerning these requirements appear in subsections 373 . 1961 (2) (b) and (c) ,
Fla . Stat .
7 . Project Management. The parties shall designate project managers , who shall be esponsible for
overall coordination , oversight, and management of the Work . The parties agree to the following
persons being designated as project manager:

8 . District Project Manager. The District' s Project Manager shall have sole and complete
responsibility to transmit instructions , receive information , and communicate District policies and
decisions regarding all matters pertinent to performance of the Work . The District ' s Project
Manager shall have the authority to approve minor deviations in the Work that do not affect the
District cost share or the time for completion .
9 . Change in Project Manager . Either party to this Agreement may change its prof act manager by
providing not less than three (3) working days prior written notice of the chane to the other
Ply •
10 . Notices . All notices to each party shall be in writing and shall be either hand-d livered or sent
via U . S . certified mail to the respective party ' s project manager at the names and addresses
specified above . All notices shall be considered delivered upon receipt . Should either party
change its address , written notice of the new address shall be sent to the other parties within five
business days . Except as otherwise provided herein , notices may be sent via e-mail or fax , which
shall be deemed delivered on the date transmitted and received .
11 . Status Report and Inspection. Recipient shall submit a brief final project report toDistrict' s Project
Manager, summarizing completion of the project and describing the activities of the project. Prior to
completion of the work, the District shall have the right to inspect the progress of the work during
normal business hours and upon reasonable prior notice .
12 . Performance Monitoring. For as long as the Project is operational, the District shall have the right
to inspect the operation of the Project during normal business hours upon reasonable prior notice .
Recipient shall make available to the District any data that is requested pertaining to project
performance . The purpose of this monitoring is to determine the long-term feasibility of the Project,
and not to in any way affect the District' s cost share contribution to the Project .

13 . Liability and Insurance . Each party to the agreement is responsible for all personal injury and
property damage attributable to the negligent acts or omissions of that party and the officers ,
employees and agents thereof. The parties further agree that nothing contained erein shall be
construed or interpreted as denying to any party any remedy or defense available o such parties
under the laws of the State of Florida, nor as a waiver of sovereign immunity of the tate of Florida
beyond the waiver provided for in section 768 .28 , Fla. Stat . , as amended . Each party shall acquire
and maintain throughout the term of this agreement such liability and automobile insurance as
required by their current rules and regulations .
14 . Diversity . The District is committed to the opportunity for diversity in the perf rmance of all
procurements , and expects the Recipient and its vendors (contractors and suppliers) to make good
faith efforts to ensure that women and minority-owned business enterprises (W BE) are given
the opportunity for maximum participation , as the prime , second- and lower-tier participants . The
District will assist the Recipient and its vendors (contractors and supplier ) by sharing
information on W/MBEs to encourage their participation .
15 . Payment of Funds . Approved funds shall be paid to Recipient by the District in one payment
following successful completion of project . An invoice must be received within n nety (90) days
of project completion . FAILURE TO SUBMIT THE FINAL INVOICE TOT E DISTRICT
WITHIN THE TIME FRAME ESTABLISHED HEREIN SHALL BE A FORFEITURE OF
ANY AMOUNTS DUE UNDER THE AGREEMENT. The invoice shall reference the Contract
Number provided on the first page of this Agreement and shall be submitted to the Director,
Division of Financial Management, 4049 Reid Street, Palatka, Florida 32177 . Payment shall be
made following submission and approval of the invoice , and verification of satisfactory
completion of project by the District ' s Project Manager. The invoice shall include receipts from
contractors and/or suppliers for the specified construction expenditures , and verification of the
Project complying with local and state building requirements , including verification of any
required permits . Once all required documentation is received , and determined to be complete
and correct, by the District' s Project Manager and the Division of Financial M agement, the
District shall remit 50% reimbursement of identifiable costs , but in no event in excess of $50,000,
to Recipient within thirty (30) days . Payments due and unpaid under this Agree ent shall bear
interest in accordance with section 218 .74 , Fla. Stat . The provisions in this paragraph relating to
payment of funds shall supersede any other provisions or attachments contained in this
Agreement .
All payment requests submitted by the Recipient shall include the following information :

5 . Cost data (utilize the appropriate method for payment request per the contra t)

7 . Diversity Report (The report shall include company names for all W/MB s and amounts
spent with each at all levels . The report will also denote if there were no W/MBE
expenditures . )
16 . Repayment of Funds. Funds shall be subject to repayment by Recipient after expiration of this
Agreement if, upon a post-project audit examination , the District finds that : ( 1 ) Recipient has spent
funds for purposes other than those provided for herein , (2) Recipient has received duplicate funds
from the District for the same purpose , and/or ( 3) Recipient has received more than 100%
contributions for the project through cumulative public agency cost-sharing funding.
17 . Termination of Agreement. This Agreement may be fully or partially terminated by the District
upon ten ( 10) days written notice to Recipient .
18 . Interest of Recipient . Recipient certifies that no officer, agent , or employee of the District has
any material interest, as defined in Chapter 112 , Fla. Stat . , either directly or indirectly , in the
business of Recipient to be conducted hereby , and that no such person shall have any such
interest at any time during the term of this Agreement .
19 . Independent Contractor. Recipient is an independent contractor. Neither Recipient nor
Recipient ' s ` s employees are employees of the District . Recipient shall have the right to control
and direct the means and methods by which the Work is accomplished . Recipient is solely
responsible for compliance with all labor and tax laws pertaining to it, its officers , agents , and
employees .
20. Non-lobbying. Pursuant to section 216 . 347 , Fla. Stat . , as amended, Recipient agrees that funds
received from the District under this Agreement shall not be used for the purpose of lobbying the
Legislature or any other state agency .
21 . Release of Information Records of Recipient that are made or received in the course of
performance of the Work may be public records that are subject to the requirements of Chapter
119 , Fla, Stat. In the event Recipient receives a request for any such records , Recipient shall
notify the District ' s Project Manager within three workdays of receipt of such request . Each
party reserves the right to cancel this Agreement for refusal by the other party to allow public
access to all documents , papers , letters , or other material related hereto and subject to the
provisions of Chapter 119 , Fla. Stat. , as amended .
22. Royalties and Patents . Recipient shall pay all royalties and patent and license fees necessary for
performance of the Work and shall defend all suits or claims for infringement of any patent rights
and save and hold the District harmless from loss on account thereof.
23 . Governing Law . This Agreement shall be construed according to the laws of the State of Florida.
24 . Venue . In the event of any legal proceedings arising from or related to this Agreement, venue for
such proceedings , if in state court, shall be in Orange County , Florida, and if in federal court,
shall be in the Middle District of Florida, Orlando Division .
25 . Attorney ' s Fees . In the event of any legal or administrative proceedings arising from or related to
this Agreement , including appeals , each party shall bear its own attorney ' s fees .

26 . Waiver of Right to Jury Trial . In the event of any civil proceedings arising from or related to
this Agreement, Recipient hereby consents to trial by the court and waives its right to seek a jury
trial in such proceedings , provided , however, that the parties may mutually agree t a jury trial .
27 . Construction of Agreement. This Agreement shall not be construed more strictly against one
party than against the other merely by virtue of the fact that it may have been prepared by counsel
for one of the parties , it being recognized that both parties , have contributed substantially and
materially to the preparation hereof.
28 . Entire Agreement . This Agreement, upon execution by Recipient and the Dis rict, constitutes
the entire agreement of the parties . The parties are not bound by any stipulations , representations ,
agreements , or promises , oral or otherwise, not printed or inserted herein . Recipient agrees that no
representations have been made by the District to induce Recipient to enter into this Agreement
other than as expressly stated herein . This Agreement cannot be changed orally or by any means
other than written amendments referencing this Agreement and signed by all parties .
29 . Separate Counterparts . This Agreement may be executed in separate counterparts, which shall
not affect its validity .
IN WITNESS WHEIZEOF, the St . Johns River Water Management District has caused this contract to be
executed this day of ' 2005 , in its name by its Executive Director, and the
Recipient has caused this Agreem t to be executed on the day and year written below in its name by its
duly authorized representatives , and, if appropriate, has caused the seal of the corporation to be attached .

EXHIBIT A
STATEMENT OF WORK
I. INTRODUCTIONBACKGROUND
In response to the requirements of Subsection 373 . 1961 (2) , Florida Statutes (FS. ) , the St . Johns River
Water Management District (District) maintains the Alternative Water Supply Constructi n Cost Sharing
Program (AWSCCS ) to fund the construction of alternative water supply facilities . Alternative water
supplies are defined by statute as "water that has been reclaimed after one or more public supply,
municipal , industrial , commercial , or agricultural uses , or are supplies of stormwater, or brackish or salt
water, that have been treated in accordance with applicable rules and standards sufficient to supply the
intended use . " In accordance with Subsection 373 . 1961 (2) , F. S. , cost sharing funds are available to all
water suppliers and users , including local governments ; water, wastewater and reuse utilities ; industrial
and agricultural water users ; and other public and private water users . The statute also requires the water
management districts to appoint an Advisory Committee to make recommendations to the Governing
Board regarding which applications to grant . Representation by city , county , and privately owned water
supply utilities is required on this committee . Representation of agricultural and environmental interests
is expressly allowed .
An Advisory Committee , appointed by the District' s Governing Board , annually ranks applications for
funds administered through the Alternative Water Supply Construction Cost Sharing Program. The
Advisory Committee ' s recommendations for funding for Fiscal Year 2004-2005 were presented to the
District ' s Governing Board on February 8 , 2005 . The Governing Board approved funs in the not-to-
exceed amount of $ 50,000 or up to 50% of the project ' s cost to Indian River County for the Indian River
County ' s Reverse Osmosis (RO) Concentrate Reuse Project .
II. OBJECTIVES
The objective of the Alternative Water Supply Construction Cost Sharing Program is to encourage and
facilitate the development of alternative water supplies .
The objective of this project is to blend up to 2 . 25 mgd of RO concentrate with bracki h Indian River
Lagoon water in order to create water for restoring mangrove habitat . By developing this
environmentally beneficial alternative for concentrate management, more brackish groundwater can be
used for water supply .
III . SCOPE OF WORK
Work will include the necessary improvements to the approximately 62 acres of mangrove habitat and
mosquito impoundment system . Approximately 10,600 linear feet of 16-inch pipe will be installed from
the Bent Pine Rapid Infiltration Basins to the proposed mangrove habitat restoration/mosquito
impoundment site . This transmission main will be capable of conveying up to 2 . 25 ingd of the RO
concentrate to the proposed mangrove habitat restoration/mosquito impoundment site . Controls , meters ,
pumps and appurtenances will be installed to allow the concentrate to be blended with the : brackish water
and then be used in the proposed mangrove habitat restoration/mosquito impoundment sit . Indian River
County shall manage the design , procurement and construction of the reclaimed water system expansion
project .
IV. TASK IDENTIFICATION
The Recipient shall construct or have constructed the facility described in Exhibit B (attached) .

The City shall be responsible for the following :
• Obtaining project final design , construction plans and specifications
• Obtaining all required permits , including right of access to the project site, re ated to project
construction and subsequent operation of the facility
• Supervision and inspection of construction
• Construction contract administration
• Certification of construction completion by a Professional Engineer registered in the State of
Florida
V. TIMEFRAMES AND DELIVERABLES
Project deliverable shall be the construction of the facility described in Exhibit B (attached) , which
includes :
• Construction including necessary improvements to the approximately 62 acre of mangrove
habitat and mosquito impoundment system and 10,600 linear feet of 156-inch ripe . Recipient
must have all necessary permits before project construction begins .
• The County will demonstrate that up to 2 . 25 mgd of RO concentrate is being handled through the
mangrove habitat and mosquito impoundment system.
• Controls , meters , pumps and appurtenances will be installed to effectively operate the new
system.
VI . BUDGET/COST SCHEDULE
The District shall reimburse the Recipient for 50% of the project ' s cost, up to a maximum not-to-exceed
amount of $50,000 . Payment shall be due upon satisfactory completion of project, as certified by the
District, and upon submission of an invoice and proof of payment made by Recipient of project costs .
The project shall be considered satisfactorily completed, by the District ' s Project Manager, when a
sufficient number of project components as detailed in Exhibit A have been constructed ar. d the project is
capable of providing alternative water supplies as generally described in the Alternative Water Supply
Construction Cost-Share Program application submitted to the District, Exhibit B . In the event
modifications to the project are required , the Recipient shall notify the District ' s Proje t Manager, in
writing, of all modifications , prior to initiating changes . The District ' s Project Manager shall not
withhold approval of the modifications , providing the modified project provides an equal or greater
amount of alternative water supply . In the event modifications results in lowering the alternative water
supply benefits , the reimbursement amount of $ 50,000 shall be adjusted accordingly .

2. Purpose. Explain the purpose (s) of the project. (Do not refer to attachments .)
Reverse Osmosis .O, water treatment Rrocess involves micron level filtrationthat generates a
waste stream by-product referred to as concentrate. Currentl concentrate is dischar e to the Indian
River Lagoon where it is commingled with the waters of the intra coastal water way d dis osed .
This prgject will provide for the concentrate (initigy 750,000 allons per day and ultimately 1 .9 m d
to be rerouted to the Grand Harbor Mosquito Im oundment. At that point the concentrate will be
discharged into the mosquito impoundment and mixed with brakish water from the loidian River
Lagoon. The brakish water concentrate mixture will be routed through the impoundi aent area
through a series of pools and ditches designed to allow positive outfall into the logo t, while
allowing fish from the lagoon to travel into the pools to control the mosquito habitat, a restored
wetlands will foster the growth of man owths further promoting the development u fish life to
heIR control mosquito nuisance. Approximately two miles of 16 " PVC water main wil be consrcted
from the Bent Pine RIB Site east along the North Relief Canal to the mo2quito im oun ent site.
Several 12ools will be graded at the headworks of the impoundment area for collection f the brakish
water concentrate. Several channels will be cut between the pools located at the headworks and the
la oon to allow aquatic life from the lagoon to mi ate into the 12ools to harvest mo ' to larvae and
man ove habitat. Pum s and associated i in will be constructed from the lagoon t the ponds to
allow cone ance of brackish water from the lagoon to be mixed with the brine water for
surcharging the impoundment area.

A 90 acre designged wetland site with some coastal planes and mosquito bearing on s interspersed
is being considered for 12urchase and redevelopment through regading of brackish / b e water
collection 12ools and construction of interconnecting channels with the Indian River La oon. Mixin
pumps and conveyance piping will be constructed from the lagoon to the collection ods for mixm

requires water users to take reclaimed water where available and appropriate forthit

Concentrate Disposal Options
UAB Response :
The UAB decided against pursuit of this option in lieu of other potential options at the
May 4, 2000 meeting .
3 . 4 Stormwater Mixing
Concentrate may be diluted with stormwater for disposal . Mixing the concentrate
with stormwater would require that the stormwater system be available for
connection . Possible problems include retention volume, mixing ratio d reliability
of stormwater volumes . Since concentrate production is constant, a consistent supply
of stormwater would be required for diluting purposes . This option may be
advantageous during wet weather.
UAB Response :
The UAB recommended this option be pursued as an option once the St rmwater
Master planning efforts are underway . Further discussions with Indian River Farms
Water Control District are necessary .
3 . 5 Reuse Mixing
Mixing reuse water with concentrate and disposing the product throug the reuse
water distribution system is another possible solution. The concentrate water would
have to be blended with reuse water at a ratio that would allow the water to be land
applied for irrigation purposes . Possible problems would include possible vegetation
intolerance to saltier water and the availability of reuse volume for dilu ' on purposes .
Also the possible gradual buildup of salts in the areas of discharge may become a
problem. See Figure 1 .
UAB Response :
The UAB believes this option in conjunction with other possible options will be the
most immediate and viable means of diverting concentrate from the North County
plant and current discharge point . A pilot study at a nearby golf course pond is
recommended prior to full scale implementation .
3 . 6 Disposal to North WtiVTP
The North County WtiVTP is a one million gallon per day wastewater treatment plant.
See Figure 2 . The concentrate could be diverted to the plant, mixed with the influent,
and treated and disposed as the North plant' s effluent. The plant would only be able
to take a portion of the 600, 000 gallons per day of concentrate produced at North
County facility . The rest of the concentrate would have to be disposed n another
manner.
UAB Response :
The UAB recommended not to pursue this option at the May 4 meeting since salts
pass through the treatment process .

A RESOLUTION OF INDIAN RIVER COUNTY , FLORIDA ,
ADOPTING RATES , FEES , AND CHARGES FOR THE
DEPARTMENT OF UTILITY SERVICES , PURSUANT TO THE
AUTHORITY OF ORDINANCE NO , 91 -9 .
WHEREAS , Indian River County operates a Department of Utility Services , which
is funded without contribution from the ad valorem tax fund of the County and is required
to support itself from rates , fees , and charges paid by the customers of the utility system ;
and
WHEREAS , Ordinance No . 91 - 9 authorizes the imposition by the Department of
Utility Services of certain rates , fees , and charges to support the operation of the
Department in a fair and equitable manner ; and
WHEREAS , Ordinance No . 92 - 35 requires an annual review of user charges and
notice of rates ; and
WHEREAS , it is necessary to amend the existing rate resolution to keep the
Department of Utility Services on a sound financial footing ;
NOW , THEREFORE , BE IT RESOLVED BY THE BOARD OF COUNTY
COMMISSIONERS OF INDIAN RIVER COUNTY , FLORIDA , that :
1 . The Schedule of Rates , Fees , and Charges described on Exhibit " A" is hereby
adopted for use by the Department of Utility Services effective October 1 , 1999 ,
2 . Rates , fees , and charges will be reviewed on an annual basis begi ning one year
from the effective date of this resolution .
