DEVELOPER' S AGREEMENT BETWEEN
INDIAN RIVER COUNTY, FLORIDA,
HARBOR TRADE CENTRE , LLC ,
AND WAHOO MANAGEMENT, INC .
FOR 45TH STREET IMPROVEMENTS
THIS AGREEMENT, entered this 24th day of _ May , 2005 , by and
between INDIAN RIVER COUNTY, FLORIDA a political subdivision of the State of Florida,
1840 25th Street, Vero Beach, Florida, 32960 hereafter called COUNTY, HARBOR TRADE
CENTRE, LLC , 900 21st Street, Vero Beach, FL 32960 , 772 - 569 -3799 AND AHOO
MANAGEMENT, INC . , 5155 N. AIA, Apt . C311 , Ft. Pierce, Fl . 34949 , herea er referred to
as the DEVELOPERS .
WITNESSETH
WHEREAS , the DEVELOPERS have applied to build commercial developments in
Indian River County, Florida, as follows :
Harbor Trade Centre, LLC to be known as Harbor Trade Center Project Number
99120042 on the south side of 45th Street, east of US 1 and
Wahoo Management, Inc . to be known as Wahoo Retail, Project Number 001060232 on
the north side of 45th Street, east of US 1 .
The legal description of each development is attached as Exhibit "A" and incorporated
herein by reference ; and
WHEREAS , the COUNTY and DEVELOPERS share mutual concerns w th respect to
roadway and drainage improvements to 45th Street and acquisition of additional 45 th Street right-
of-way;
WHEREAS , the COUNTY has requested to purchase 1 ,405 square feet o property from
of Harbor Trade Center, LLC to provide continuous right of way width on 45th Street; the sketch
and legal description of which is attached as Exhibit ` B " and incorporated herein by reference ;
and
WHEREAS , both the COUNTY and DEVELOPERS can mutually benefit through a
joint effort that will provide for design, engineering and construction of improverr ents to 45th
Street including left turn lanes, an east bound right turn lane into Harbor Trade Center (not
required by Land Development Regulations) , continuous three (3 ) lane width of 45t" Street

between US 1 and Indian River Boulevard, (Road Project) and dedication of property from
Harbor Trade Center which currently protrudes into 45th Street right of way;
NOW, THERFORE , in consideration of the mutual terms, conditions , promises,
covenants and premises hereinafter, the COUNTY and DEVELOPERS agree as ollows :
1 . The above recitals are affirmed as being true and correct and are thereby incorporated herein.
2 . CONSTRUCTION OF 45TH STREET IMPROVEMENTS . DEVELOPERS agree to
share equally the cost in making the following improvements to 45th Street : an east bound
right turn lane into Harbor Trade Center, an east bound left turn lane into Wahoo Retail,
construction of a three lane section of 45th Street with center turn lane from station 11 +76 . 58
to station 22+ 83 . 00 . DEVELOPERS shall have fully engineered construction plans designed
to Florida Department of Transportation "Green Book" standards for the Road Project (the
" Construction Plans") and will provide these plans to the COUNTY and any necessary
regulatory agencies, prior to construction for their review and approval . The DEVELOPERS
shall select the architect, surveyor, engineering firm, and other professionals necessary to
prepare the Construction Plans . The DEVELOPERS or their principals shall be solely
responsible for obtaining all permits for construction of the Road Project. If the roadway is
constructed prior to the installation of any water or sewer lines , the Construe on Plans shall
be designed in such way that the roadway not be above any currently planned or anticipated
water r sewer lines . Any changes to the permitted Construction Plans shall e approved by
the COUNTY in writing. It is understood and agreed that commencement of the construction
of the Road Project to occur within six (6) months from the date of this Agreement, with an
anticipated completion date of six (6) months from the date of the commencement of
construction.
3 . COST OF CONSTRUCTION OF THE ROAD PROJECT. DEVELOPERS shall mutually agree
upon a road construction contractor who shall be authorized to do business in Indian River County,
Florida for the construction of the Road Project according to the Construction Plans . The
DEVELOPERS agree to each pay fifty percent (50%) of the total construction cost f the Road
Project.
4 , RIGHT-OF-WAY ACQUISITION : Currently, the right-of-way of 45th Street direm.tly adjacent to
the Harbor Trade Center Project Property is approximately 100 feet wide . Harbor T ade Centre LLC
shall sell to COUNTY, as additional right-of--way along 45th Street, a 1 ,405 square ffiot strip of
property as described in Exhibit "B " . The right-of--way shall be conveyed by deed at the request of

the COUNTY, but not later than June 15 , 2005 , at a cost to the COUNTY of $ 10 . 00 per square foot or
$ 149050 .00 .
5 . INSURANCE . The DEVELOPERS agree to obtain general liability insurance in an amount not less
than One Million Dollars ($ 1 ,000 , 000 . 00) per occurrence, with a deductible not greeter than Ten
Thousand Dollars ($ 10 , 000 . 00) or such other amount of coverage and deductible as nay be agreed by
both parties . DEVELOPER shall require the contractors selected to construct the Road Project to
obtain, maintain, and furnish to DEVELOPERS and COUNTY such other insurance as deemed
necessary by DEVELOPERS . COUNTY shall be listed as an additional insured on E 11 such insurance
policies, except workers ' compensation insurance . Such insurance policy shall be primary and
noncontributory with any insurance of COUNTY.
6 , ACCESS AND ACCEPTANCE BY COUNTY. COUNTY hereby grants DEVELOPERS the right
to enter on any land owned or on any right of way owned or controlled by the CO Y within the
Road Project as depicted on Exhibit "C" . Prior to the issuance of a certificate of occupancy to
DEVELOPERS for their respective properties, the Road Project shall be completed In a form
acceptable to the COUNTY. Upon completion of construction of the Road Project a outlined in the
Construction Plans , the DEVELOPERS agree to convey, and COUNTY hereby agrees to accept and
maintain, the Road Project as specified in the Construction Plans together with any 1 andscaping
required by the COUNTY as specified in the Construction Plans . The DEVELOPERS shall be
responsible for any right-of--way permits necessary under this paragraph. The DEVELOPERS agree
to warranty the physical improvements constituting the Road Project and any landscaping conveyed
to COUNTY for a period of one ( 1 ) year from the date of conveyance .
7 . INDEMNITY. Each DEVELOPER shall defend, indemnify, and hold the COUNTI I harmless of and
from any and all liens, claims, actions , loss, cause, damages , and/or expenses (including reasonable
attorneys fees, and costs) arising out of or in any way related to the performance or nonperformance
by a DEVELOPER or such DEVELOPER ' S agents, employees, contractors, subcontractors, or
licensees under this Agreement. In respect to the Road Project, this indemnity shall survive the
completion of the construction of the Road Project, but shall terminate upon acceptaoice of the Road
Project by COUNTY.
8 . The DEVELOPERS shall be responsible for all construction coordination including advertisement for
bids, contractor selection and construction inspections .
9 . No amendment, modification, change , or alteration of this Agreement shall be valid or binding unless
accomplished in writing and executed by all of the parties hereto .
10 . This Agreement shall be binding upon the parties and shall inure to the benefit of tht parties hereto
and their successors , and assigns .

I This Agreement contains the entire agreement and understanding between the parties . No
representation, statement, recital , undertaking, or promise not specifically set forth herein shall be
binding on any party hereto .
12 . This Agreement and all matters arising hereunder shall be governed by the construed in accordance
with the laws of the State of Florida . Venue hereunder shall lie in Indian River County, Florida .
13 . This Agreement shall be deemed prepared jointly by each of the parties hereto and sliall be construed
on parity as between the parties. There shall be no canon of construction for or against any part by
reason of the physical preparation of this Agreement.
14 . Whenever this singular number is used in this Agreement and when required by the context, the same
shall include the plural; and the masculine, feminine, and neuter genders shall each i clude the others .
15 . COUNTY and DEVELOPERS shall grant such further assurances and provide such additional
documents as may be required by one another from time to time, and cooperate ftilly without one
another in order to carry out the terms and conditions hereof and comply with the ex cess intention of
the Agreement.
16 . Failure to insist upon strict compliance with any of the terms, covenants, or conditio is herein shall
not be deemed a waiver of such terms , covenants, or conditions, nor shall any waiver or
relinquishment of any right or power hereunder at any one time or times be deemed it waiver or
relinquishment of such right or power at any other time or times .
17 . All words, terms, and conditions contained herein are to be read in concert, each with the other, and a
provision contained under one paragraph may be considered to be equally applicable under another in
the interpretation of this Agreement.
18 . The words herein and hereof and word of similar import, without any reference to ary particular
section or subdivision of this Agreement, refer to this Agreement as a whole rather tlian to any
particular section or subdivision hereof.
19 . In the event any term, condition, or clause of this Agreement is declared to be illegal or unenforceable
by a court of competent jurisdiction, such declaration of illegality or unenforceabili shall not affect
or alter the legality or enforceability of any remaining term, conditions, or clause he eof, provided of
the parties, as set forth in this Agreement .
