FOR IMPROVEMENTS TO 53RD STREET, DRAINAGE AND LANDSCAPING THIS DEVELOPER' S AGREEMENT ("Agreement") is entered into this 19th day of Jul y , 2005 , by and between INDIAN RIVER COUNTY, FLORIDA, a political subdivision of the State of Florida, with offices located at 1840 25th Street, Verd Beach, Florida 32960, hereinafter referred to as "County" and RINKER MATERIALS OF FLORIDA, INC. , a Florida corporation, with offices located at 1501 Belvedere Road, West Palm Beach, Florida 33406 , Attn : Don Beers, hereinafter referred to as "Developer" . WITNESSETH : WHEREAS , the Developer owns a parcel of property containing approximately 33 + acres located on what will be named 53rd Street, which is located immediately west of the FEC Railway right of way and which is legally described on Exhibit "A" attached hereto and inc rporated herein by reference (the "Developer' s Property") ; and WHEREAS , the Developer proposes to develop a portion of the Developer' s Property ("Phase I") along 53rd Street, (Indian River County Project Number SP-MA-04-06 -28/ 96020133 - 39577) which is legally described on Exhibit "B" attached hereto and incorporated herein by reference (the "Developer' s Project") ; and shown on the sketch attached hereto as Exhibit "C" and incorporated herein by reference with the balance of Developer' s Property being developed at a later date ("Phase I1") ; and WHEREAS , the County is planning to extend and pave 53rd Street as a 6 7 lane roadway from King ' s Highway to US Highway 1 and Developer' s Project, both Phase I and Phase 11 will impact the proposed roadway; and 1 WHEREAS , the County and Developer share mutual concerns with respect to future roadway, and drainage requirements ; and WHEREAS , both the County and Developer can assist each other through dot joint effort that will provide for future roadway and drainage improvements . NOW, THEREFORE , in consideration of the mutual terms, condi ions , promises, covenants and premises hereinafter, the County and Developer agree as follows : 1 . The above recitals are affirmed as being true and correct and are thereby incorporated herein. 2 . The Developer agrees to grant the County a twenty (20) foot wide non- exclusive drainage easement located between the 53rd Street right-of-way and he North Relief Canal for the future drainage requirements for the portion of 53rd Str et to be located between the west right of way line of the FEC railway and the east right of way line of Lateral "H" Canal (the " 53rd Street Section") and drainage watershed area south of 53rd Street as current drainage patterns exist, per Exhibit "D", attached hereto . The non-exclusive easement shall include a portion of the existing ex avated lake on Developer ' s Property together with the right to convey stormwa er, the right to maintain drainage, and the right to maintain the existing outfall structure through the existing thirty six (36) inch pipe located on Developer ' s Property as shown on the sketch attached hereto as Exhibit "E" and incorporated herein by reference . 3 . The Parties agree that the Developer reserves the right to re-route or relocate the foregoing Drainage Easement at Developer' s expense . 4 . The Developer agrees to pay the cost of construction of two lanes of 53d Street along the project frontage, including earthwork (5000 cubic yards of f .11 , at a cost of $25 , 000 max . ), twelve ( 12) inch stabilized subgrade, ten ( 10) inch limerock base, two and one-half (2- 112 ) inches of asphalt, five- foot paved shoulders together with a 2 five- foot concrete sidewalk on the north side of the 53rd Street p oject along site frontage . The total DEVELOPER' S contribution shall be $270 ,23 ( . 80 and shall be paid to the COUNTY prior to release of the site plan for Phase I The COUNTY agrees to pay the cost of two additional lanes . No traffic impact fee credit shall be granted by the County for this contribution. 5 . Landscaping along the south property line of the Developer' s site will be installed after 53rd Street is constructed. 6 . The County hereby approves the two (2) curb cuts shown on the plan attached hereto as Exhibit "F" and incorporated herein by reference and agrees to provide a median cut at the location of the curb cut servicing Developer ' s Projecl at the time of construction of the 53rd Street along the project frontage . The ultirr ate construction of the 53rd Street Section shall provide for left and right turning lanes into Developer ' s Project (to be funded by the Developer) and shall provide for east and west industrial traffic exiting Developer' s Project as shown on Exhibit "G" . 7 . The County approves Developer' s temporary access to 49th Street as shown on the sketch attached hereto as Exhibit "H" and incorporated herein by reference and agrees to grant Developer the right to cross the existing 53rd Street ri At of way. Developer shall provide traffic control, as needed, including coordination of traffic control during construction of 53rd Street. 8 . In the event of any litigation arising out of this Agreement, both parti s shall bear their own attorneys ' fees and costs . 9 . No amendment, modification, change, or alteration of this Agreement shall be valid or binding unless accomplished in writing and executed by all of theParties hereto . 10 . This Agreement shall be binding upon and inure to the benefit of the arties hereto and their successors, and assigns . 3 11 . This Agreement contains the entire agreement and understanding between the parties . No representation, statement, recital , undertaking, or promise not specifically set forth herein shall be binding on any party hereto . 12 . Either party may assign this Agreement. This Agreement and all matters arising hereunder shall be governed by and construed in accordance with the laws of the State of Florida. Venue hereunder shall lie in Indian River County, Florida. 13 . This Agreement shall be deemed prepared jointly by each of the parties hereto and shall be construed on parity as between the parties . There shall be no canon of construction for or against any party by reason of the physical preparation of this Agreement . 14 . Whenever the singular number is used in this Agreement and when required by the context, the same shall include the plural ; and the masculine, feminine, and neuter genders shall each include the others . 15 . COUNTY and DEVELOPER shall grant such further assurances and provide such additional commercially reasonable documents as may be reasonably required by one another from time to time, and cooperate fully with one another in order to carry out the terms and conditions hereof and comply with the express intention of this Agreement. 16 . Failure to insist upon strict compliance with any of the terms, coven ts , or conditions herein shall not be deemed a waiver of such terms, covenants, or conditions, nor shall any waiver or relinquishment of any right or po er at any other times or times . 17 . All words, terms, and conditions contained herein are to be read in concert, each with the other, and a provision contained under one paragraph may be considered to be equally applicable under another in the interpretation of this Agrec ment . 4 18 . The words herein and hereof and words of similar import, without re erence to any particular section or subdivision of this Agreement, refer to this Agreement as a whole rather than to any particular section or subdivision hereof. 19 . In the event any term, condition, or clause of this Agreement is declared to be illegal or unenforceable by a court of competent jurisdiction, such declaration of illegality or unenforceability shall not affect or alter the legality or enforceabil ty of any remaining term, condition, or clause hereof, provided of the parties, z s set forth in this Agreement . 20 . This Agreement may be executed in any number of facsimile counterparts, which, taken together, shall constitute collectively one Agreement . 21 . Each party hereto represents and warrants to the other that the execut ' on of this Agreement and any other documents required or necessary to be executed pursuant to the provisions hereof are valid, binding obligations and are enforceable in accordance with their terms .
