Dear Mrs. Rauth :
INTRODUCTION
Pursuant to your request, we are pleased to submit this proposal to provide geotechnical services
in connection with proposed development of the ±8-acre land parcel located along the north side
of Rebel Road and just west of 43rd Avenue in Vero Beach (Indian River County), Florida.
Presently, the property exists as a vacant, undeveloped land tract.
PROJECT CONSIDERATIONS
We understand that Indian River County is considering the subject parcel for construction of a
pond. Based on our discussion with Mrs. Rauth and Mr. Diable (of Indian River County and
Arcadis, respectively), it has not been determined if the pond will be constructed as a wet or dry
pond.
We understand that tree stumps may have been buried on the subject site. A preliminary
subsurface study of the property is required at this time to aid the placement of the pond.
SCOPE OF WORK
The scope of work that we propose to undertake for the project will entail six (6) principal tasks:
I . Review of the Soil Survey of Indian River County Area, Florida to identify the
predominant soil types that have been mapped in the site area.
2 . Exploration of the subsurface conditions of the site with four (4) SPT borings. The SPT
borings will be drilled to a depth of 25 feet below the existing ground surface using a
truck-mounted drill rig and utilizing mud rotary procedures.

3 . Field testing of the site' s hydraulic conductivity by means of four (4) borehole
permeability tests. Tests will be conducted within angered boreholes in accordance with
the St. John' s River Water Management District testing procedures.
4. Laboratory testing of soil samples encountered in the borings for natural moisture
content, organic content and/or particle-size distribution.
5 . Evaluation of the geotechnical engineering impact of the subsurface conditions upon the
planned construction.
6. Submittal of a brief report, which furnishes our findings and conclusions regarding the
soils encountered.
SCHEDULE
We expect to initiate the field exploration for the project within ten ( 10) days of receiving your
written notice to proceed. Barring weather delays, we expect to complete the field exploration
within fifteen ( 15) days of your written notice to proceed. The report of our findings, conclusions
and recommendations will be submitted about five (5) business days thereafter. The overall
time frame for our work will be about four (4) weeks.
COMPENSATION
Based upon our general knowledge of the subsurface conditions of the site area and an
interpretation of your requirements, we are willing to provide the field and laboratory services
previously outlined for a fixed fee of $5,200. A breakdown of the fee is given on Attachment A
to this proposal.
The proposed fee assumes that site access is sufficient to allow entry of a conventional, 4-wheel
drive, truck-mounted drill rig. No budget allowance has been made for vegetation clearing,
dozer assistance or other means to overcome difficult access. Should that become necessary, we
would contact you immediately and revise our proposal accordingly.
This work will be performed under our current Continuing Services Contract with Indian River
County. The unit fees quoted herein are consistent with our Fee Schedule for the contract period
of October 2005 through October 2006.

GENERAL CONDITIONS

1. Payment Terms: Invoices are due and payable +-lay=a �0 - a •- P f a ate' be

Invoices not paid within 90 days of the wt be referred for collection. Client will be responsible for all
expenses incurre a collection of any unpaid invoice, including the actual attorneys' fees and costs
:gsZ2. Insurance: DET maintains Workers' Compensation and Employer's Liability Insurance in conformance with
applicable state law. In addition, DET maintains Professional Liability Insurance with a $2,000,000 limit, as well as
Comprehensive General Liability Insurance and Automobile Liability Insurance with bodily injury and property
damage combined limits of $2,500,000/$2,500,000. A certificate of insurance can be supplied evidencing such
coverage, upon request.
3. Access to Site: Client will arrange and provide such access to the site as is necessary for DET to perform the work.
DET shall take reasonable measures and precautions to minimize damage to the site and any improvements located
thereon as the result of its work or the use of its equipment; however, DET has not included in its fee the cost of
restoration of damage which may occur. If Client desires or requires DET to restore the site to its former condition,
upon written request DET will perform such additional work as is necessary to do so and Client agrees to pay to DET
the cost thereof.

4. Damage to existing man-made objects: Unless DET has assumed in writing the responsibility of locating subsurface
or latent conditionsSSSS1111Client agrees to indemnify and save DET harmless from all claims, suits, losses, costs and
expenses, including reasonable attorneys' fees as a result of personal injury, death or property damage occurring with
respect to DET' s performance of its work and arising from subsurface or latent conditions or damage to subsurface or
latent objects, structures, lines or conduits where the actual or potential presence and location thereof was not revealed
to DET by Client.
5a. Warranty: DET's services will be performed, its findings obtained, and its reports prepared in accordance with its
proposal, Client's acceptance thereof, these General Conditions, and with generally accepted principles and practices.
In performing its professional services, DET will use that degree of care and skill ordinarily exercised under similar
circumstances by members of its profession. This warranty is in lieu of all other warranties or representations, either
expressed or implied.

6. Indemnity: Subject to the above limitations, DET agrees to indemnify and hold Client harmless from and against any
and all claims, suits, costs and expenses including reasonable attorney's fees and court costs arising out of DET's
negligence to the extent of DET' s negligence. Client shall provide the same protection to the extent of its negligence.
In the event that Client shall bring any suit or claim against DET, the Client shall pay to DET the costs and expenses
incurred by DET to answer and defend it, including reasonable attorneys' fees and court costs, to the extent that DET
shall prevail in such suit.
7. Governing Law: This agreement shall be governed in all respects by the laws of the State of Florida.
