SECOND AMENDMENT TO
WETLANDS MAINTENANCE SERVICES AGREEMENT
This SECOND AMENDMENT WETLANDS MAINTENANCE SERVICES AGREEMENT
("Second Amendment") is entered into as of this 20TH day of May 2008 ("Effective Date"), by and
between Indian River County, a political subdivision of the State of Florida ("County") and Ecotech
Consultants, Inc. ("Consultant").
BACKGROUND RECITALS
A. Effective May 5, 2005, the County and the Consultant entered into the Wetlands Maintenance
Services Agreement ("Agreement') for the provision of wetlands maintenance services as set forth
therein. Effective February 19, 2008, the Agreement was amended to request that the Consultant
perform additional services under the Agreement, and extended though April 30, 2009, in
accordance with its terms, by the Amendment and Extension to Wetlands Maintenance Services
Agreement ("First Amendment').
B. Pursuant to the Agreement, the County may request that the Consultant perform additional
services thereunder.
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, the parties agree as follows:
1. The background recitals are true and correct, and form a material part of this Agreement.
2. From and after the Effective Date of this Second Amendment, paragraph 3 of the Agreement is
amended to include the Services as more specifically set forth in Exhibit 1, for the price set forth in
Exhibit 1.
3. From and after the Effective Date of this Second Amendment, all references to the "Agreement'
shall be deemed to reference the Agreement as amended by the First Amendment and the Second
Amendment.
4. All remaining terms of the Agreement, not herein amended, shall remain in full force and effect.

NORTH COUNTY BRINE DISPOSAL
SCOPE OF SERVICES
This amendment provides for plantingthe Spoonbill Marsh project site. The work describedby Task
1 below is being implemented at this time to provide professional environmental services byEcotech
Consultants, Inc. and the Marine RcsourceCouncil associated with the project described above. The
additional work to be pert<)rmed as part of this Amendment will generally include wetland planting
services.
A description of the scope of services is provided below:
Task 1. Planting Services
Ecotech Consultants, Inc. and the Marine Resources Council will assist the County with the planting
of the Spoonhill Marsh project site. These services will include providing and field installation of
the following plant material.

PROJECT BUDGET
The Ecotech Consultants, Inc. Team proposes to complete the Scope of Services described in
Attachment 1 to this Exhibit for the lump sum amount of $324,858.00. A breakdown of the costs
for each task is shown below.

PROJECT SCHEDULE
An estimated schedule for completion for the scope of services contained in Attachment 1 to this
Exhibit 1 is shown below. The time needed to complete each of the tasks described in Attachment
1 by Ecotech Consultants, Inc. and the County can be reasonably estimated as shown below with the
limitation that neither the County nor Ecotech Consultants, Inc. can control the weather or the
portion of the permitting process controlled by the Florida Department of Environmental Protection,
the St. Johns River Water Management District, and/or the U.S. Army Corps of Engineers. In
addition, this schedule assumes that the General Contractor (Mr. Tim Rose) selected by the County
will complete their portion of the construction services on schedule.

For over 20 years, the Marine Resources Council (MRC) has focused on major issues involving the Indian River Lagoon
including: flow from land drainage and its negative impact on estuarine productivity; loss of seagrasses and mangroves;
coordinating local, state, or federal programs for the lagoon; and the need for public education to incorporate science into
decision-making.
Today, plans for use of the Indian River Lagoon resources are incorporated into the 6 counties' and 33 cities' comprehensive
plans, in addition to state management policy. The state legislature now regularly addresses lagoon issues and has dedicated
funding to the Lagoon. Also, through the direct efforts of the MRC, the Indian River Lagoon received national recognition
in 1990 as a National Estuary of Significance by the EPA.
