HomeMy WebLinkAbout2007-255 1-4 L4- FIRST AMENDMENT TO CONTINUING CONTRACT AGREEMENT FOR PROFESSIONAL SERVICES This First Amendment to Continuing Contract Agreement for Professional Services ("First Aniendmenn is entered into effective as of August 11 , 2007, by and between INDIAN RIVER COUNTY SOLID WASTE DISPOSAL DISTRICT, a dependent special district of Indian River County, Florida ("SWDD") and BROWN AND CALDWELL (CORPORATION), a California corporation, ("Consultant"}. BACKGROUND RECITALS A. Effective August 10,, 2004, the SWDD and the Consultant entered into the Continuing Contract Agreement for Professional Services ("Agreement") . B. The SWDD and the Consultant desire to amend the Agreement by adding a new paragraph 4.3, in accordance with the provisions of the Agreement, as set forth in the First Amendment. NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto, intending to be legally bound, covenant and agree to amend the Agreement as follows: (1) The Background Recitals are true and correct - and form a material part of this First Amendment, (2) From and after the effective date of this First Amendment, paragraph 4.3 is added to the Agreement as follows: 4.3 Pursuant to the terms of this Agreement, the SWDD hereby extends the initial Term of this Agreement for a maximum term of three (3) years ("Extension Term"). The Extension Term shall commence as of August 11 , 2007, subject to a sooner termination in accordance with the terms of this Agreement, and shall end on August 102 2010. The SWDD and the Consultant agree to waive the Agreement provision of ninety (90) days prior notice of intent to extend the Agreement. (3) All terms and conditions of the Agreement not amended herein remain in fall force and effect. IN WITNESS WHEREOF, the SWDD and the Consultant have caused this First Amendment to be signed by their respective duly authorized officers as of the day and year first stated above. The SWDD and the Consultant desire to amend the Agreement by adding a new paragraph 4.3 , in accordance with the provisions of the Agreement, as set forth in the First Amendment. BACKGROUND RECITALS A. Effective August 10, 2004, the SWDD and the Consultant entered into the Continuing Contract Agreement for Professional Services ("Agreement'). B. The SWDD and the Consultant desire to amend the Agreement by adding a new paragraph 4 .3 , in accordance with the provisions of the Agreement, as set forth in the First Amendment.
