HomeMy WebLinkAbout2007-339 FIRST AMENDMENT TO MASTER AGREEMENT [PROFESSIONAL GEOGRAPHIC INFORMATION SYSTEM (GIS ) SERVICES (MASTER) AGREEMENT FOR THE GIS ENTERPRISE NEEDS ASSESSMENT and FUTURE DEVELOPMENT STUDY 2005-2006 , PROJECT # 0532] This First Amendment to PROFESSIONAL GEOGRAPHIC INFORMATION SYSTEM (GIS) SERVICES (MASTER) AGREEMENT FOR THE GIS ENTERPRISE NEEDS ASSESSMENT and FUTURE DEVELOPMENT STUDY 2005-2006 , PROJECT # 0532 (" First Amendment' ) is entered into effective as of October 3 , 2007 (Effective Date" ) , by and between Indian River County, a political subdivision of the State of Florida , 1840 25th Street, Vero Beach , FL 32960 ("County") and Geographic Technologies Group , Inc. , a North Carolina corporation , 648 N . Spence Ave, Goldsboro, NC 27534 ("Consultant') . BACKGROUND RECITALS A . Effective October 4 , 2005 , the County and the Contractor entered into the PROFESSIONAL GEOGRAPHIC INFORMATION SYSTEM (GIS ) SERVICES (MASTER) AGREEMENT FOR THE GIS ENTERPRISE NEEDS ASSESSMENT and FUTURE DEVELOPMENT STUDY 2005-2006 , PROJECT # 0532 (" Master Agreement' ) . B . The County and the Consultant desire to extend the term of the Master Agreement as set forth in SECTION XVIII — DURATION OF AGREEMENT, and amend various provisions of the Master Agreement, all in accordance with the provisions of the Master Agreement, as set forth in this First Amendment. NOW THEREFORE , for good and valuable consideration , the receipt and sufficiency of which is hereby acknowledged , the parties hereto , intending to be legally bound , covenant and agree to amend the Agreement as follows : ( 1 ) The background recitals are true and correct and form a material part of this First Amendment . (2) From and after the effective date of this First Amendment, SECTION XVIII — DURATION OF AGREEMENT is amended by adding the following at the end of existing SECTION XVIII : Pursuant to the terms of this Master Agreement, the County hereby extends the initial term of this Master Agreement for a maximum term of three (3 ) years (" Extension Term") . The Extension Term shall commence as of October 4 , 2007, subject to a sooner termination in accordance with the terms of this Agreement, and shall end on October 3 , 2010 . The Consultant acknowledges and agrees that the obligations of the County under this Master Agreement are subject to the availability of funds lawfully appropriated for its purpose by the Indian River County Board of County Commissioners. The Consultant further acknowledges and agrees that the County has no obligation to fund all or any portion of the Revised Project. 1 (3) From and after the effective date of this First Amendment, all references to " Exhibit A" shall be deemed to mean " Revised Exhibit A, " as more specifically set forth in Revised Exhibit A attached hereto and incorporated herein its entirety by this reference . (4) From and after the effective date of this First Amendment, all references in the Master Agreement to "Project" shall be deemed to mean the " Revised Project, " as more specifically set forth in Exhibit B attached hereto and incorporated herein in its entirety by this reference . (5) From and after the effective date of this First Amendment, Section VI — COMPENSATION is amended by adding the following paragraph : B . The Consultant acknowledges and agrees that no work on the Revised Project under any of the tasks set forth in Revised Exhibit A shall commence unless and until the County has issued a specific Work Order, phased as necessary, for any such services, and the County and the Consultant have duly executed such Work Order. Each Work Order shall set forth the specific task, price , deliverables, and whether payment is due based on monthly invoice (progress payment) ; upon receipt and approval of deliverables ; upon task completion ; retainer; or otherwise . The Consultant shall include on the invoices any identifiable per diem , meals and lodgings , taxi fares and miscellaneous travel-connected expenses for Consultant' s personnel subject to the limitations of Florida Statutes section 112 . 061 , as may be amended from time to time . Travel expenses , if any, shall not be on a direct pay basis by the County. Whenever the term "Work Order" is used herein , it is intended to mean that formal document that is dated ; serially numbered ; and executed by both the County and the Consultant. Each Work Order must be fully executed by the County prior to issuance of the related Notice-to- Proceed . Nothing contained in any Work Order shall conflict with the terms of this Master Agreement, and the terms of this Master Agreement shall be deemed to be incorporated in each individual Work Order as if fully set forth therein . (6) From and after the effective date of this First Amendment, SECTION IX — PAYMENTS , Is amended by adding the following sentence immediately after the existing text: Notwithstanding the foregoing the County and the Consultant acknowledge and agree that the requirement of monthly partial payments ( based on adequate invoices) may be modified by a Work Order. (7) From and after the effective date of this First Amendment, all references in the Master Agreement to Florida Prompt Payment Act ( Florida Statutes section 218 . 70) shall be deemed to mean the Local Government Prompt Payment Act . (8) From and after the effective date of this First Amendment , the following shall be added to the Master Agreement as SECTION XXIII and SECTION XXIV: 2 SECTION XXIII - Public Records . The Consultant shall comply with the provisions of Chapter 119 , Florida Statutes ( Public Records Law) in connection with this Master Agreement. SECTION XXIV Counterparts. This First Amendment may be executed in one or more counterparts, each of which shall be deemed to be an original copy and all of which shall constitute but one and the same instrument. (9) All terms and conditions of the Master Agreement not amended herein remain in full force and effect. All references to the Master Agreement shall be deemed to be to the Master Agreement, as amended by this First Amendment, IN WITNESS WHEREOF , the County and the Consultant have caused this First Amendment to be signed by their respective duly authorized officers as of the day and year first stated above . Currently amid year one of the implementation plan , Indian River County has made significant success toward completion of the visions and goals outlined in this plan . This document outlines the successes of year one , the current state of implementation and a refinement of the plan to meet the ever changing landscape of GIS products and user needs. Through hardware and software procurement, Indian River County has provided the necessary tools to expand from a widely disparate system to an enterprise level GIS system . The mapping and analytical capabilities have been increased from the County ' s investment and will benefit from continued investment in hardware and software . Current projects include a detailed geodatabase design and implementation , address point creation , procurement of various software and consulting services. Each of these projects will enhance the quality of the County ' s GIS and provide greater knowledge of and access to geospatial data . Organizing licensing and maintenance agreements of GIS software will also provide cost savings and give greater control over software distribution to the County. Through various interviews, software and data acquisitions, consulting initiatives and various ad hoc conversations, adjustments to the implementation plan will be required to sustain the progression of the GIS . Summary of Software and Hardware Procurement Several software and hardware purchases have been made during year one of the plan . Each of the products perform vital roles in implementing an enterprise GIS . The following list outlines the purchases : Hardware • ArcSDE Server • ArcIMS Server Software • Arclnfo ArcEditor • ArcView • ArcView Spatial Analyst • ArcView 3D Analyst • ArcView Survey Analyst • ArcIMS with Servlet Exec • ArcSDE for SQL Server GeoManager • GeoBlade Intranet Through the acquisition of ArcSDE and the ArcSDE server, Indian River County has a central location where GIS data are stored and maintained . Through the use of ArcSDE , GIS users and products access data from the same location , providing consistent data for all users throughout the enterprise . Procurement of ArcIMS, GeoBlade Intranet and the ArcIMS server REVISED EXHIBIT A provides GIS maps and analytical tools throughout all the users in the enterprise by enabling GIS functions through web browsers. Arclnfo, ArcEditor, ArcView and its extensions allow for more advanced analysis to be performed on the desktops of experienced users , Summary of Services and Initiatives Several GIS projects have been initiated by the County to improve the utility of the enterprise GIS . The following list highlights these initiatives: • Load of Data into Geodatabase • Address Point Creation • Utilities Data Transformation • Logical and Physical Database Design Through consulting projects and initiatives, many data layers have been located and imported into Indian River County ' s Geodatabase . By loading this data into the geodatabase, access to this data is granted to users and applications providing for a single source of information , The development of Address Points provides Emergency Services with significant value added data to their commonly used data layers. The Address Points provides an accurate means to locate address and provides significantly greater detail to parcels that have many structures at one address . The addition of Address Maintenance Software will provide Indian River County with an easy to use tool for maintaining and updating these points. Logical and physical database design will provide Indian River County with a comprehensive outline of the storage of data layers within the enterprise geodatabase , This will also provide a standard for which future data deliveries should comply. Various other smaller data collection and integration projects have provided some value to the enterprise GIS such as UDAR collection and utilities data transformation . Progress Toward Year One Goals Indian River County has made significant progress toward the overall implementation goals. During the remainder of year one , initiatives should be undertaken to not only meet the individual needs, but the overall implementation goals. Continued year one work should focus on these areas as well as the goals of the implementation plan . Recommended Software Procurement for Remainder of Year One ESRI License Maintenance and Additional Licenses (62,900.00) - Highest Priority Through consulting services and interviews with the Indian River County GIS user community, it has become apparent that ESRI GIS software licensing and maintenance of licenses is an issue that needs to be addressed . The County should make efforts to consolidate its ESRI software maintenance contracts into as few customer numbers as possible and migrate licenses to a concurrent use model . Included in this procurement should be a copy of Arclnfo as outlined in the original plan . Benefits of Consolidating Maintenance and Purchasing Many customer numbers for Indian River County were found in ESRI ' s customer management system exposing the need to consolidate management to a county-wide software agreement with ESRI . Using county-wide maintenance management will provide the county with an accurate count of licenses, ability to maintain current maintenance agreements, and to transfer licenses among users as needed , Maintaining an accurate count of ESRI licenses within the county will allow for analysis to be performed on usage . Active usage analysis can provide insight into the impact of adding new GIS users into the collection of county GIS software , Knowledge of the demand on current licenses from an enterprise standpoint can minimize overlap of software usage - resulting in a more efficient GIS . Implementing centralized maintenance management will allow for all of the licenses to be purchased under a specific ESRI account . All maintenance costs can be bundled into a single quote from ESRI and paid on a specific date . This will minimize any confusion concerning the currency of a department ' s software maintenance agreements . All maintenance will be due on the same date and under one quote . Under a centralized maintenance structure costs of purchasing new software will be reduced . If an organization no longer requires a specific ESRI software product, another organization may assume the license, eliminating costs associated with purchasing new software licenses. In addition to these benefits, Indian River County will benefit by reduction in maintenance costs. ESRI requires one ( 1 ) primary maintenance agreement for every ten (10) concurrent software products per customer number. Under its current schema , the county is paying for one (1 ) more Arclnfo , one (1 ) more ArcEditor and (3) more ArcView primary maintenance agreements than would be needed with a consolidated agreement. As outlined in the following matrix, currently Indian River is paying for nine (9) primary maintenance agreements for twenty- nine (29) overall licenses . By consolidating licenses into a concurrent model , the County has the freedom to distribute license to use files to whoever needs it without repercussion or added cost. Adding users will not require purchasing additional software and as user base grows, and additional licenses can be added as needed . Recommendation Work with a GIS consultant or through the GIS Director, ESRI and departmental GIS contacts to review licensing and consolidate current maintenance into a single customer number for purchasing . Following consultation , procure necessary software and maintenance updates from ESRI . Consolidate licenses into groups to manage usage , ArcPad Mobile GIS (5,000.00) - Highest Priority Benefits of Procuring ArcPad Procurement of ArcPad , ESRI ' s mobile GIS solution will give Indian River County the opportunity to have an agile GIS that users can access while away from their desks. Through tools in the ArcGIS software, data can be manipulated in the field and brought back into the geodatabase . This product will create efficiency in field data collection and provides opportunities to link spatial data into existing mobile processes , Recommendation Procure ten ( 10) licenses of ArcPad From ESRI or ESRI reseller . Field copies to departments as follows ; Computer Services ( 1 ) ; Emergency Services (3 ) ; Public Works (6) . Moblie GIS Data Browser (22,000.00) - Medium Priority Emergency Services and Sheriff' s Department currently employ New World software in their vehicles for routing , incident notification and mapping . These departments are satisfied with their current software, reducing the need for Indian River County to pursue additional software to meet their needs . The other departments listed in the implementation plan still have requirements for mobile brosers , Benefits of Mobile GIS Data Browser Work being performed outside of the office can be performed with powerful GIS capable mobile softwaer. This software will give users ability to view data layers, zoom to locations, zoom to intersections, and search for addresses. Additionally, mobile GIS data browsers provide buffer searching and hotlinks to documents or photographs. These provisions allow for GIS to be taken into the field without compromising functionality , Recommendation Indian River County should work with GIS consultant or vendor to procure GIS mapping solution for viewing GIS data on mobile computers. Currently, Automatic Vehicle Location (AVL) is not a requirement for the remaining browsers and software should be purchased for its capabilities in mapping and analysis . Public Kiosk Touch Screen Applications (26,390.00) - Lowest Priority Public use kiosks are powerful tools in providing geospatial and related data to the public . When placed strategically, these devices and software provide greater customer service as a single location for information . Recommendation Procure touch screen software and hardware for implementation in departments as outlined in original plan . Asset Management Software Analysis and Procurement (54,000.00) - Medium Priority A study should be performed to considering implications of implementing an Asset Management throughout the enterprise . Indian River County will see efficiency by procuring an asset management system that fits the level of complexity required by current departments. Additionally, an asset management system for the enterprise should provide solutions to as many different departments as possible to reduce the complexity that can be caused when transferring data between systems. Recommendation Perform an analysis of various asset management, work flow and GIS products as they fit within Indian River County 's enterprise . Use remaining to fund a portion of asset management . Emergency Notification System (30,000.00) - Lowest Priority Utilizing the spatial capabilities of an emergency notification system will allow for Indian River County officials to provide quick and targeted notice to citizens who may be affected by an emergency or particular event , Recommendation Indian River County should procure an Emergency Notification System as outlined in original plan . Recommended Hardware Procurement for Remainder of Year One Public Access Touch Screen Computers / Kiosks (30,000.00) - Lowest Priority Public access touch screen computers or kiosks can be used to provide information to the public through easy to use and intuitive interfaces . These units can be built as stand alone units or as desktop units . The location of the device will determine the configuration needed . Recommendation Indian River County should procure public access touch screen computers or kiosks based on placement within the department . The County should place these devices as follows Community Development (2 ) , Emergency Services (1 ) , Property Appraiser' s Office (1 ) , General Services (2) , Supervisor of Elections (1 ) . HandHeld Computer Units (15000.00) - Highest Priority Handheld computer units provide users with the capability perform complex GIS analysis in the field as well as collect data . Handheld computers combined with Global Positioning System capabilities are powerful tools for data collection . Recommendation Procure rugged , GPS capable handheld computers from ESRI or preferred vendor. ESRI offers bundled packages of handheld computers with ArcPad software and should be used for procurement if possible . Mobile Computers (32,500.00) - Medium Priority Mobile computers are used in conjunction with mobile GIS data browsing applications . Indian River County departments will benefit from providing users with GIS capabilities when not in the office . Recommendation Indian River County should procure mobile computers as outlined in original plan . Recommended Data Procurement for Remainder of Year One CD -Plus Address Clean Up (45000.00) - Medium Priority Indian River County will benefit from a comprehensive CD - Plus address clean up project . Comparing addresses from the CD- Plus database against the recently developed address point layer will allow for consistent interfacing between the GIS and CD-Plus . Establishing consistency between address points data and the CD-Plus data base will allow viewing of parcel related data through GIS interfaces . Additionally fields in the CD-Plus database can be queried and analyzed spatially with highly accurate address matches . Recommendation Indian River County procure GIS consultant to perform CD- Plus address clean- up project. Advanced Geodatabase Topology and Rules Modeling (20,000.00) - Medium Priority Currently, Indian River County has a physical and logical database model that was developed to support the level of GIS use by the County ' s staff. As individual departments develop more data , implement software and integrate GIS into their work flows, the GIS database model should grow to meet their needs . Implementing topology rules, relationships and training users on how to use them will allow for data collection efforts, modeling and analysis to be more robust . Recommendation Work with GIS consultant to review products, work flows, current data , and planned data procurement to establish topology rules and relationships in the geodatabase . Creation of Derived GIS Layers (40,000.00) - Highest Priority With the development of the Address Points GIS layer the County now has the capacity to generate numerous data layers by geocoding addresses in existing databases . Performing a geocode on these external databases will allow for display and analysis on the geographic nature of the external databases. Analysis can be performed on data items such as traffic accidents, animal control complaints, or complaints to determine if action needs to be performed in a specific are within the county . Benefits of Derived GIS Lavers Approximately thirty-six (36) layers have identified as layers that can be built through geocoding addresses from databases . Of these layers approximately ten (10) layers would be built from unknown sources. Through geocoding information in these databases valuable spatial information can be added to business procedures that use these databases such as emergency services, public safety , community development and public works . Recommentation Indian River County procure services from a GIS consultant who will work with Indian River County personnel and database vendors to generate these data . Automated Geodatabase Management Procedures (8000.00- Highest Priority) With expanding development of GIS data layers from automated sources such as geocoded databases, updating these layers on a regular schedule can be a laborious task. After developing automated GIS layers, Indian River County ' s geodatabase should have procedures placed on the server or in the database that will refresh the data on a schedule . Benefits of Automated Geodatabase Management Automated processes can perform manual work during hours when there is no staff working within the system . Running procedures overnight will eliminate users from experiencing interruptions due to data updates . The procedures also work automatically, keeping the data up -to-date and removing reliance on personnel to perform the updates. Recommendation After generating automated GIS layers , the County should procure GIS consultant services to automate the updating of automated layers . On-site and Off Site Consulting (Three Months - 42140.00) - Highest Priority Indian River County has benefited from procuring a GIS consultant to perform ad hoc analysis, data manipulation , system troubleshooting , and impromptu work on the GIS system . Performing impromptu GIS tasks allows for the GIS to keep up-to-data without relying on County personnel to be distracted from their business procedures. This work can include updating system files, service packs, and installing software on desktops. Recommendation Indian River County procures three (3 ) months of on -site and off-site consulting services from a qualified GIS company . Recommended Training for Remainder of Year One Introduction to ArcGIS 1 (7500.00) - Highest Priority This course will provide GIS users with GIS skills that will enhance their capability to use ArcGIS software in their normal business procedures. As the first part of a two part series, this course coupled with Introduction to ArcGIS II will provide significant training and GIS knowledge to Indian River County ' s GIS users . Recommendation Indian River County should provide training at Indian River County facility for up to 15 users through ESRI or Certified ESRI Trainer. Introduction to ArcGIS II (10,500.00) - Highest Priority This course will provide GIS users with skills that will further advance their capability to use ArcGIS software in their normal business procedures . As the second part of a two part series, this course coupled with Introduction to ArcGIS I will provide significant training and GIS knowledge to Indian River County 's GIS users . Recommendation Indian River County should provide training at Indian River County facility for up to 15 users through ESRI or Certified ESRI Trainer. ArcGIS Server Enterprise Configuration and Tuning for SQL Server(950.00) - Lowest Priority A large portion of the Indian River GIS director 's work responsibility will be working with configuration , tuning and day-to-day management of the geodatabase , This ESRI class will allow for the GIS Director to receive hands-on training with ESRI about SDE issues that will be part of Indian River County ' s geodatabase . Fee-based funds are the most stable source of funding and enable program managers to establish budgets and plan for normal operations and initiatives. Grant-based funds can fund large or special projects . Fee Options Indian River County has many opportunities to apply small fees to transactions that require GIS support . In this way the fees charged would be ear-marked for systems required to maintain and enhance the service level . Building and Development Permit Fees and Recording Fees are good examples of County services that utilize GIS products as part of the business workflow. The fee structure does not have to be exorbitant to be an effective funding source . For example, a $ 15 recording fee or $ 10 building permit fee can supply significant level of funds over time. Land development fees should be explored for funding . A developer will typically pay tens of thousands of dollars in fees to permit and plat a development project. A subdivision or platting fee could be an effective funding source . However, numerous federal programs could provide funds for specific GIS projects . The following lists some federal agencies and organizations that offer grant-based funds. Technology Opportunity Program (TOP) • National Telecommunications and Information Administration ( NTIA ) Provides matching grants for projects that improve the quality of, and the public's access to, education , health care, public safety, and other community-based services .
