This First Amendment to Privity Agreement (" First Amendment') , bearing an Effective
Date of December 18 , 2007 , is entered into by and between EFM Group, Inc . , a Florida
corporation ("Contractor" ) as Contractor under that certain City of Palm Coast Agreementfor
Professional Geographical Information Systems/Services (GIS) Engineering Services with the
EFM Group , Inc. , dated November 15 , 2005 ("Contract' ) and Indian River County, a political
subdivision of the State of Florida , hereby represents and warrants to Indian River County,
Florida that:
1 ) On June 5 , 2007 , the County and the Contractor entered into a Privity Agreement .
2 ) The County and the Contractor now desire to modify Exhibit 2 to the Privity
Agreement by adding Phase 2 at an additional cost of $29 , 173 . 00 .
3 ) From and after the Effective Date , the Privity Agreement is modified by adding
Exhibit 2A attached hereto and incorporated in its entirety by this reference .
4 ) All terms and conditions of the Privity Agreement not modified by this First
Amendment shall remain in full force and effect .
In Witness Whereof, and intending to be legally bound , the parties have signed this
First Amendment as of the Effective Date .
