FIRST AMENDMENT TO AGREEMENT
This First Amendment to the Indian River County Nearshore Reef Monitoring Agreement
("First Amendment") is entered Into effective December 16, 20087 by and between Indian River
County, a political subdivision of the State of Florida , 1801 27`h Street, Vero Beach , FL 32960
("Count) " ) and Florida Institute of Technology, having a principal place of business at 150 West
University Avenue , Melbourne , Florida 32901 ("Contractor") .
BACKGROUND RECITALS
A . Effective July 9 , 2007, the County and the Contractor entered into the Indian River County
Nearshore Reef Monitoring Agreement ("Agreement") .
Be The County and the Contractor desire to amend the Agreement by extending the term and
providing additional reports , all in accordance with the provisions of the Agreement, as set forth in
this First Amendment ,
NOW THEREFORE , for good and valuable consideration , the receipt and sufficiency of
which is hereby acknowledged , the parties hereto , intending to be legally bound , covenant and
agree to amend the Agreement as follows :
( 1 ) The background recitals are true and correct and form a material part of this First Amendment.
(2) From and after the effective date of this First Amendment, Article 1 of the Agreement is
amended by adding the following sentence at the end of existing Article 1 :
"The Contractor shall provide three additional quarterly progress reports in connection with
the Scope of Services hereunder."
(3) From and after the effective date of this First Amendment, the existing Article 2 of
the
Agreement is deleted in its entirety and replaced with the following .
"As time is of the essence , the Contractor shall commence work immediately upon receipt
of the notice to proceed , and complete the Services no later than December 31 , 2009 ."
(4) All terms and conditions of the Agreement not amended herein remain in full force and effect.
IN WITNESS WHEREOF , the County and the Contractor have caused this First
Amendment to be signed by their respective duly authorized officers as of the day and year first
stated above .
