LANDFILL METHANE EMISSION OFFSETS
This Sales Contract ("Contract") for the exchange of landfill methane emission offsets
("Offsets") is made effective this 10th day of June, 2008, by and between Geosyntec Consultants,
Inc. ("Geosyntec"), located at 2258 Riverside Avenue, Jacksonville, Florida_32204, and Indian
River County Solid Waste Disposal District, a dependent special district of Indian River County
Utilities Department ("SWDD"), whose address is c/o Indian River County Utilities Department,
1801 27th Street, Vero Beach, Florida 32960.
NOW, THEREFORE, in consideration of the mutual promises set forth below, the parties hereby
agree as follows:
1. COMMODITY TRADED. This Contract addresses the trade of Offsets generated by the
collection and combustion of landfill gas. The commodity traded are the Offsets and not the
landfill gas itself.
2. CURRENT OWNERSHIP OF OFFSETS. The SWDD attests that it holds full legal title to the
Offsets generated from the Indian River County Class I Landfill located at Vero Beach, Florida.
3. TRANSFER OF OWNERSHIP OF OFFSETS. The parties to this Contract hereby agree that
title to the two batches of Offsets covered under this Contract and accumulated from October
25, 2007 through March 11, 2008 shall be transferred to Geosyntec with immediate effect for
the sole purpose of verifying, registering, and selling the Offsets in the Chicago Climate
Exchange (CCX) per CCX's rules and regulations on behalf of SWDD. This transfer is made in
accordance with Work Order Number 11, approved by the SWDD Board of Commissioners on
July 24, 2007. SWDD agrees to execute further documents to the extent needed to facilitate the
transfer and sale of the Offsets, upon review and approval by the Indian River County County
Adminstrator, or designee, and all appropriate staff.
