AMENDMENT NUMBER 1 TO WORK ORDER NUMBER 9 This Amendment I to Work Order Number 9 is entered into as of this 16th day of September , 2008 (" Effective Date " ) pursuant to that certain Continuing Contract Agreement for Professional Services entered into as of August 10 , 2004 , and amended effective July 24 , 2007 (as so amended , the "Agreement' ) , by and between Indian River County Solid Waste Disposal District , a dependent special district of Indian River County , Florida (" District' ) and Geosyntec , Inc . (" Consultant' ) . 1 . The District has selected the Consultant to perform the professional services set forth in existing Work Order Number 9 , Effective Date July 24 , 2007 2 . The District and the Consultant desire to amend this Work Order as set forth on Exhibit 1 attached to this Amendment and made part hereof by this reference . The professional services will be performed by the Consultant for the fee schedule set forth in Exhibit 1 and within the timeframe more particularly set forth in Exhibit 1 , all in accordance with the terms and provisions set forth in the Agreement . 3 . From and after the Effective Date of this Amendment , the above-referenced Work Order is amended as set forth in this Amendment . Pursuant to paragraph 1 . 4 of the Agreement , nothing contained in any Work Order shall conflict with the terms of the Agreement and the terms of the Agreement shall be deemed to be , incorpoiated in each individual Work Order as if fully set forth herein . Managing Director Solid Waste Disposal District Indian River County 1325 74`h Avenue SW Vero Beach, Florida 32968 Subject: Amendment to Work Order No. 9 Proposal for Additional Engineering Services Borrow Area Permitting Indian River County Landfill Facility Vero Beach, Indian River County, Florida Dear Mr. Mehta : Geosyntec Consultants (Geosyntec) is pleased to submit this proposal to the Indian River County (IRC) Solid Waste Disposal District ( SWDD) for the provision of additional engineering services required to complete the permitting of a borrow area at the IRC Landfill (IRCL) facility located in Vero Beach , Indian River County, Florida. This proposal (Attachment 1 ) specifically relates to amending Work Order No . 9 (for the Continuing Contract Agreement between IRC SWDD and Geosyntec , dated 10 August 2004, and amended effective July 24, 2007) to include additional professional services required to : (i) respond to request for additional information (RAI) from the FDEP Environmental Protection (FDEP) on the environmental resources permit (ERP) application ; (ii) respond to RAI from the Saint Johns River Water Management District (SJRWMD) on the consumptive use permit (CUP) modification application ; and (iii) complete a tree location and identification survey required for the submittal of the Planning Department Permit (PDP) application to IRC Planning Department. It should be noted that as part of the permitting process for the borrow area, the SJRWMD was identified as the permitting agency for both the ERP and CUP modification applications . Therefore , a pre-application meeting was held with staff from both the ERP and CUP permitting sections of SJRWMD at the Palm Bay Service Center in late 2007 . During this meeting, which was also attended by SWDD staff, the SJRWMD personnel confirmed prior telephone conversations that they would be responsible for reviewing the permit applications . However, after submitting the permit application in June 2008, the SWDD was informed by a representative of SJRWMD of their decision to transfer the responsibility for the review and FL1320-01 /JL80212. doc €*ngillce s ( scientkis I innovators Mr. Himanshu Mehta, P. E . 9 August 2008 Page 2 approval of the ERP application to the FDEP. This change required additional engineering effort by Geosyntec to re-educate the FDEP-assigned review team on the details of the application in order to enable them to conduct an effective review of the submitted permit application . SWDD has since received comments from both FDEP and SJRWMD requesting additional information to review the respective permit applications . This proposal requests additional funding authorization necessary to respond to the RAIs from both agencies to all them to complete the review and approval of the ERP and CUP applications for the borrow pond by the FDEP and SJRWMD, respectively. Additionally, a tree location and identification survey is required to complete the IRC PDP application . The remainder of this proposal presents : (i) proposed scope of work; ( ii) budget estimate ; and (iii) schedule . PROPOSED SCOPE OF WORK For budgeting purposes, the additional scope of work will be performed under four of the five tasks (phases) in Work Order No . 9 . The additional scope of work for each phase is briefly described below. Phase 1 : General Consulting/Meeting Support/Project Management Geosyntec will meet with FDEP to discuss our preliminary responses to their comments on the ERP application . This meeting, with prior authorization from SWDD in an effort to accelerate the permitting process, was held on 1 August 2008 .) A similar meeting will also be held with SJRWMD to discuss responses to comments on the CUP modification application . Project management activities, including budget and schedule tracking, invoicing (including review and approval of subcontractor invoices), and preparation of monthly progress reports, will be provided as part of this phase . Phase 2 : ERP Application Geosyntec will prepare written responses to the FDEP RAI . Geosyntec will revise the borrow area construction drawings to avoid impacts to Wetland 16 in response to FDEP ' s request. Additional stormwater modeling and routing calculations will be performed to provide adequate responses to FDEP ' s request for additional information on the pre- and post-discharge analysis for the borrow pond . Also , as part of this phase, and with prior approval from SWDD , Geosyntec has subcontracted the archaeological/ cultural resource reconnaissance survey requested by FDEP to Environmental Services, Inc . (ESI) . A copy of ESI ' s proposal is included as Attachment 1 -A . ESI has completed its work and we are reviewing their draft report for inclusion into the RAI response to FDEP . E. 9 August 2008 Page 3 For the purpose of the budget estimate, and based on the 1 August 2008 meeting with FDEP, Geosyntec has estimated one response is required . Geosyntec will also coordinate with SWDD to ensure that a check for the permit application fee is submitted to FDEP. Phase 3 : CUP Modification Application Geosyntec will prepare written responses to SJRWMD RAI . As part of the written responses, Geosyntec will provide details on the dewatering system proposed and number of pumps to be used and additional calculations to demonstrate the additional pumping will not exceed the currently permitted pumping rate . Therefore, the application fee will still remain at $250 for a minor modification to the CUP. We will meet with the reviewing team to present the responses and answer questions . For the purpose of the budget estimate, Geosyntec has estimated one response is required . Geosyntec will also coordinate with SWDD to ensure that a check for the permit application fee is submitted to SJRWMD . Phase 4 : Stormwater Management and Tree Removal Application Geosyntec has subcontracted, with SWDD ' s approval , the tree location and identification survey meeting the IRC requirements for site planning purposes within the SWDD Northern Expansion Area to Carter Associate, Inc (CAI) . A copy of CAI proposal is included as Attachment 1 -13 . Upon receipt of CAI ' s survey report and review and concurrence by both SWDD and Geosyntec, the PDP Application will be revised and submitted to the IRC Planning Department. BUDGET ESTIMATE A budget estimate for the scope of work outlined in Phasesl through 4 of this proposal is summarized in the following table, and a detailed budget estimate is provided as Attachment 2 . The budget estimate does not include permit fees to the various permitting agencies . Responses to the RAI from SJRWMD will also be completed within the same time frame . Geosyntec has assumed that the required permits will be obtained within two to three months of submission of the RAI responses and the final PDP Application . Assuming there will be no additional RAIs, it is anticipated that the ERP, CUP, tree removal and other permits for the borrow area will be issued by 31 October 2008 to facilitate construction of the Class I landfill vertical expansion as well as partial closure of Segment 2 and the Infill Area. EC08036. 00 The following Contract for Services is an agreement between Environmental Services, Inc. , (ESI) and Geosyntec Consultants (Client) with the terms specified herein , Client agrees that the company/individual signing this agreement has the ability to compensate ESI for the work described even if the proposed project does not materialize. ESI agrees to perform the following tasks for the associated fee. Project Name, Geosyntec/IRC Borrow Pit Expansion Project Location : Indian River County, Florida SCOPE OF SERVICES FIXED FEE Task 1 . Cultural Resource Reconnaissance Survey $29500.00 ESI will conduct a preliminary study of the project area to evaluate the potential for containing cultural resources, including prehistoric and historic archaeological sites as well as historic structures. The investigation will include background research, a review of previously recorded sites and historic structures, a thorough pedestrian inspection of exposed ground surface, and limited subsurface testing in areas of proposed impacts . The report of findings will follow the standards prepared by the Florida Division of Historical Resources (DHR), and will include background research, results of the survey, and recommendations. Once complete, the report will be sent to DHR for review. The review process general takes 30 days . We will work on the basis described above using the outlined costs defined for each task. Our fee/estimated cost for Tasks 1 is $2, 500 . 00, excluding any permit application fees, these fees are not included in this budget and are the responsibility of the applicant. Additional services not specifically addressed herein will be invoiced on a time and materials basis at standard ESI hourly rates. We will provide you with a written proposal for these tasks if, or when, they become necessary. We are prepared to proceed upon receipt of the signed contract, ENVIRONMENTAL SERVICES, INC. Every project is reviewed by a senior technical manager to ensure that the work has been performed in compliance with our goal of providing superior service and solutions to our clients , TERMS : ESI will complete the work described above in a timely manner unless delayed by Client's request, lack of information, or intervening factors beyond our control . Client assures ESI that it has permission to work on the subject property and will advise ESI of proper procedures for accessing subject property. ESI will maintain a minimum $ 1 ,400,000 errors and omissions (professional liability) insurance; $ 1 ,400,004 per occurrence and $2,400,400 aggregate liability insurance for the duration of the project. If any additional insurance requirements are necessary, please return the specifications with the signed proposal. They will become a part of this contract as agreed by both parties. Outside services and expenses such as subcontractors and special purchases will be invoiced with a handling fee of 15 percent. A retainer of $0.00 is required ; the retainer will be subtracted from the last invoice and is required by ESI to initiate work. Client will provide ESI with any special billing formats or considerations with the signed contract. Billing is done monthly. Payment is due within 14 days upon receipt of the invoice; after 30 days the Client agrees to pay 1 . 5 percent late fee per month or portion thereof on unpaid balances . Unpaid balances after 60 days from the date of the invoice may result in work stoppage until overdue accounts are resolved . Failure to pay within 60 days from the date of invoice will be considered by ESI to be a breach of contract, and ESI may cease work and withhold all work product immediately without penalty from the Client. Any disputes regarding payment for services will be resolved in a court in the county of the ESI office responsible for the work.
