FIRST AMENDMENT TO CONTINUING CONTRACT
AGREEMENT FOR PROFESSIONAL SERVICES
This First Amendment to Continuing Contract Agreement for Professional Services ("First
Amendment') is entered into effective as of March 16, 2008, by and between INDIAN RIVER
COUNTY, a political subdivision of the State of Florida, 1840 251h Street, Vero Beach, FL 32960
("County") and HYDROMENTIA, INC., 3233 SW 33rd Road, Ocala, FL 34474, P.O. Box 367,
Ocala, FL 34478 ("Consultant').
BACKGROUND RECITALS
A. Effective March 15, 2005, the County and the Consultant entered into the Continuing
Contract Agreement for Professional Services ("Agreement').
B. The County and the Consultant desire to amend the Agreement by adding a new paragraph
4.3, in accordance with the provisions of the Agreement, as set forth in this First Amendment.
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, the parties hereto, intending to be legally bound, agree as follows:
(1) The Background Recitals are true and correct and form a material part of this First Amendment.
(2) From and after the effective date of this First Amendment, paragraph 4.3 is added to the
Agreement as follows:
4.3 Pursuant to the terms of this Agreement, the County hereby extends the Initial
Term of this Agreement for a maximum term of three (3) years ("Extension Term').
The Extension Term shall commence as of March 16, 2008, subject to a sooner
termination in accordance with the terms of this Agreement, and shall end on March
15, 2011. The County and the Consultant agree to waive the provision in the
Agreement that requires ninety (90) days prior notice of intent to extend the
Agreement.
(3) All terms and conditions of the Agreement not amended herein remain in full force and effect.
IN WITNESS WHEREOF, the County and the Consultant have caused this First
Amendment to be signed by their respective duly authorized officers as of the day and year first
stated above.

A. Outside contractual services secured by Consultant on COUNTY'S behalf, travel
costs by commercial carrier, direct non -salary expenses including, but not limited
to, meals, lodging, special mailing or delivery services, legal advertisements and
notices, title search service and special survey materials shall be reimbursed at
Consultant's cost.
B. Contract printing and blueprinting will be charged at Consultant's cost.
Photocopies shall be charges at $0.15 per page.
C. Sub contracted professional services shall be reimbursed at Consultant's cost.
