HomeMy WebLinkAbout2007-183 2007- 183 63/ 29/ _©B7 13 : 52 7725699317 CDATTV PAGE 02 INTERLOCAL AGREEMENT FOR PURCHASE OF PROPERTY FOR STORIMW ATER RETENTION AREA, TEMPORARY CONSTRUCTION EASEMENT , PURCHASE OF PROPERTY FOR RIGHT-OF-WAY, SEWER AND WATER CONNECTIONS AND SIZING OF OUT FALL STRUCTURE BETWEEN THE INDIAN RIVER COUNTY BOARD OF COUNTY COMMISSIONERS AND THE SCHOOL DISTRICT OF INDIAN RIVER COUNTY, FLORIDA THIS AGREEMENT, entered into the 5th day of .l tn� , 2007 , by and between Indian River County Board of County Commissioners, Stale of Florida, located at 1840 25`h Street, Vero Beach, Florida, hereinafter called COUNTY, and the School District of Indian River County, Florida, located at 1990 251h Street, Vero Beach, Florida, hereinafter calied the SCHOOL DISTRICT. WITNESSETH WHEREAS, the COUNTY is in the process of constructing necessary roadway and intersection improvements to Oslo Road between 20th Avenue and 27th Avenue, including roadway expansion and stormwater treatment in Indian River County, Florida; and WHEREAS , the COUNTY will also make improvements to the Oslo Road 20th Avenue intersection, including the addition of turn lanes on 20th Avenue; and WHEREAS, the SCHOOL DISTRICT owns property adjacent to the proposed roadway improvements that is currently undeveloped, an aerial photograph is attached; and WHEREAS, The SCHOOL DISTRICT has already conveyed 80 feet of their property adjacent to Oslo Road to be used as right-of-way by the COUNTY to achieve the COUNTY ' S ultimate right-of-way needed for the Oslo Road improvement project. The recorded deed can be found at OR Book 1898 page 573 of the Public Records of Indian River County . A sketch of the right- of-way property that has been conveyed is attached to this agreement as Exhibit A and incorporated by reference here in; and WHEREAS , the COUNTY owns and maintains water and sewer facilities adjacent to properly owned by the SCHOOL DISTRICT; and WHEREAS, the SCHOOL DISTRICT may construct buildings on their property in the future which would require connections to the nearby water and sewer facilities; and WHEREAS, if the SCHOOL DISTRICT does construct buildings on their property in the future, it would need to treat stormwater runoff from their property. 1 03/ 29/ 2087 13 : 52 7725694317 CDATTV PAGE 03 NOW THEREFORE, in consideration of the mutual benefits to be derived from joint participation and other good and sufficient consideration, the parties agree to the following: 1 . The recitals set forth above are true and correct and are deemed incorporated herein. 2 . Stormwater Retention Parcel and 20th Avenue Right-of-Way . By a standard commercially• reasonable contract for sale and purcbase 5epefa4e doetueat, the SCHOOL DISTRICT will convey to the COUNTY a 153•• acre parcel of property located at the southwest comer of the SCHOOL DISTRICT property and a 32 foot strip of property running parallel to 20th Avenue . A sketch and legal description of the 1 . 53L acre parcel of property is attached to this agreement as Exhibit B and a sketch and legal description of the 32 foot strip property is attached to this agreement as Exhibit C and both exhibits are incorporated by reference here in. The COUNTY shall obtain an appraisal of the parcels of property and provide the SCHOOL DISTRICT with a copy of same upon receipt. The purchase price for the parcels of propertv will be the anpraisal price or the offer price of 5387 ,000 which ever is greater. The appraisal shall be performed by a Florida licensed appraiser. The COUNTY will construct at its sole expcnse, a 185 ' x 360' (approximate) stormwater retention pond and outfall structure to the sub-lateral canal of sufficient size to treat stormwater runoff from the expanded Oslo Road. The COUNTY shall size the outfall pipe to accommodate the SCHOOL DISTRICT potential needs for future pond enlargement. Any soil excavated in constructing the pond shall be the property of the COUNTY for use in their road construction project. The COUNTY shall erect a fence surrounding the retention area that may be moved (subject to County permitting requirements) if the SCHOOL DISTRICT improves their property. Any surveying, permits , title work, recording fees or other costs associated with the conveyance shall be home by the COUNTY. The SCHOOL DISTRICT agrees to provide the COUNTY with any existing legal descriptions or surveys upon request by the COUNTY. A sketch of the property to be conveyed is attached to this agreement as Exhibit B and incorporated by reference here in. 3 . Expansion of Retention Pond. Should the SCHOOL DISTRICT decide to expand or relocate the retention pond due to improvement of their property, the SCHOOL DISTRICT shall design a combined retention pond that meets the stormwater needs of both the SCHOOL DISTRICT and the COUNTY . The combined pond shall be designed to have no adverse impacts on the Oslo Road drainage. The COUNTY shall have the right to review and approve of the design of any pond expansion. Any expansion or relocation of the retention pond shall be at the SCHOOL DISTRICT' S sole expense. 4. Temporary Construction Easementt While the COUNTY is obtaining the appraisal and preparing the necessary documents for closing on the properties and so that the County can continue 2 031129/ 2087 13 : 52 7725654317 COATTY PAGE 04 with its timely construction of the Oslo Road project, the School District shall convey a Temporary Construction Easement to the County to allow the County' s contractor to begin construction of the pond site. Sewer Connections . During construction of the Oslo Road Expansion, the COUNTY shall cause to be constructed a connection to the 12" diameter force main under Oslo Road and shall extend a service tine to the right-of-way for future connection. The SCHOOL DISTRICT shall be responsible for any line extension fees, cormecdon fees and any other costs associated with future service to their property. 7 . water Connections. During construction of the Oslo Road Expansion, the COUNTY shall cause to be constructed a connection to the 20" diameter water main under Oslo Road and shall extend a service line to the right-of-way for future connection. The SCHOOL DISTRICT shall be responsible for any line extension fees, connection fees and any other costs associated with future service to their property . 8. Timeline for Closing. The COUNTY estimates that it will take approximately thirty days to obtain an appraisal and upon receipt of the appraisal , the parties should be able to proceed to close on the parcels in approximately thirty days . The parties shall cooperate and take all action necessary to close the purchase of the subject parcels as soon as reasonably possible following the delivery of the appraisals. 9. Property Insurance/Risk Management. At the time of conveyance of any properties under this agreement, the receiving party shall be responsible for securing insurance coverage on the facility and grounds. 10. Assignment. Jurisdiction. This agreement is governed by and construed in accordance with the laws of the State of Florida. 13 . Entire Aereement. This document incorporates and includes all prior negotiations, correspondence, conversations, agreements, or understandings applicable to the matters contained herein, and the parties agree that there are no commitments, agreements or understandings concerning the subject matter of this agreement that are not contained in this document. Accordingly, it is agreed that no deviation from the terms hereof shall be predicated upon any prior representation or agreements whether oral or written. It is further agreed that no modification, amendment, or alteration in the terms and conditions contained herein shall be effective unless contained in a written document executed with the same formality and of equal dignity wherewith. 14 . Notices. Any of all notices (except invoices) given or required under this agreement shall be in writing and either personally delivered with receipt acknowledgement or sent by certified mail, return receipt requested.
