FIRST AMENDMENT TO STANDARD FORM OF AGREEMENT 5
BETWEEN OWNER AND ARCHITECT FOR
INDIAN RIVER COUNTY JAIL ADDITION AND RENOVATION
This First Amendment to Standard Form of Agreement between Owner and Architect for
Indian River County Jail Addition and Renovation (" First Amendment") dated 9 / 13 / 05
2005 is by and between INDIAN RIVER COUNTY BOARD OF COUNTY COMMISSIONERS ,
having an address of 1840 25'" Street , Vero Beach , FL 32960 ("OWNER") and CLEMONS-
RUTHERFORD & ASSOCIATES , INC . , having an address of 2027 Thomasville Road ,
Tallahassee , FL 32308 ("ARCHITECT') .
BACKGROUND RECITALS
A. Effective November 2 , 2004 , the . OWNER and the ARCHITECT entered into the Jail
Agreement ("Jail Agreement") .
B . The OWNER and the ARCHITECT desire to amend the Jail Agreement as set forth in this
First Amendment,
NOW THEREFORE , for good and valuable consideration , the receipt and sufficiency of
which is hereby acknowledged , the parties hereto , intending to be legally bound , covenant and
agree to amend the Jail Agreement as follows :
1 . The background recitals are true and correct and form a material part of this First
Amendment .
2 . From and after the effective date of this First Amendment, the Scope of Work set
forth in the Jail Agreement, is amended by adding the additional services and compensation as
set forth on Exhibit "A" attached hereto and incorporated by reference in its entirety.
3 . All terms and conditions of the Jail Agreement not amended herein remain in full
force and effect.
IN WITNESS WHEREOF , the OWNER and ARCHITECT have caused this First
Amendment to be signed by their respective duly authorized officers as of the day and year first
stated above .

Scope :
Revise scope to include an additional Housing/Infirmary Pod . Extent and type of basic services
to be provided, remain as currently stated . Additional Services for required Civil EngineerinL�,
Permitting Assistance and Surveying is to be included .
Compensation :
Compensation shall be a stipulated sum of $ 1 , 101 , 829 . 10 as determined by (5 . 33 % ) five point
thirty three percent of the stipulated estimated construction cost of $20, 672 , 216 . 00 . Payments
shall be made to the Architect for basic services as follows at the completion of each Phase :
