THIS is an amendment to the existing AGREEMENT dated April 18, 2006, between Indian
River County (COUNTY) and J.W. Cheatham, LLC (CONTRACTOR). This Amendment
addresses changes in `Article 6 — PAYMENT PROCEDURES", of the AGREEMENT.
FROM and after the effective date of this Amendment No. 1, Article 6 — Payment Procedures
of the AGREEMENT signed on April 18, 2006, be deleted in its entirety as follows:
ARTICLE 6 - PAYMENT PROCEDURES
6.01 Submittal and Processing of Payments
A. CONTRACTOR shall submit Applicationsfor Payment in accordance with Article 14 ofthe
General Conditions. Applications for Payment will be processed by ENGINEER as
provided in the General Conditions.
6.02 Progress Payments; Retainage
A. OWNER shall make progress payments on account of the Contract Price on the basis of
CONTRACTOR's Applications for Payment at intervals not less than once each month
during performance of the Work as provided in paragraph 6.02.A.1 below. All such
payments will be measured by the schedule ofvalues established in paragraph 2.07.A ofthe
General Conditions (and in the case of Unit Price Work based on the number of units
completed) or, in the event there is no schedule of values, as provided in the General
Requirements.
1. Progress payments will be made in an amount equal to the percentage indicated below
but, in each case, less the aggregate of payments previously made and less such
amounts as ENGINEER may determine or OWNER may withhold, in accordance with
paragraph 14.02 of the General Conditions:
a. Ninetypercent (90%) of Work completed (with the balance being retainage);
and
b. Eighty percent (80%) ofcost ofmaterials and equipment not incorporated in the
Work but stored on the Project site (with the balance being retainage).
6.03 Final Payment
A. Upon final completion and acceptance of the Work in accordance with paragraph 14.07 of
the General Conditions, OWNER shall pay the remainder of the Contract Price as
recommended by ENGINEER as provided in said paragraph 14.07.

ARTICLE 6 - PAYMENT PROCEDURES
6.01 Submittal and Processing of Payments
A. CONTRACTOR shall submitApplications forPayment in accordance with Article 14
of the General Conditions. Applications for Payment will be processed by
ENGINEER as provided in the General Conditions and the Contract Documents.
6.02 Progress Payments.
A. The OWNER shall make progress payments to the CONTRACTOR on the basis of
the approved partial payment request as recommended by ENGINEER in
accordance with the provisions of the Local Government Prompt Payment Act,
Florida Statutes section 218.70 et. seq. The OWNER shall retain ten percent (10%)
of the payment amounts due to the CONTRACTOR until ffty percent (50016)
completion of the work. Afterffty percent (50%) completion ofthe work is attained
as certified to OWNER by ENGINEER in writing, OWNER shall retain f ve percent
(5%) of the payment amount due to CONTRACTOR until final completion and
acceptance of all work to be performed by CONTRACTOR under the Contract
Documents. Pursuant to Florida Statutes section 218.735(8)(b), ffypercent (50%)
completion means the point at which the County as OWNER has expended fifty
percent (50%) ofthe total cost ofthe construction services workpurchased under the
Contract Documents, together with all costs associated with existing change orders
and other additions or modifications to the construction services work provided
under the Contract Documents.
6.03 Pay Requests.
A. Each request for a progress payment shall be submitted on the application for
payment form supplied by OWNER and the applicationfor payment shall contain the
CONTRACTOR'S certification. All progress payments will be on the basis of
progress ofthe work measured by the schedule of values established. or in the case
of unit price work based on the number of units completed. After f:ftypercent (5001o)
completion, and pursuant to Florida Statutes section 218.735(8)(d), the
CONTRACTOR may submit a pay request to the County as OWNER for up to one
hal( (1/2) of the retainage held by the County as OWNER, and the County as
OWNER shall promptly make payment to the CONTRACTOR unless such amounts
are the subject of a good faith dispute; the subject of a claim pursuant to Florida
Statutes section 255.05(2005); or otherwise the subject ofa claim or demand by the
County as OWNER or the CONTRACTOR. The CONTRACTOR acknowledges that
where such retainage is attributable to the labor, services, or materials supplied by
one or more subcontractors or suppliers, the Contractor shall timely remit payment
ofsuch retainage to those subcontractors and suppliers. Pursuant to Florida Statutes
section 218.735(8) (c) (2005), CONTRACTOR further acknowledges and agrees that:
1) the County as OWNER shall receive immediate written notice of all decisions
made by CONTRACTOR to withhold retainage on any subcontractor atgreater than
five percent (5%) after fifty percent (50%) completion; and 2) CONTRACTOR will
not seek release from the County as OWNER ofthe withheld retainage until the final

pay request.
6.09 Paragraphs 6.02 and 6.03 do not apply to construction services work purchased by the
County as OWNER which are paid for, in whole or in part, with federal funds and are subject
to federal grantor laws and regulations or requirements that are contrary to any provision of
the Local Government Prompt Payment Act. In such event, payment and retainage provisions
shall be governed by the applicable grant requirements and guidelines.
6.05 Acceptance of Final Payment as Release.
A. The acceptance by the CONTRACTOR of final payment shall be and shall operate as a
release to the OWNER from all claims and all liability to the CONTRACTOR other than
claims in stated amounts as may be specifically excepted by the CONTRACTORfor all things
done or furnished in connection with the work under this Contract and for every act and
neglect of the OWNER and others relating to or arising out of the work. Any payment,
however, final or otherwise, shall not release the CONTRACTOR or its sureties from any
obligations under the Contract Documents or the Payment and Performance Bonds.
The AGREEMENT is hereby amended as specifically set forth herein. All sections of the
AGREEMENT shall remain in full force and effect, and are incorporated herein.

UNDER PENALTY OF PERJURY, the undersigned CONTRACTOR certifies that (1) all
previous progress payments received from OWNER on account of Work done under the
Contract referred to above have been applied on account to discharge CONTRACTOR's
legitimate obligations incurred in connection with Work covered by prior Applications for
Payment numbered 1 through z ° inclusive; (2) title of all Work, materials and equipment
incorporated in said Work or otherwise listed in or covered by this Application for Payment will
pass to OWNER at time of payment free and clear of all Liens, security interests and
encumbrances (except such as are covered by a Bond acceptable to OWNER indemnifying
OWNER against any such Lien, security interest or encumbrance); (3) all Work covered by this
Application for Payment is in accordance with the Contract Documents and not defective and
(4) If this Periodic Estimate is for a Final payment to project or improvement, I further certify
that all persons doing work upon or furnishing materials or supplies for this project or
improvement under this foregoing contract have been paid in full, and that all taxes imposed by
No. 212 Florida Statutes, (Safes and Use Tax Act, as Amended) have been paid and
discharged, and that I have no claims against the OWNER.
