THIS LEASE AGREEMENT ("Agreement") entered into effective as of this 1st day of
October, 2005 , between M/A- COM , Inc . , a Florida corporation , whose mailing address is
221 Jefferson Ridge Parkway , Lynchburg , VA 24501 , ( " M/A- COM " ) and INDIAN RIVER
COUNTY , a political subdivision of the State of Florida , whose mailing address is 1840
25th Street , Vero Beach , FL 32960 , (" County" ) .
BACKGROUND RECITALS
1 . On September 28 , 2000 , Com - Net Ericsson , the predecessor in interest by assignment
to M/A-COM , and the State of Florida , acting by and through the Department of
Management Services and the State Technology Office acting as administrative agent for
the Joint Task Force on State Agency Law Enforcement (collectively the " State ") entered
into a contract anticipated to be effective through June 30 , 2021 for the purchase of Com -
Net Ericsson commodities and services by all State of Florida eligible users including
political subdivisions ( " Services Contract") .
2 . The Services Contract contemplates that the State will obtain and receive products and
services associated with a new developing a state wide public safety radio system/800
MHz system in replacement of non - 800 MHz infrastructure that , at all times are operated
in accordance with all FCC another applicable rules and regulations , and in such a
manner as not to cause interference , of any kind , with any lawful radio transmissions of
radio or television broadcasts in the area of the sites , or the transmission or reception of
radio , television , microwave and other communication signals as conducted on the
effective date of the Services Contract by existing tower users of the state .
3 . The Services Contract contemplates that M/A-COM , with the consent of the State , will
make the communications system available to third party subscribers ( as each such term
is defined in the Services Contract) .
4 . The County owns certain land upon which a tower (the " North Tower" ) has been erected
by TALCOM , Inc . as tenant , under that certain Lease Agreement , dated December 19 ,
1995 , and recorded in the Official Records of Indian River County in OR Book 1089 , Page
1827 , et . seq . , as amended by the First Amendment to Lease Agreement , dated
December 9 , 1997 ( collectively the " North Tower Lease Agreement" ) . Pursuant to the
terms of the North Tower Lease Agreement , the County is granted the exclusive right to
locate on the top 30 feet of such Tower and the non -exclusive right to locate certain
antennae and cables on the North Tower to be used for public service communication
purposes by the County , the latter being effectively the ability to sublease a portion of the
North Tower .
5 . In partial fulfillment of its obligations under the Services Contract to provide a fully
functioning 800- MHz state-wide communications system , M/A- COM desires to obtain and
use space on the North Tower that is within the County' s exclusive use area of the North
Tower .

NOW, THEREFORE , for good and valuable consideration , the receipt and
sufficiency of which is hereby acknowledged , and intending to be legally bound hereby ,
the parties agree as follows :
ARTICLE 1 - NORTH TOWER PREMISES
1 . 0 . North Tower. On the terms and conditions set forth in this Agreement , and to the
extent that the County has the ability to grant such use , the County grants to M /A- COM
the non -exclusive use of the non -exclusive portion of the County' s space on the North
Tower .
1 . 1 . Subject to and in accordance with paragraph 4 . b , of the North Tower Lease
Agreement , attached hereto as Exhibit "A" and by this reference made a part of this
Agreement , M/A- COM acknowledges and agrees as follows :
1 . 1 . 1 . Pursuant to the terms of the North Tower Lease Agreement , the County
does not own the North Tower until termination of the North Tower Lease Agreement ;
1 . 1 . 2 . The County has the non -exclusive right , under the North Tower Lease
Agreement , to locate certain antennae and cables on the North Tower to be used for
public service communication purposes by the County ;
1 . 1 . 3 . The proposed use of the non -exclusive County space on the North Tower
by M/A-COM is for public service communication purposes by the County ;
1 . 1 . 4 . Other than as specifically set forth herein , the County does not and cannot
make any representations or warranties of any nature whatsoever with respect to the
North Tower Lease Agreement , the North Tower itself, or any facilities located thereon or
appurtenant thereto ;
1 . 1 . 5 . M/A- COM shall comply in all respects with all requirements of the North
Tower Lease Agreement , including , without limiting the generality of the foregoing ,
paragraph 4 . b . of the North Tower Lease Agreement with respect to placing facilities on
the North Tower . Any default by M/A- COM under this Agreement is a default under the
North Tower Lease Agreement and any default by M/A- COM under the North Tower
Lease Agreement is a default under this Agreement ;
1 . 1 . 6 . M /A- COM covenants that it will not perform any act with respect to the
space on the North Tower or otherwise in connection with the North Tower Lease
Agreement that will cause the County to be in default under the North Tower Lease
Agreement ;
1 . 1 . 7 . The County does not and cannot make any representations or warranties of
any nature whatsoever as to whether the term of the North Tower Lease Agreement will
be extended in accordance with its terms ;

1 . 1 . 8 . The use by M/A-COM of the County' s space on the North Tower is solely
for state-wide 800 MHz telecommunication purposes and not for any commercial
transmission of any nature whatsoever;
1 . 1 . 9 . During the term of this Agreement , M/A- COM shall not use any of its
telecommunications equipment located on the North Tower for any purposes other than
state-wide 800 MHz telecommunications ;
1 . 1 . 10 . Pursuant to the North Tower Lease Agreement , the County has the right to
occupy up to 700 square feet of floor space located in the Equipment Building and M/A-
COM hereby acknowledges that , under this Agreement , M/A-COM will be receiving the
use of a portion of the County' s 700 square feet , and such portion is more specifically set
forth in Exhibit " B " attached to the North Tower Lease Agreement ; and
1 . 2 . County acknowledges that M/A-COM may need to run flexible coaxial transmissions
lines between or among the various antennae M/A-COM will install on the North Tower and
the radio equipment located in the equipment shelter in accordance with the construction
and intermodulation plans approved by TALCOM . County agrees to cooperate reasonably
with M/A-COM , at M/A-COM 's sole expense , in making application for and obtaining all
licenses , permits and other necessary approvals that may be required for M/A-COM 's
above-described use of the North Tower. All of M/A-COM 's construction and installation
work on the North Tower shall be performed at M/A-COM 's sole cost and expense and in a
good and workmanlike manner in accordance with all applicable laws , ordinances , and
administrative regulations .
ARTICLE 2 - SOUTHWEST TOWER PREMISES . INTENTIONALLY OMITTED
ARTICLE 3 - TERM OF AGREEMENT
3 . 0 . North Tower. M/A- COM acknowledges and agrees the term of the license granted by
the County to M/A-COM for the North Tower is governed by the terms of the North Tower
Lease Agreement , including , without limiting the generality of the foregoing , all notice and
time frame provisions . Unless sooner terminated or modified in accordance with its terms ,
the North Tower Lease Agreement has a term of years ending in the year 2021 , and an
annual evergreen renewal thereafter .
3 . 1 . Both M/A-COM and County will be allowed to terminate this Agreement by providing
the other party with sixty days (60 ) prior written notice . Such notice shall be effective upon
actual receipt by M/A- COM or County .
ARTICLE 4 - RENT ; SECURITY DEPOSIT ; TAXES
4 . 0 . For and in consideration of the sublicense granted by the County to M /A- COM under
the North Tower Lease Agreement , M/A- COM covenants and agrees to pay to the County
the sum of One Thousand and 00/ 100 Dollars ($ 1 , 000 . 00) per month for each month of the
term of this Agreement , as more specifically set forth in this Agreement .

4 . 1 If M/A- COM fails to pay , when due , any rental payment , or any other sum payable to
County under this Agreement , and if such sum remains unpaid for more than five ( 5 ) days
past the due date , M/A-COM shall pay County a late payment charge equal to five ( 5 )
percent of any payment not paid promptly when due . Any amounts not paid promptly
when due shall also accrue simple interest of one and one half ( 1 Y2) percent per month or
the highest interest rate then allowed by Florida law , whichever is higher , which interest
shall be paid by M/A-COM to County .
4 . 2 . On or before the date that the County executes this Agreement , M/A- COM will deposit
with County the sum of One Thousand and 00/ 100 Dollars ($ 1 , 000 . 00 ) ( " Security Deposit")
as security for the full and faithful performance of this Agreement by M/A-COM . In the event
that M/A-COM or M/A-COM ' s agents , employees , or invitees damages the North Tower , or
otherwise breaches this Agreement , County shall provide M/A-COM written notice of such
failure or damage or breach , setting forth in detail all of the facts and circumstances
constituting the determination (the " Notice") . If M/A-COM has not cured any failure within
thirty ( 30) days after receipt of written notice from County , provided , however , that it shall
not be deemed an Event of Default by M/A- COM if M/A-COM shall commence to cure
such failure within such thirty ( 30 ) days and thereafter diligently cures the default within
sixty (60 ) days , County may access the Security Deposit upon ten ( 10) days ' prior written
notice to M/A-COM , and collect the amount due . M/A-COM shall keep the Security Deposit
in place throughout the Lease Term and any renewal of this Agreement .
4 . 3 . The Security Deposit will be segregated by County in an interest bearing account
identified for this Agreement . Upon the expiration or termination of this Agreement as
provided herein , the Security Deposit , or any balance thereof remaining after County' s
rightful set-off against the Security Deposit after a default ( including the grace periods ) , will
be returned to M/A-COM with any interest accrued thereon ( less a one percent ( 1 % ) per
annum fee to County for management of the account) .
4 . 4 . M/A- COM agrees to pay any and all taxes of any nature whatsoever imposed on the
license , sub- license , leasehold interest or otherwise related to , the North Tower, or the
Property (as such term is used in the North Tower Lease Agreement) , to the extent
applicable under law .
4 . 5 . M/A- COM shall be liable for the prevailing State of Florida Sales and Use Tax
imposed on any rent payable to the County on the leasehold estate granted under this
Agreement . This Sales and Use Tax shall be payable to the County , which shall remit
same less authorized handling deduction to the State of Florida Department of Revenue .
ARTICLE 5 - OTHER EXPENSES AND CHARGES
5 . 0 . M/A- COM shall pay for all of the electricity it consumes in its operations hereunder at
the North Tower ( including any standby power generator for M /A- COM ' s exclusive use ) .
M /A-COM will pay a pro- rata share of the electricity charges based upon a percentage
formula using the number of transmitters M/A- COM has out of the total number of
transmitters at the North Tower. The frequency of payment of the foregoing electrical
payments will be at the County' s discretion , and shall initially be on a biannual basis ; non -

payment will be subject to section 4 . 1 of this Agreement . County agrees to sign such
documents or easements as may reasonably be required by such utility companies to
provide utilities services to the North Tower, including the grant to M/A- COM or to the
servicing utility company , at no cost to WA- COM , of a non -exclusive easement in , over ,
across , or through the Property ( as such term is used in the North Tower Lease
Agreement) as reasonably required by such servicing utility company for utility services .
ARTICLE 6 - MODIFICATIONS
6 . 0 . North Tower . M/A- COM acknowledges and agrees that the ability of M /A- COM to
make any changes , alterations , additions or improvements to its facilities and equipment
shelter at or on North Tower or the Property (as such term is used in the North Tower
Lease Agreement) , together with the ability of the County to grant such approval is
governed by the North Tower Lease Agreement .
ARTICLE 7 , ACCESS ; AS - IS ; QUIET ENJOYMENT
7 . 0 . North Tower. M/A- COM acknowledges and agrees that access to the North Tower is
governed by the terms of the North Tower Lease Agreement . M/A- COM takes the North
Tower facilities as is and County does not warrant that the North Tower facilities are
sufficient for the use intended by M/A- COM .
ARTICLE 8 - ASSIGNMENT AND SUBLETTING
8 . 0 . North Tower . M/A- COM shall not assign this Agreement or attempt to sublet the
whole or any part of the North Tower , or permit any other persons to occupy same without
the express prior written consent of the County and TALCOM , Inc . , which consent may be
granted , withheld , delayed or conditioned by either the County or TALCOM , Inc . Any such
attempt shall be null and void , and may , at the option of the County , be deemed an event
of default hereunder . Any such assignment or subletting , with the consent of County , and
TALCOM , Inc . , as applicable , shall relieve M/A-COM from liability for payment of rent and
other sums herein provided or from the obligation to keep and be bound by the terms ,
conditions and covenants of this Agreement .
ARTICLE 9 . INDEMNITY
9 . 0 . North Tower . M/A- COM acknowledges and agrees that a separate indemnity to
TALCOM , Inc . may be required under the North Tower Lease Agreement , and M /A- COM
agrees to sign or provide any indemnity reasonably required by TALCOM , Inc . pursuant to
the North Tower Lease Agreement .
9 . 1 . The County shall not be liable for any damages to or loss of, including loss due to
petty theft , any property occurring on the North Tower or the Property ( as such term is
used in the North Tower Lease Agreement) , or any part thereof, and M /A- COM agrees to
hold the County harmless from any claims for damages , except where such damage or
injury is the result of the gross negligence or willful misconduct of the County or its
employees .

9 . 2 The indemnification and hold harmless provisions of this Agreement shall survive the
termination or expiration of this Agreement .
ARTICLE 10 . INSURANCE
10 . 0 . North Tower . M/A-COM agrees to provide any and all insurance to TALCOM , Inc .
as required by the North Tower Lease Agreement .
ARTICLE 11 . MAINTENANCE
11 . 0 . North Tower . M/A- COM , at its sole cost , shall repair all damage to the North Tower
and the Property (as such term is used in the North Tower Lease Agreement) caused by
M/A- COM , its employees , agents , independent contractors , guests , invitees , licensees , or
patrons . County , at its sole cost , shall repair all damage to the North Tower and the
Property (as such term is used in the North Tower Lease Agreement) solely caused by
County , its employees , agents , independent contractors , guests , invitees , licensees
(excluding M/A- COM ) , or patrons .
ARTICLE 12 , TERMINATION
12 . 0 . North Tower. The County reserves the right to terminate this Agreement if the North
Tower space used by M/A-COM is needed by the County . The foregoing termination right
may only be exercised by the County after: ( i) the County gives M/A-COM 180 days prior
written notice of its need ; and ( ii ) the County receives written notice during such 180 days
from M/A-COM that M/A-COM cannot accommodate any such future loading requirements
of the County on the North Tower. The County and M/A-COM agree that the180 days may
be extended by mutual agreement while M/A-COM is diligently using reasonable efforts to
accommodate any such future loading requirements of the County on the North Tower.
12 . 1 . North Tower. M/A-COM acknowledges and agrees that TALCOM , Inc . has termination
rights , pursuant to the North Tower Lease Agreement . County covenants to provide prompt
notice to M/A- COM should County receive any termination notice from TALCOM , Inc . The
County reserves the right to terminate this Agreement if the County is notified by TALCOM ,
Inc . that an uncured breach of the North Tower Lease Agreement has occurred that is
caused by M/A-COM that M/A-COM is not reasonably disputing .
12 . 2 . The foregoing termination rights are in addition to any other termination rights
contained in this Agreement .
ARTICLE 13 - M/A-COM DEFAULT
13 . 0 . The occurrence of any one or more of the following events shall constitute an " Event
of Default' hereunder by M/A-COM :
13 . 0 . 1 . The failure to make payments required to be made hereunder, as and when due .

13 . 0 . 2 . The failure to observe or perform any of the covenants or provisions of this
Agreement to be observed or performed by M/A-COM .
13 . 0 . 3 . M/A-COM uses the North Tower, or the Property ( as such term is used in the
North Tower Lease Agreement) for any unauthorized or illegal purpose , or for other than the
uses permitted by this Agreement .
13 . 0 . 4 . M/A- COM ' s or M/A-COM ' s employee ' s or agent' s act or omission damages or
harms the North Tower, or the Property (as such term is used in the North Tower Lease
Agreement) or the environment .
13 . 0 . 5 . M/A- COM abandons , or discontinues M/A-COM ' s operations at the North
Tower , or the Property (as such term is used in the North Tower Lease Agreement) .
13 . 0 . 6 . Filing of insolvency , reorganization , plan or arrangement of bankruptcy ;
adjudication as bankrupt ; making of a general assignment of the benefit of creditors , or if
M/A- COM suffers this Agreement to be taken under any writ of execution .
13 . 0 . 7 . A lien is filed against the leasehold interest of M/A- COM , and is not removed
within thirty (30 ) days , pursuant to the Florida Mechanics Lien Law or otherwise .
13 . 1 . Upon the occurrence of an Event of Default , the County shall send a written notice
to M /A-COM , in the manner set forth in this Agreement , setting forth the Event of Default
in specific detail and the date this Agreement shall terminate in the event M/A- COM does
not cure the default .
13 . 2 . Upon the occurrence of an Event of Default , in addition to any other remedies
available to County at law or in equity , the County shall have the right to access
the
security deposit as provided in herein ; provided , however, that it shall not be deemed an
Event of Default if M/A-COM shall commence to cure such Event of Default within thirty
( 30) days and thereafter diligently cures the Event of Default within sixty (60 ) days ( or such
additional time as is reasonably required to correct such default) .
13 . 3 . Upon the occurrence of an Event of Default , the County shall have the immediate
right to re-enter and remove all persons and property from and to the extent allowable
under the North Tower Lease Agreement , the North Tower, or the Property ( as such term
is used in the North Tower Lease Agreement) . Such property may be removed and stored
in a public warehouse or elsewhere at the cost of and for the account of M/A- COM , all
without service of notice or resort to legal process and without being deemed guilty of
trespass , or being liable for any loss or damage which may be occasioned thereby .
ARTICLE 14 . COUNTY DEFAULT
14 . 0 . County shall in no event be charged with default in the performance of any of its
obligations hereunder unless and until County shall have failed to perform such obligations
within thirty ( 30 ) days (or such additional time as is reasonably required to correct such

default) after written notice to County by M/A- COM properly and in meaningful detail
specifying wherein County has failed to perform any such obligations .
ARTICLE 15 , NOTICES
15 . 0 . Any notice , request , demand , consent , approval , or other communication required
or permitted by this Agreement shall be given or made in writing and shall be served , as
elected by the party giving such notice , by any of the following methods : ( a ) Hand delivery
to the other party ; ( b ) Delivery by commercial overnight courier service ; or ( c) Mailed by
registered or certified mail ( postage prepaid ) , return receipt requested at the addresses of
the parties shown below :

15 . 1 . Notices shall be effective when received at the address as specified above .
Facsimile transmission is acceptable notice effective when received , provided , however ,
that facsimile transmissions received ( i . e . , printed ) after 5 : 00 p . m . or on weekends or
holidays , will be deemed received on the next day that is not a weekend day or a holiday .
The original of the notice must additionally be mailed . Either party may change its
address by written notice to the other party given in accordance with the provisions of this
section .
ARTICLE 16 , SURRENDER OF PREMISES
16 . 0 . Unless County agrees otherwise in writing , M/A-COM shall remove any
improvements installed by M/A- COM or authorized by M/A- COM prior to the expiration of
this Agreement and shall deliver up and surrender to County possession of the Demised
Premises and any improvements not removed upon expiration of this Agreement , or its
earlier termination as herein provided , broom clean and in as good condition and repair as
the same shall be at the commencement of the term of this Agreement or may have been
put by County or M/A- COM during the continuance thereof, ordinary wear and tear and
damage by fire or the elements beyond M/A-COM 's control excepted .
ARTICLE 17 . INTERFERENCE
17 . 0 . M/A- COM covenants and agrees that M /A- COM ' S communication equipment , its
installations , operation , and maintenance will :
17 . 0 . 1 . Not irreparably damage the County' radio transmission tower structure and
accessories thereto at the North Tower, or the Property (as such term is used in the North
Tower Lease Agreement) ;

17 . 0 . 2 . Not interfere with the operation of County' s radio equipment on surrounding
towers . In the event there is interference by M/A- COM , M/A- COM will promptly take all
steps necessary to correct and eliminate same within a reasonable period of time . If M /A-
COM is unable to eliminate such interference caused by it within a reasonable period of
time , M /A-COM agrees to remove its antennae from County' s property and this Agreement
shall terminate ;
17 . 0 . 3 . Not interfere with the maintenance of County' s tower and tower lighting
system at the North Tower, or the Property (as such term is used in the North Tower
Lease Agreement) ; and
17 . 0 . 4 . Comply with all applicable rules and regulations of the Federal
Communications Commission and electrical codes of Indian River County and the State of
Florida .
ARTICLE 18 - HAZARDOUS SUBSTANCES
18 . 0 . M/A-COM shall not use , generate , store or dispose of any Hazardous Material
(defined below) on , under, about or within the North Tower, or the Property ( as such term is
used in the North Tower Lease Agreement) in violation of any law or regulation .
18 . 1 . M/A- COM represents , warrants and agrees to indemnify , reimburse , defend and
hold harmless County , from and against all costs ( including attorneys fees ) asserted
against , imposed on , or incurred by County , directly or indirectly , pursuant to or in
connection with the application of any federal , state , local or common law relating to
pollution or harm to the environment to the extent caused by M/A- COM on , under, about
or within the North Tower , or the Property (as such term is used in the North Tower Lease
Agreement) . This paragraph shall survive the expiration or sooner termination of this
Agreement .
18 . 2 . County warrants and represents , to the best of County' s knowledge , that the
County has not used , generated , stored , or disposed of any Hazardous Material in , on , or
under the Demised Premises , the Property , the North Tower , or the Property ( as such
term is used in the North Tower Lease Agreement) and contiguous surrounding property .
Notwithstanding the foregoing , County does not and cannot make any warranty or
representation of any nature whatsoever with respect to any third party using the North
Tower or the Property ( as such term is used in the North Tower Lease Agreement)
pursuant to the North Tower Lease Agreement .
18 . 3 . Solely to the extent permitted by law , County agrees to indemnify , reimburse , and
hold harmless M/A- COM from and against all costs ( including attorney fees) asserted
against , imposed on or incurred by M/A-COM directly or indirectly pursuant to or in
connection with the application of any federal , state , local or common law relating to
pollution or harm to the environment to the extent caused by County . Nothing contained
herein is intended nor shall be construed to waive the County' s rights and immunities under
the common law or Florida Statutes section 768 . 28 , as amended from time to time .

18 . 4 . As used herein , " Hazardous Material " shall mean petroleum or any petroleum
product , hydrocarbons , asbestos , any substance known to cause cancer and/or reproductive
toxicity , and/or any substance , chemical or waste that is identified as hazardous , toxic or
dangerous in any applicable federal , state or local law or regulation . " Hazardous Material "
does not include fuel contained in an appropriate tank for the operation of a generator M/A-
COM will place in , on , or under one or more of the North Tower, or the Property ( as such
term is used in the North Tower Lease Agreement) .
ARTICLE 19 . DESTRUCTION OR EMINENT DOMAIN
19 . 0 . North Tower . M/A-COM acknowledges and agrees that the North Tower destruction
and eminent domain provisions are governed by the North Tower Lease Agreement .
ARTICLE 20 . GENERAL PROVISIONS
20 . 0 . Security Measures . M/A- COM fully understands that the police and law enforcement
security protection provided by law enforcement agencies for the North Tower, or the
Property (as such term is used in the North Tower Lease Agreement) is limited to that
provided to any other business or agency situated in Indian River County , and
acknowledges that any special security measures deemed necessary for additional
protection of the North Tower, or the Property (as such term is used in the North Tower
Lease Agreement) shall be the sole responsibility and cost of M/A- COM and shall involve
no cost or expense to County .
20 . 1 , County Operations . M/A- COM expressly agrees for itself, its successor and assigns ,
to refrain from any use of the North Tower which would interfere with or adversely affect
the operation or maintenance of County's standard operations where other operations
share common facilities or otherwise as of the date of the commencement of this
Agreement .
20 . 2 . Reservation . Rights not specifically granted to M/A- COM by this Agreement are
hereby reserved to the County .
20 . 3 . Future Law . This Agreement shall not allow M/A-COM to commit any act or omission
upon the North Tower, or the Property (as such term is used in the North Tower Lease
Agreement) , unless M/A- COM fully complies with all County ordinances and all other
governmental laws and regulations of any kind . Further , nothing in this Agreement shall
prevent the County from enacting or amending any law or regulation that affects in any
way the business operations of M/A- COM .
20 . 4 . Radon Gas . In compliance with Section 404 . 056 , Florida Statutes , all parties are
hereby made aware of the following :
Radon is a naturally occurring radioactive gas that , when it has accumulated in a building
in sufficient quantities , may present health risks to persons who are exposed to it over
time . Levels of radon that exceed federal and state guidelines have been found in

buildings in Florida . Additional information regarding radon and radon testing may be
obtained from your county public health unit .
20 . 5 . Extent of Liens . All persons to whom these presents may come are put upon notice
that the interest of the County in the North Tower, or the Property ( as such term is used in
the North Tower Lease Agreement) shall not be subject to liens for improvements made
by or through M /A- COM , also any improvements made by or through M /A- COM are
specifically prohibited from attaching to or becoming a lien on the interest of the County in
the North Tower, or the Property (as such term is used in the North Tower Lease
Agreement) or any part thereof. This notice is given pursuant to the provisions of and in
compliance with Section 713 . 10 , Florida Statutes .
20 . 6 . Independent Contractor. It is specifically understood and acknowledged by the
parties hereto that M/A- COM or employees or subcontractors of M/A-COM are in no way
to be considered employees of the County , but are independent contractors performing
solely under the terms of the Agreement and not otherwise .
20 . 7 . Merger; Modification . This Agreement incorporates and includes all prior and
contemporaneous negotiations , correspondence , conversations , agreements or
understandings applicable to the matters contained herein and the parties agree that there
are no commitments , agreements , or understandings of any nature whatsoever
concerning the subject matter of the Agreement that are not contained in this document .
Accordingly , it is agreed that no deviation from the terms hereof shall be predicated upon
any prior or contemporaneous representations or agreements , whether oral or written . No
alteration , change , or modification of the terms of this Agreement shall be valid unless
made in writing and signed by M/A- COM and the County .
20 . 8 . Governing Law ; Venue . This Agreement , including all attachments hereto , shall be
construed according to the laws of the State of Florida . Venue for any lawsuit brought by
either party against the other party or otherwise arising out of this Agreement shall be in
Indian River County , Florida , or , in the event of federal jurisdiction , in the United States
District Court for the Southern District of Florida .
20 . 9 . Remedies ; No Waiver . All remedies provided in this Agreement shall be deemed
cumulative and additional , and not in lieu or exclusive of each other or of any other
remedy available to either party , at law or in equity . Each right , power and remedy of the
parties provided for in this Agreement shall be cumulative and concurrent and shall be in
addition to every other right , power or remedy provided for in this Agreement or now or
hereafter existing at law or in equity or by statute or otherwise . The failure of either party
to insist upon compliance by the other party with any obligation , or exercise any remedy ,
does not waive the right to so in the event of a continuing or subsequent delinquency or
default . A party' s waver of one or more defaults does not constitute a waver of any other
delinquency or default . If any legal action or other proceeding is brought for the
enforcement of this Agreement or because of an alleged dispute , breach , default or
misrepresentation in connection with any provisions of this Agreement , each party shall
bear its own costs .

20 . 10 . Severability . If any term or provision of this Agreement or the application thereof to
any person or circumstance shall , to any extent , be held invalid or unenforceable for the
remainder of this Agreement , then the application of such term or provision to persons or
circumstances other than those as to which it is held invalid or unenforceable shall not be
affected , and every other term and provision of this Agreement shall be deemed valid and
enforceable to the extent permitted by law .
20 . 11 . Availability of Funds . The obligations of the County under this Agreement are
subject to the availability of funds lawfully appropriated for its purpose by the Board of
County Commissioners of Indian River County .
20 . 12 . No Pledge of Credit . M/A- COM shall not pledge the County's credit or make it a
guarantor of payment or surety for any contract , debt , obligation , judgment , lien or any
form of indebtedness .
20 . 13 . Public Records . M/A-COM shall comply with the provisions of Chapter 119 ,
Florida Statutes ( Public Records Law) in connection with this Agreement .
20 . 14 . Survival . Except as otherwise expressly provided herein , each obligation in this
Agreement to be performed by M/A- COM shall survive the termination or expiration of this
Agreement .
20 . 15 . Construction . The headings of the sections of this Agreement are for the purpose
of convenience only , and shall not be deemed to expand , limit , or modify the provisions
contained in such Sections . All pronouns and any variations thereof shall be deemed to
refer to the masculine , feminine or neuter, singular or plural , as the identity of the party or
parties may require . The parties hereby acknowledge and agree that each was properly
represented by counsel and this Agreement was negotiated and drafted at arm ' s - length so
that the judicial rule of construction to the effect that a legal document shall be construed
against the draftsperson shall be inapplicable to this Agreement
20 . 16 . Counterparts , This Agreement may be executed in one or more counterparts ,
each of which shall be deemed to be an original copy and all of which shall constitute but
one and the same instrument .
20 . 17 . Force Majeure . Neither party shall be held responsible for losses resulting if the
performance of any term or provision of this Agreement is delayed or prevented by
unforeseeable causes , including but not restricted to , acts of God , restraint of government ,
or for any other cause which is unavoidable through the exercise of due care , and beyond
the control of the party who is to perform .
20 . 18 . Background Recitals . The Background Recitals are true and correct and form a
material part of this Agreement .

the construction costs of the Tower and Equipment Building , a lump
sum payment in the amount of $ 30 , 000 payable within thirty ( 30 )
days of final approval and permits for construction .
4 . Use of the Property and Additional Facilities -
a . TENANT shall have the right to use the Property for
the purpose of constructing , operating , maintaining and occupying
the Tower and the Equipment Building as deemed necessary by TENANT
in the operation and maintenance of its business , which shall
include , but not be limited to , the transmission and reception of
radio communication signals in any and all frequencies . TENANT
shall have the right to place on or about the Tower any and all
telecommunications equipment and attendant facilities deemed
necessary by TENANT in the operation and conduct of its business .
The parties acknowledge and agree that TENANT is designing and ,
constructing the Tower in order for the Tower to accommodate and to
have the structural and design capacity necessary to support
additional facilities TENANT may desire to place on the Tower ;
during the term of this Agreement , as more particularly described
in Exhibit " 0 " attached hereto .
b . In addition to TENANT ' s facilities located on or
about. the Tower , COUNTY shall have the exclusive right to locate on
the top 30 feet and the non - exclusive right to locate on the Tower
certain antennas and cables to be used for public service
communication purposes by COUNTY , the location and description of
which are more particularly identified in , Exhibit " C " attached
hereto . C=)
TENANT covenants that the Tower will be designed to
accommodate the facilities identified in Exhibit " C " . Prior to
finalizing the tower design , COUNTY will be given the opportunity
to review the Tower design to determine that it meets the desian CX)
and structural standards necessary to accommodate the facilities N

equipment shall be performed only by contractors or subcontractors
who are qualified to perform such work in a manner consistent with

additional insured under their Comprehensive General Liability

the foregoing, by COUNTY's execution of this Amendment,
COUNTY hereby expressly consents to the Co-Location
Agreements and TENANT's subleasing of portions of the Property,
Tower and Equipment Building to PrimeCo and Sprint as more
particularly described in the Co-Location Agreements . TENANT
acknowledges and agrees that pursuant to the Co-Location
Agreements, PrimeCo and Sprint shall each be obligated to pay
TENANT a "Reimbursement Amount " . Each Reimbursement
Amount required to be paid by PrimeCo and Sprint shall be equal to
the sum of Thirty Thousand and No/ 100 Dollars ($30, 000 , 00) , and
shall be used to reimburse TENANT for costs incurred by
TENANT in connection with the construction of the Tower . In
connection with PrimeCo ' s and Sprint's payment of the
Reimbursement Amount, TENANT, if and when each respective
Reimbursement Amount is. actually paid by PrimeCo and/or Sprint
and received by TENANT, shall remit to COUNTY an amount
equal to the amount of each respective Reimbursement Amount
actually paid by PrimeCo and/or Sprint and received by TENANT
up to an amount not to exceed Fifteen Thousand and No/ 100
Dollars ($ IS , 000 . 00j per each Reimbursement Amount .
Additionally , TENANT shall remit to COUNTY , one-half ( Y2) of
any rent actually received by TENANT required to be paid by
PrimeCo and/or Sprint under the Co-Location Agreements, Or by-
any other such third party telecommunication service provider
