Baird County Administrator Board of County Commissioners Indian River County, 1840 25th Street Vero Beach, Florida 32960 Re: Proposed Professional Services Agreement Dear Joe: I would like to take this opportunity to thank you and the Indian River County Board of County Commissioners for giving me the opportunity to possibly represent Indian River County before the Florida Legislature, all state agencies and any'Executive branch offices, including the Governor, Attorney General and Agricultural Commissioner. We will always work hard to retain the confidence and trust that you would be placing in us should the decision be made to approve our representation. This letter of agreement would be intended to serve as a professional services agreement and need only be approved and signed by you to be effective. Since timing is so immediate, we have already commenced preliminary work on behalf of Indian River County as a result of the commencement of the legislative session on March 7th. If we don't conclude an agreement, nothing will be owed to my firm for this work. It is understood that our firm would pursue all legislative and state agency matters on behalf of IndianRiver County. This would include all traditional lobbying services which involves meeting with staff, elected officials, appropriate agency administrators, and preparing necessary documents to allow for approval and/or inclusion of matters affecting Indian River County in the state budget. It is our responsibility to be your eyes and ears in the Capitol. It is our responsibility to educate those within the legislative .process effectively on your behalf. It is our responsibility to pursue your legislative agenda. Baird, County Administrator March 29, 2006 Page Two responsibility to help you identify priorities and set goals from a legislative and state agency perspective. You are responsible for educating us on the issues and preparing all necessary submissions. We would both be involved in making any necessary presentations. We agree to meet with you or your designees as you determine. We agree to provide you with appropriate written documentation and/or reports as you determine to be reasonably appropriate. It is our job to bring you back more in funding than you agree to compensate our firm. In exchange for this representation, you agree to compensate this firm with a $75,000.00 fee for the 2006 Legislative Session and any Special Sessions this year. This would be an all-inclusive fee and additional costs would not be incurred. We can discuss an appropriate payment option and are prepared to be flexible to meet any of your budgetary protocols. We look forward .to a .long-standing and successful relationship with Indian River County. As I indicated, we will work very hard to accomplish your goals.
