F. Except as limited by the Articles of Incorporation or these Bylaws , the Corporation shall <br /> have and exercise all rights and powers in furtherance of its purposes as are now or may hereafter <br /> by conferred on not-for-profit Corporations under the laws of the State of Florida. <br /> ARTICLE 3 <br /> OFFICES AND AGENCY <br /> Section 1 . Reizistered office and Registered Agent The Registered Office of the <br /> Corporation shall be located in the State of Florida, and the Registered Agent shall have a business <br /> office identical with such Registered Office, which Office and Agent may be changed from time to <br /> time by the Member(s) of the Corporation, upon filing of such notices as may be required by law. <br /> Section 2 . Principal Office . The Principal Office and place of business of Catholic <br /> Charities of the Diocese of Palm Beach, Inc . shall be located at 9995 North Military Trail , Palm <br /> Beach Gardens , Florida 33410 . <br /> Section3 Other Offices . The Corporation may have other offices within or without the <br /> State of Florida that the Member(s) may determine and as the affairs of the Corporation may require <br /> from time to time . <br /> ARTICLE 4 <br /> CORPORATE POWERS <br /> Section 1 . In General . Except as limited by its Articles of Incorporation, the Code of <br /> Canon Law of the Roman Catholic Church or these Bylaws, the Corporation shall have and exercise <br /> all rights and powers in furtherance of its purposes as are now or may hereafter be conferred on not- <br /> for-profit corporations under the laws of the State of Florida. <br /> Section 2 . Specific Powers . Without limiting the generality of the powers specified in <br /> Section above, the specific powers of the Corporation shall be : <br /> A. To acquire, by purchase, lease or otherwise, and hold title to such real property, <br /> including improvements thereon, and any personal property as may be beneficial to the operations <br /> of the Corporation or any of its affiliated organizations ; <br /> B . To lease all or a portion of such real and personal property of the Corporation <br /> to any other entity engaged in activities beneficial to the operations of the Corporation or any of its <br /> affiliated organizations ; <br /> C . To borrow funds in order to expand, enhance support or maintain the activities of the <br /> Corporation or any of its affiliated organizations ; <br /> D . To make charitable contributions to any affiliated or auxiliary organizations ; <br /> -2 - <br />
