E . To manage and operate any of its assets in recognition and attainment of the <br /> foregoing objectives ; and <br /> F. To utilize its income in furtherance of the foregoing objectives . <br /> ARTICLE 5 <br /> MEMBERSHIP <br /> Section 1 . Membership of the Corporation The Member of the Corporation is the <br /> Bishop of the Diocese of Palm Beach and his successors in office . Additional Member(s) may be <br /> appointed by the Bishop of the Diocese of Palm Beach in his sole discretion . Any additional <br /> Members(s) may be removed by the Bishop of the Diocese of Palm Beach in his sole discretion. <br /> Section 2 . Voting fights . Each Member shall have and be entitled to one ( 1 ) vote, in <br /> person, for the election of the Directors at the annual meeting, or for the determination of any matter <br /> which may be properly brought before the membership for action . <br /> Section 3 . Resignation of Members ) Except for the Bishop of the Diocese of Palm <br /> Beach, any Member may resign by providing written notice of his resignation to the Bishop of the <br /> Diocese of Palm Beach. Any such resignation shall become effective immediately upon receipt of <br /> said written notice of at such later date as may be specified in the note . <br /> Section 4 . Transfer of Member(s ) Membership in this Corporation shall not be <br /> transferrable or assignable . <br /> Section 5 . Officers of the Membership In the event the Bishop of the Diocese of Palm <br /> Beach appoints additional Member(s) to the Corporation, then the Bishop of the Diocese of Palm <br /> Beach shall be the Chairman of the Member(s) at all meetings of the member(s) and for any purpose <br /> or matter brought before the membership . The Bishop of the Diocese of Palm Beach may appoint <br /> any other member of the Corporation to a position of officer of the Membership . The officers of the <br /> Membership may include a President, Secretary, Treasurer and such additional officers or assistant <br /> officers as the Bishop of the Diocese of Palm Beach may elect. <br /> Section 6 . Annual Meeting An annual meeting of the Member(s) shall be held at a date <br /> and time designated by the Bishop of the Diocese of Palm Beach every year for the purpose of the <br /> election of new members/officers to the Board of Directors , reviewing the annual report prepared <br /> by the Directors, and conducting any other matters which may be properly brought before the <br /> membership for action. <br /> Section 7. Special Meetings Special meetings of the Member(s) may be called by the <br /> Bishop of the Diocese of Palm Beach for any reason, including the election of new Directors during <br /> the fiscal year. <br /> - 3 - <br />
