Section 8 . Place of Meetin c Meetings of the Member(s) shall be held at the principal place of business of the Corporation or at such other place as the Bishop of the Diocese of Palm Beach may designate . Section 9 . Notice of Meetings Written, printed or oral notice stating the place, day and hour of any regular and special meeting of the Member(s) , must be given to each Member no less than five (5), nor more than thirty (3 0) days before the meeting, by or at the direction of the Bishop of the Diocese of Palm Beach . Notice must be given either personally or by telephone, telegram, cablegram or first-class mail ; and if mailed, the notice shall be deemed to be given when deposited in the United States mail addressed to the Member at his address, as it appears in the records of the Corporation, with postage thereon prepaid . Except as otherwise specified in these Bylaws , the notice need not specify the business to be transacted at, nor the purpose for, any meeting . Section 10 . Waiver of Notice . A waiver of notice signed by any Member, whether before or after any meeting, shall be equivalent to the giving of timely notice of said Member. Attendance of a Member at a meeting of the Members(s) shall constitute a waiver of notice of such meeting, and waiver of any and all objections to the place of the meeting, time of the meeting, or the manner in which it has been called or conveyed, except when a Member attends a meeting for the expressed purpose, as stated at the beginning of the meeting, of objecting to the transaction of business because the meeting is not lawfully called or convened . Neither the business to be transacted at, nor the purpose of, any meeting of the Member(s) need be specified in any written waiver of notice. Section 11 . Quorum. A majority of the Member(s) qualified to cast a vote at any meeting shall constitute a quorum at said meeting . If a quorum is not present at any meeting of the Member(s), a majority of the Member(s) present may adjourn the meeting from time to time without further notice . The act of a majority of the Member(s) present at a meeting at which a quorum is present shall be binding upon the membership . ARTICLE 6 BOARD OF DIRECTORS Section 1 . Membership of the Board of Directors The affairs of the Corporation shall be managed and directed by a Board of Directors consisting of not less than three (3 ) nor more than forty (40) persons, the exact number to be determined from time to time by the Member(s) in accordance with these Bylaws . The Board of Directors shall nominate prospective Directors to be elected by the Member(s) . The Bishop of the Diocese of Palm Beach may appoint Directors , whether or not nominated by the Board, and may remove any or all of the Directors from the Board , with or without cause at any such time as he may determine , in his sole discretion . Section 2 . Consulting Directors The Member(s) may appoint Consulting Directors to the Board. Consulting Directors shall act in an advisory capacity only and may not vote on any -4-
