matter that comes before the Board of Directors . The Bishop of the Diocese of Palm Beach may <br /> remove any or all Consulting Director(s) from the Board , with or without cause and at any such time <br /> as he may determine, in his sole discretion . <br /> Section 3 . Qualification of Directors Directors may include clerical , religious , or lay <br /> persons within the geographic boundaries of the Diocese of Palm Beach . In electing Directors, <br /> consideration shall be given to a candidate ' s : <br /> A. Appreciation and support of the Corporation ' s mission in the community; <br /> B . Willingness to accept the duties and responsibilities of a Director; <br /> C . Experience and knowledge in the social service field ; <br /> D . Experience in organizational community activities ; <br /> E . Areas of interest and expertise ; <br /> F. Geographic representation; <br /> G. Satisfaction of any and all legal requirements ; and <br /> H. Representation from client constituencies . <br /> Section 4 . Tenure of Directors Each director shall take and hold office for unlimited <br /> terms of three (3 ) years until his/her successor shall have been appointed, or until their earlier <br /> resignation, removal from office or death. Upon adoption of these bylaws , the existing Directors and <br /> the current new Directors ' terms shall be staggered for one ( 1 ) , two (2 ) and three (3 ) year terms as <br /> determined by the Nominating Committee . <br /> Section 5 . Opening(s ) on the Board of Directors Any opening(s) occurring in the <br /> membership of the Board of Directors , including any openings(s) created by reason of an increase <br /> in the number of Directors , may be filled by the Member(s) or nominated by the Board, subject to <br /> ratification and election by the Member(s) . <br /> Section 6. Resignation of Directors . Any Director may resign by providing written <br /> notice of such resignation to the President of the Corporation or the Bishop of the Diocese of Palm <br /> Beach. Any such resignation shall become effective immediately upon receipt of said written notice <br /> or at such later date as may be specified in the notice . <br /> Section 7. Removal of Directors The Member(s) may remove any Director(s) from the <br /> Board of Directors , with or without cause and at such time as they may determine, in their sole <br /> discretion. A majority of the Board of Directors may vote to recommend that a Director be removed <br /> - 5 - <br />
