D . The Chairman of the Committee ; or <br /> E . Any three (3 ) committee members . <br /> Section 2 . Governance of Committee Meetings . All Committee Meetings shall be <br /> governed by the same rules of procedure that govern Directors Meetings and that are outlined in <br /> Article 7, Sections four (4) through thirteen ( 13 ) of these Bylaws . <br /> ARTICLE 10 <br /> OFFICERS <br /> Section 1 . Categories and Identification <br /> A. Officers of the Corporation The officers of the Corporation shall include a <br /> President, a Vice President, a Secretary and a Treasurer. The Corporation may have additional <br /> officers , assistant officers and agents, including without limitation one ( 1 ) or more senior, assistant <br /> or other vice presidents, secretaries and treasurers . <br /> Section 2 . Chain of Authority. When the incumbent of an office is unable to perform <br /> the duties thereof or when there is no incumbent of an office as a result of death, resignation, <br /> removal, disqualification, or otherwise, (both such situations referred to hereafter as the "absence" <br /> of the officer) , the duties of the office shall , unless otherwise provided for by the Member(s), be <br /> performed by the next officer set forth in the following sequences : The chain of authority shall be <br /> the President, the Vice President, Secretary and Treasurer. Member(s) may authorize the delegation <br /> by any Officer of any such Officer ' s powers and duties to any agent or employee of the Corporation, <br /> subject to the general supervision of such Officer. <br /> Section 3 . Officers of the Corporation <br /> A. General Duties of the Officers The business of the Corporation, as managed and <br /> authorized by the Board of Directors and the Member(s) , shall be carried out and conducted by the <br /> Officers of the Corporation and all Officers shall perform such duties as are usually prescribed for <br /> the Officers held by them, and such duties as may be from time to time prescribed by the Board of <br /> Directors an the Member(s) . <br /> B . Specified Duties of the Officers The officers of the Corporation shall have the <br /> following specific duties : <br /> ( 1 ) President. The President shall preside at all meetings of the Board, perform the <br /> duties associated with the general and active management of the affairs of the Board of Directors , <br /> and perform any other duties assigned by the Directors or the Member(s) ; <br /> (2) Vice President. The Vice President shall perform such duties as may be assigned <br /> - 11 - <br />
