by the Board of Directors ; <br /> shall : (3 ) Secretary. Subject to the direction of the Board, the Secretary of the Corporation <br /> (i) Maintain a record of the meetings of the Directors and all committees in <br /> one or more books provided for that purposes ; <br /> (ii) Assure that all notices are given in accordance with the provisions of these <br /> Bylaws and as required by law; <br /> (iii) Be custodian of the corporate records and the seal of the Corporation; <br /> (iv) Assure that the seal of the Corporation is affixed to all documents the <br /> execution of which on behalf of the Corporation under its seal is authorized in accordance with the <br /> provisions of these Bylaws ; and <br /> (v) Perform other duties incident to the Office of Secretary which may be more <br /> particularly prescribed in these Bylaws or assigned by the President. <br /> (4) Treasurer. The Treasurer shall be the Chief Financial Officer of the <br /> Corporation, and subject to the direction of the Corporation, the Treasurer shall : <br /> (i) Have charge and custody of and be responsible for all funds and securities <br /> of the Corporation; <br /> (ii) Receive and give receipt for monies due and payable to the Corporation <br /> from any source whatsoever, <br /> (iii) Deposit all monies in the name of the Corporation in such banks, trust <br /> companies or other depositories as shall be selected by the Executive Director; and <br /> (iv) Perform other duties incident to the office of Treasurer as may be more <br /> particularly prescribed in these Bylaws or assigned by the President. <br /> (5 ) Assistant Secretaries and Assistant Treasures If appointed, any Assistant <br /> Secretary or Assistant Treasurer shall perform such duties as shall be assigned to them by the Board . <br /> Section 4 . Election and Appointment of Officers <br /> Officers of the Corporation The officers of the Corporation shall be elected as follows : <br /> ( 1 ) The President, Vice President, Secretary and Treasurer shall be elected by the <br /> - 12- <br />
