Member(s) , and <br /> (2) All other officers of the Corporation shall be elected by the Member(s) . Any two or <br /> more offices may be held by the same person, except the offices of President and Secretary of the <br /> Corporation. <br /> Section 5 . Tenure of Officers . The terms for officers will be two years . Each Officer <br /> shall take and hold office from the date of the officer ' s election and shall hold office for no more <br /> than two consecutive two-year terms until his successor has been duly elected and qualified, or until <br /> his earlier resignation, removal from office or death. <br /> Section 6 . Resignation of Officers Any officer may resign at any time by providing <br /> written notice of such resignation to the President and Secretary of the Corporation, and such <br /> resignation shall become effective immediately upon receipt of said notice or at such later date as <br /> may be specified in the notice . <br /> Section 7 . Removal of Officers , Any officer may be removed, with or without cause, <br /> by the Bishop of the Diocese of Palm Beach. <br /> Section 8 . Compensation. With the exception of the Executive Director, Officers and <br /> Committee members shall not receive any stated salaries for their services , but a reasonable amount <br /> may be allowed for reimbursement of expenses incurred in attending to their authorized duties <br /> including, but not limited to , their attendance at meetings and seminars ; provided, however, except <br /> as may be limited by Article 13 below, nothing herein contained shall be construed to preclude any <br /> committee member from serving the Corporation in any other capacity and receiving compensation <br /> therefor. <br /> Section 9 . Bonds of Officers of the Corporation The Directors may secure the fidelity <br /> of any or all of the officers of the Corporation by bond or otherwise, in such terms and with surety <br /> or sureties , conditions , penalties or securities as shall be required by the Directors . <br /> ARTICLE 11 <br /> EXECUTIVE DIRECTOR <br /> The Executive Director shall be the Chief Executive Officer of the Corporation and shall <br /> be responsible for performing the duties associated with the general and active management of <br /> the affairs of the Corporation, and exercising such additional powers as may be assigned by the <br /> Board of Directors , or by the Member(s), including the duty to assist the Secretary and the <br /> Treasurer with their functions . The Bishop of the Diocese of Palm Beach shall appoint the <br /> Executive Director of the Corporation and the Executive Director of the Corporation shall serve <br /> at the will of the Bishop of the Diocese of Palm Beach . The Executive Director will report both <br /> to the Board of Directors and the Member(s) , as they shall each determine . <br /> - 13 - <br />
