Easement are collectively known as the Properties , and <br /> WHEREAS , the County is prepared to take the Properties by using its power of <br /> eminent domain ; and <br /> WHEREAS , Seller and the County wish to avoid the risk , time and expense of <br /> litigation by entering into this agreement for sale and purchase of the Properties ; <br /> NOW , THEREFORE , in consideration of the mutual terms , conditions , promises , <br /> covenants and premises hereinafter , the COUNTY and SELLER agree as follows : <br /> 1 . Recitals . The above recitals are affirmed as being true and correct and are <br /> incorporated herein . <br /> 2 . 1 Agreement to Purchase and Sell Right- of-Way Strip . The Seller hereby agrees to <br /> sell to the County , and the County hereby agrees to purchase from Seller , upon the terms <br /> and conditions set forth in this Agreement , that certain parcel of real property located at <br /> 66'" Avenue , Vero Beach , Florida and more specifically described in the sketch and legal <br /> description attached as Exhibit "A" , containing approximately 0 . 069 acres , and all <br /> improvements thereon , together with all easements , rights and uses now or hereafter <br /> belonging thereto (the " Right- of-Way Property" ) . <br /> 2 . 2 Agreement to Purchase and Sell Drainage Easement . The Seller hereby agrees to <br /> sell to the County , and the County hereby agrees to purchase from Seller , upon the terms <br /> and conditions set forth in this Agreement , a perpetual , non -exclusive drainage easement <br /> over those certain parcels of real property more specifically described in the sketch and <br /> legal descriptions attached as Exhibit " B " , (the " Drainage Easements11 copy of the <br /> Drainage Easements shall be provided to Seller prior to executing this Contract and is <br /> attached hereto as Exhibit " B " . The County shall have the obligation to perform emergency <br /> maintenance on the drainage easement . <br /> 2 . 3 Agreement to Purchase and Sell Temporary Construction Easement . The Seller <br /> hereby agrees to sell to the County , and the County hereby agrees to purchase from <br /> Seller , upon the terms and conditions set forth in this Agreement , a temporary construction <br /> easement over that certain parcel of real property more specifically described in the sketch <br /> and legal description attached as Exhibit " C " , containing approximately . 037 acres , (the <br /> "Temporary Construction Easement" ) . A copy of the Temporary Construction Easement <br /> shall be provided to Seller prior to executing this Contract and is attached hereto as Exhibit <br /> « C „ <br /> 3 . Purchase Price Effective Date . The purchase price for the Right-of-Way Property <br /> and Temporary Construction Easement shall be Eleven Thousand seven hundred dollars <br /> ( $ 11 , 700 . 00 ) The purchase price for the Drainage Easement shall be three hundred twenty <br /> seven thousand five hundred dollars ( $ 327 , 500 . 00 ) for a total purchase price (" Purchase <br /> Price " ) of three hundred thirty ninethousand <br /> thetwo <br /> lnd anhundred <br /> Rvedollars <br /> County Board ofsubject <br /> County <br /> and conditioned upon the approval of <br /> 2 <br /> GA�� <br />
