comprised a part of this Agreement, and the remaining provisions of this Agreement shall remain in <br /> full force and effect and shall not be affected by such illegal , invalid, or unenforceable provision or <br /> by its severance from this Agreement. <br /> h. Attorneys' Fees . In the event it becomes necessary for either party hereto to file suit <br /> to enforce this Agreement or any provision contained herein, the party prevailing in such suit shall be <br /> entitled to recover, in addition to all other remedies or damages, as provided herein, reasonable <br /> attorneys' fees, paralegal fees and cost incurred in such suit at trial, appellate, bankruptcy and/or <br /> administrative proceedings . <br /> i . Multiple Counterparts . This Agreement may be executed in a number of identical <br /> counterparts which, taken together, shall constitute collectively one ( 1 ) agreement; but in making <br /> proof of this Agreement, it shall not be necessary to produce or account for more than one such <br /> counterpart executed by the party to be charged. <br /> J . Date of this Agreement . This Agreement shall not be effective unless signed by both <br /> Buyer and Seller. As used in this Agreement, the term "Effective Date " shall mean and refer to the <br /> date of execution of the last of Buyer or Seller to execute this Agreement. <br /> k. Relation to Seller/Prior Owner. Buyer represents and warrants that neither Buyer <br /> nor any of its principals or any entity owned or controlled by Buyer or any of its principals or any <br /> entity in which the Buyer or any of its principals has a legal or equitable ownership interest in is <br /> affiliated in any manner with Seller or any entity owned or controlled by Seller or any entity in which <br /> Seller has a legal or equitable ownership interest. <br /> 18 . APPROVAL OF COUNTY COMMISSION. <br /> Notwithstanding anything herein to the contrary, the Buyer' s obligations under this <br /> Agreement shall be subject to and contingent upon approval of this Agreement by the Indian River <br /> County Board of Commissioners within the Inspection Period . <br /> 19 . ACCEPTANCE . <br /> The offer by the first party to execute this Agreement to sell or buy the Property shall <br /> terminate unless this Agreement is accepted and executed by the other party on or before <br /> SLK SAR: # 191001v2 13 <br />
