discretion under extenuating circumstances if the completion of services and other units of <br /> deliverables to date, has first been accepted in writing by Department's grant manager. <br /> (5) Funding Period. This Agreement begins on the date of the last signature below <br /> and ends April 30, 2012 . In the event the ending date is extended by the SSA, the ending date of <br /> this Agreement will be extended automatically upon written notice to the Subrecipient by the <br /> Department and become the new ending date of this Agreement without further amendment . <br /> (6) Agreement Modification. Either party may request modification of the provisions of <br /> this Agreement. Except as provided in paragraph (5) above, changes which are mutually agreed <br /> upon shall be valid only when reduced to writing, duly signed by each of the parties hereto, and <br /> attached to the original of this Agreement . <br /> (7) Subagreements . If Subrecipient subcontracts any or all of the work required under <br /> this Agreement, a copy of the unsigned subcontract must be forwarded to Department for review <br /> and approval prior to execution of the subcontract by Subrecipient . Subrecipient agrees to <br /> include in the subcontract that (i) the subcontractor is bound by the terms of this Agreement, (ii) <br /> the subcontractor is bound by all applicable state and federal laws and regulations , and (iii) the <br /> subcontractor shall hold Subrecipient, Department, and SAA harmless against all claims of <br /> whatever nature arising out of the subcontractor's performance of work under this Agreement, to <br /> the extent allowed and required by law . Each subcontractor ' s progress in performing its work <br /> under this Agreement shall be documented in a quarterly report submitted by Subrecipient . <br /> For each subcontract, Subrecipient shall provide a written statement to Department as to <br /> whether that subcontractor is a minority business enterprise, as defined in Section 288 . 703 , <br /> Florida Statutes . <br /> (8) Recordkeeping <br /> (a) As applicable, Subrecipient's performance under this Agreement shall be subject <br /> to the federal "Common Rule : Uniform Administrative Requirements for State and Local <br /> Governments " (53 Federal Register 8034) or OMB Circular No . A- 110 , " Grants and Agreements <br /> with Institutions of Higher Education, Hospitals, and Other Nonprofit Organizations , " and either <br /> OMB Circular No . A- 87 , " Cost Principles for State and Local Governments , " OMB Circular No . <br /> A-21 , " Cost Principles for Educational Institutions, " or OMB Circular No . A- 122 , " Cost <br /> Principles for Nonprofit Organizations . " If this Agreement is made with a commercial (for- <br /> profit) organization on a cost-reimbursement basis , Subrecipient shall be subject to Federal <br /> Acquisition Regulations 31 . 2 and 931 . 2 . <br /> (b) Subrecipient shall retain sufficient records demonstrating its compliance with the <br /> terms of this Agreement, and the compliance of all subcontractors or consultants to be paid from <br /> funds provided under this Agreement, for a period of five years from the date the audit report is <br /> issued, and shall allow Department or its designee , Chief Financial Officer, and Auditor General <br /> access to such records upon request . The Subrecipient shall ensure that audit working papers are <br /> made available to Department ' s designee, Chief Financial Officer, and Auditor General upon <br /> request for a period of five years from the date the audit report is issued, unless extended in <br /> writing by Department with the following exceptions : <br /> 4 <br />
