11 . The Company shall prepare and maintain detailed records <br /> concerning the operation of the system used to provide Landfill Gas to the Facility. At a <br /> minimum, the records shall identify : the amount of Landfill Gas provided to the Facility <br /> on an hourly basis ; the methane content of the Landfill Gas provided to the Facility on an <br /> hourly basis ; the dates and times when the Company diverts Landfill Gas to the District ' s <br /> flare ; and the dates and times when the Company stops diverting Landfill Gas to the <br /> District ' s flare . <br /> 12 . The Company shall be responsible for tracking, selling, and <br /> otherwise managing any environmental credits for reductions in carbon dioxide <br /> emissions , energy credits , or other environmental attributes associated with the Landfill <br /> Gas (collectively, " Credits ") and shall receive any compensation for same . The <br /> Company shall compensate the District for any Credits that are received and sold for the <br /> LFG, based on the monetary value of the Credits that would have been earned if the <br /> District continued to gather and flare the LFG . <br /> 13 , Both Parties wish to maximize the Company ' s use of the District ' s <br /> LFG . If the amount of available LFG exceeds the design capacity of the Company ' s LFG <br /> Assets, the Company shall use Commercially Reasonable Efforts to increase the design <br /> capacity of the Company ' s LFG Assets and , thus , more closely match the design capacity <br /> of the Company ' s LFG Assets to the actual quantity of LFG that is available to the <br /> Company . <br /> Section 3 .3 Applicable Laws, Ordinances and Regulations . <br /> Each Party shall comply with all laws , rules , regulations , ordinances , permits and <br /> requirements that are applicable to that Party ' s actions under this Agreement, including <br /> all applicable health and safety, anti - discrimination, affirmative action, and minority <br /> business opportunity laws . <br /> ARTICLE IV <br /> PAYMENTS AND FEES <br /> Section 4 . 1 Fees and Monthly Payments . <br /> A . Fees . <br /> 1 . In general , the Company and the District shall pay the fees that are <br /> required hereunder for the services that are provided in compliance with this Agreement. <br /> The District shall pay the Processing Fees set forth in Exhibit 1 -A . The Company shall <br /> pay the disposal fees set forth in Exhibit 1 -B . The Company also shall pay the fees set <br /> 21 <br />
