FEEDSTOCK SUPPLY AGREEMENT <br /> THIS AGREEMENT ( "Agreement") is made by and between INEOS New <br /> Planet BioEnergy , LLC (" Company") , a Delaware limited liability company, and the <br /> Indian River County Solid Waste Disposal District ("District") , a special district of <br /> Indian River County , Florida on this _ day of July, 2011 ("Effective Date") . <br /> WITNESSETH : <br /> WHEREAS , in 2008 , the District issued a Request for Proposals for a Waste To <br /> Energy Project and Company responded with a proposal that was selected by District ; <br /> and <br /> WHEREAS, Company intends to design , construct and operate a facility (the <br /> "Facility") in Indian River County ( " County") that will produce a bioethanol energy <br /> product and renewable power (i . e . , electricity) from , but not limited to , organic feedstock <br /> comprised of Vegetative Wastes and other organic matter; and <br /> WHEREAS , the Facility will be designed, constructed and operated to produce <br /> approximately eight million ( 8 , 000 , 000) gallons of ethanol per year and generate <br /> approximately six (6 ) megawatts of electricity ; and <br /> WHEREAS , District is willing to provide Acceptable Wastes to Company for <br /> use in the production of bioethanol and renewable power in Company ' s Facility , subject <br /> to the conditions contained herein ; and <br /> WHEREAS , District ' s Landfill produces gas that the District is willing to make <br /> available to Company, subject to the conditions contained herein ; and <br /> WHEREAS , Company desires to utilize all of the District ' s Acceptable Waste <br /> and Landfill Gas at its Facility ; and <br /> WHEREAS , the District and the Company have negotiated the terms of this <br /> Agreement , which are mutually acceptable to both Parties . <br /> NOW, THEREFORE , in consideration of the mutual promises contained herein <br /> and other good and valuable considerations , the receipt and sufficiency of which are <br /> hereby acknowledged, the Company and District agree to be bound by and comply with <br /> the following : <br />
