ARTICLE I <br /> DEFINITIONS <br /> As used in this Agreement, the following terms shall have the meanings set forth <br /> below : <br /> Acceptable Waste — means Vegetative Waste that complies with the specifications <br /> in Exhibit 2 . Acceptable Waste does not include Unacceptable Waste , except for <br /> Unacceptable Waste which can be Processed in small quantities when mixed with <br /> Acceptable Waste , to the extent such Processing does not negatively impact the operation <br /> of the Facility . <br /> Annual Reconciliation — means those adjustments and payments required to be <br /> made pursuant to Section 4 . 2 , below . <br /> Ash Residue — means the solid residue and entrained liquids resulting from the <br /> thermal and combustion processes used by the Facility to generate ethanol , including <br /> bottom ash, fly ash and combined bottom and fly ash , but excluding metals , glass , and <br /> other materials that are separated and removed from the Ash Residue . <br /> Clean Wood — means wood (i . e . , lumber, pallets , etc . ) that is free of paint, glue , <br /> filler, pentachlorophenol , creosote , tar, asphalt, and other wood preservatives and <br /> treatments . <br /> Commencement Date — means the date on which the Company shall commence <br /> the commercial operations of the Facility, including the routine Processing of Acceptable <br /> Waste . However, the Commencement Date may occur before or after the Landfill Gas <br /> Commencement Date . <br /> Commercially Reasonable Efforts — means the use of all measures that a <br /> reasonably prudent Person would determine to be efficient , commercially available , and <br /> cost- effective under the circumstances . <br /> Company LFG Assets — means all of the Company ' s equipment and other tangible <br /> assets used for the measurement, transmission, handling , monitoring , control , <br /> management and use of the Landfill Gas that is transmitted from the Delivery Point to the <br /> Facility . The Company LFG Assets include but are not limited to the Company ' s <br /> metering equipment , the Company ' s LFG pipeline from the Delivery Point to the <br /> Facility, the Company ' s compressor, and the Company ' s equipment used to connect the <br /> Company ' s LFG system to the Delivery Point . <br /> Construction and Demolition Waste ( "C&D Waste ') — means discarded materials <br /> generally considered to be not water soluble and non-hazardous in nature , including but <br /> 2 <br />
