7 . 2 hispection . Such records shall be available during normal business hours for inspection <br /> by Plan Sponsor, its authorized representative or a duly authorized and properly identified <br /> governmental authority. <br /> VIII . ASSIGNMENT <br /> 8 . 1 Except for an assignment of any rights to receive payment of money, no <br /> assignment of any rights or delegation of any duties hereunder by any party shall be valid <br /> without the prior written consent of the other parties . <br /> IX . GENERAL PROVISIONS <br /> 9 . 1 Applicable Law. This Agreement shall be governed by the laws of the State of <br /> Florida. <br /> 9 . 2 Effective Dates of Notices . If the mail is used to give any notice required <br /> hereunder, notice shall be deemed as given five (5 ) days after such notice is <br /> deposited in the United States mail with First Class postage prepaid and <br /> addressed to Plan Sponsor or JAG at the appropriate address . If the mail is not used , <br /> notice shall be deemed as given on the actual date the notice is received by the parry to <br /> receive said notice. <br /> 9 . 3 Amendment No amendment to this Agreement shall be effective unless it is in writing, <br /> attached to or made a part of this Agreement, and it is executed by a duly authorized <br /> representative of Plan Sponsor and by an officer of JAG . <br /> 9 .4 Additional Documentation JAG and Plan Sponsor agree to execute such additional <br /> documents as may be reasonable and necessary to carry out the provisions of this <br /> Agreement . <br /> 9 . 5 Entire Agreement This Agreement is the entire contract between the parties and <br /> supersedes any and all prior understandings or agreements between the parties whether <br /> oral or in writing . <br /> 9 . 6 Titles Titles or headings are not part of this Agreement and shall have no effect on the <br /> construction or legal effect of this Agreement. <br /> Page 6 <br />
