the first page of this Agreement, or such other address as is designated in writing by a <br /> party to this <br /> Agreement. <br /> 30 . SURVIVAL . The covenants , warranties , representations , indemnities and undertakings of Seller <br /> set forth in this Agreement shall survive the closing , the delivery and recording of the deed described in <br /> paragraph 9 of this Agreement and Purchaser' s possession of the Property . <br /> 31 . BARGAIN SALE . Purchaser acknowledges that it is Seller' s intent to effectuate a " bargain sale " <br /> of the Property, i . e . , a sale to a charitable organization at a price below fair market value <br /> wherein the <br /> difference is considered a charitable contribution under applicable sections of the Internal Revenue Code . <br /> Seller acknowledges that the substantiation of a charitable contribution deduction rests exclusively with <br /> Seller but for Purchaser' s execution of Internal Revenue Service Form 8283 . Purchaser agrees to provide <br /> copies of the appraisals obtained by Purchaser upon Seller ' s request after full execution of this <br /> Agreement . <br /> 32 . CONDITIONS PRECEDENT . Specific conditions precedent to the obligations of the Purchaser to <br /> perform under the terms of this Agreement, and which must be met prior to the end of the Inspection Period, <br /> are; (i ) approval of the transaction by the Indian River County Board of County Commissioners; (ii ) approval <br /> by North American Wetlands Conservation Act of the Corrigan Tract being used as a match ; and <br /> (iii ) <br /> approval by St. Johns River Water Management District of the use of the Corrigan Tract as a match <br />for <br /> NAWCA and of the placement of a Notice of Grant on the Corrigan Tract; (iv) approval of this Agreement, <br /> and the Total Purchase Price, by Purchaser, (v ) confirmation that the Total Purchase Price is not in excess <br /> of the final County approved appraised value of the property ; (vi ) County approval of all documents to be <br /> furnished hereunder by Seller; and (vii ) availability of funding from the NAWCA grant . <br /> THIS AGREEMENT IS INITIALLY TRANSMITTED TO THE SELLER AS AN OFFER , IF THIS <br /> AGREEMENT IS NOT EXECUTED BY THE SELLER ON OR BEFORE , 2011 , THIS <br /> OFFER WILL BE VOID UNLESS THE PURCHASER , AT ITS SOLE OPTION , ELECTS TO <br /> ACCEPT THIS OFFER BY EXECUTING IT .
