existing landfill operations and State laws and regulations , and <br /> deposited in the specified disposal sites within the Landfill . <br /> Section 25 , FRANCHISE FEESv BILLING FEES <br /> A Franchise Fee in the amount of 6 % of gross revenues <br /> collected pursuant to the Franchise provided herein shall be <br /> paid to the County by the Collector quarterly , for all services <br /> billed by the Collector . The S . W . D . D . may require an annual <br /> certified audit , to be completed at the expense of Collector , by <br /> October 1 of each year to verify compliance with this section . <br /> The S . W . D . D . or its contracted agent shall be responsible <br /> for collection and payment of any applicable franchise fees on <br /> residential recycling services provided under contract herein . <br /> Section 26 , SUBCONTRACTORS . ASSIGNMENT AND CHANGE OF <br /> CONTROL : Subcontractors or subcontracted collectors will not be <br /> permitted under the terms of this Franchise and / or Contract . <br /> Collector shall make no assignment of its rights or obligations <br /> under this Franchise and / or Contract without first obtaining the <br /> written consent of the S . W . D . D . In the event Collector is a <br /> corporation , partnership or other legal entity , there shall be <br /> no change in the direct or indirect legal or factual control of <br /> such entity without first obtaining the written consent of the <br /> S . W . D . D . A change of legal control includes , but is not <br /> limited to , a transfer of the ownership of over 20 % of the <br /> Collector or any person or entity owning a 20 % or greater <br /> interest , direct or indirect , in the Collector . <br /> Section 27 , INSURANCE REQUIREMENTS <br /> 27 . 1 - Collector and Subcontractor : During the life of <br /> this Franchise and / or Contract , the Collector shall procure and <br /> maintain insurance of the types and to the limits specified <br /> below , and provide the County at all times with current <br /> certificates of insurance as evidence thereof . The County <br /> shall be included as an additionally insured on this insurance <br /> with respect to all claims arising out of the operations or <br /> - 36 - <br /> HSFRANCH . DOC <br />
