M <br />The payroll costs used as a basis for payment shall mean the actual <br />salaries and wages paid to principals and employees engaged on the <br />Project. Time spent on this Project by. stenographers, typists and <br />similar skills shall not be charged to the Project nor shall any <br />fringe benefits such as social security contributions, unemployment, <br />excise and payroll taxes, workmen's compensation, etc. be included <br />in the payroll costs. <br />Reimbursable expenses shall mean invoices from testing labortories <br />for soils survey and other testing; the actual expenses of out-of- <br />town transportation and subsistance of principals, employees and <br />consultants authorized by the County to travel in connection with <br />the Project; tolls, telephone calls and telegrams; reproduction if <br />plans in excess of those required for checking purposes and <br />similar project related items. <br />SECTION VII - RIGHT OF DECISIONS <br />All services shall be performed by the Engineer to the satisfaction <br />of the County Engineer who shall decide all questions, difficulties, <br />and disputes of whatever nature which may arise under or by reason <br />of this Agreement, the prosecution and fulfillment of the services <br />hereunder, and the character, quality, amount and value thereof, <br />and the County Engineer's decisions upon all claims, questions, <br />and disputes shall be final, conclusive and binding upon the <br />parties hereto unless such determination is clearly arbitrary or <br />unreasonable, adjustments of compensation and contract time because <br />of any major change in the work that might become necessary or be <br />�� 33\ FAGS 5#JA <br />
