e <br />found defective, Buyer shall, within three (3) days thereafter, <br />notify Seller in writing specifying defects. If said defects <br />render title uninsurable, Seller shall have one hundred eighty <br />(180) days from receipt of notice within which to remove said <br />defects, and if Seller is unsuccessful in removing them within <br />said time, Buyer shall have the option of either 1) accepting <br />the title as it then is, or 2) demanding a refund of all <br />monies paid hereunder which shall forthwith be returned to Buyer <br />and thereupon Buyer and Seller shall be released of all further <br />obligations under this contract; however, Seller agrees that it <br />will, if title is found to be uninsurable, use diligent effort <br />to correct the defects in title within the time limit provided <br />therefor, including the bringing of necessary suits. <br />VI. CLOSING <br />A. Closing shall be held at the office of Seller's <br />attorney, Gould, Cooksey, Fennell, Appleby & McKinnon, <br />Professional Association, 979 Beachland Boulevard, Vero <br />Beach, Florida 32960. <br />B. Seller's attorney shall prepare deeds, bills of <br />sale, closing statements, any corrective instruments re- <br />quired in connection with perfecting title and certified <br />copies of resolutions of Seller authorizing the sale of <br />the real property and improvements herein and the transfer <br />of the bond issue and related accounts, as set forth <br />.' <br />.hereafter, to the Buyer, Buyers attorney shall prepare and <br />. ! <br />provide Seller with certified copies of resolutions of Buyer' <br />• <br />authorizing -the purchase of the real property and improvements <br />set forth herein and the assumption of the bond issue and re- <br />lated bank accounts by the Buyer. Buyer's attorney shall ' <br />alsore are the document by which the Buyer assumes the <br />P p <br />bond issue. <br />C. This transaction shall be closed with the deeds <br />and other closing papers delivered on the 1st day of <br />August, 1978, or within thirty (30) days after Seller <br />vacates the premises and moves into its new hospital f <br />facility whichever date is later unless extended by other <br />provisions of this contract. <br />
