2. <br />3. <br />ti <br />n <br />In the event of the COUNTY'S non-compliance with the requirements <br />of this clause, the Contract may be terminated or suspended in. <br />whole or in part. <br />1.11 Indemnification: <br />The COUNTY shall act as an independent contractor and not as an employee <br />of the COMMISSION in operating the aforementioned services. The COUNTY <br />shall be liable, and agree to be liable for, and shall idemnify and defend <br />the COMMISSION- from damages; including attorney's fees at all stages of <br />litigation, arising from the operation of the aforementioned services <br />during the course of the Contract to the extent permitted by Florida Law. <br />1.12 Monitoring: <br />Permit the COMMISSION and other authorized state personnel to monitor the <br />*activities of the COUNTY, in accordance with applicable state regulations <br />and policies. This monitoring may take the form of report audits, interviews <br />with the COUNTY, or any other form deemed necessary by the COMMISSION to be <br />appropriate for proper management and•review of activities performed under <br />this contract. The COUNTY will provide access to, or furnish whatever <br />information is necessary to effect this monitoring. <br />1.13 Retention of Records: <br />Retain all financial records, supporting documents, statistical records, <br />and any other documents pertinent to this contract for a period of three <br />(3) years after starting date of the applicable retention period, or if <br />audit findings have not been resolved at the end of five (5) year period, <br />the records shall be retained until resolution of the audit findings. <br />Persons duly authorized by the COMMISSION shall have full access to, and <br />the right to examine any of said materials during contract period. <br />The COMMISSION agrees to: <br />2.1 Pay the COUNTY a total sum of Seven Thousand Nine Hundred Eighty One Dollars <br />($ 7,981.00 ). <br />2.2 Payment will be made quarterly upon receipt and approval of the required <br />expenditure reports. <br />The COUNTY and COMMISSION mutually agree: <br />3.1 This Contract shall become effective on :T0 y I 1978. <br />3.2 This Contract shall terminate on June 30, 1979. <br />3.3 This Contract is subject to the availability of funds and the determination <br />as to such availability rests- solely with the COPMIISSION. If funds become <br />unavailable, the COMMISSION may terminate this contract on 24 hours notice. <br />3.4 This Contract may be terminated by either party with or without cause <br />providing at least thirty (30) days notice is given to the other party. <br />Such notice may be by regular mail, in person, or by telegram and shall <br />be effective upon receipt. <br />SEP 2 01978 <br />36 aa <br />
