Provided progress is satisfactory to the COUNTY, COUNTY <br />shall make payment normally within twenty (20) days of receipt <br />and approval of the documents and services. Final payment shall <br />be withheld pending completion of all documents and services <br />required by this Agreement to the satisfaction of the COUNTY. <br />This project will be managed through the Indian River <br />County Planning and Zoning Department and all matters should be <br />directed to the Department Director or person designated by the <br />Director for proper disposition. <br />6. TERMINATION: <br />A. Termination for Convenience. <br />If this Contract is terminated by the COUNTY or by <br />mutual agreement, at any time prior to fulfillment, the <br />CONSULTANT shall be paid for services performed and/or costs <br />incurred based on an estimate of that portion of the work <br />that has been completed, as determined by the COUNTY. <br />B. Termination for Cause. <br />If, through any cause, CONSULTANT shall fail to fulfill <br />in timely and proper manner its obligations under this <br />Contract, or if CONSULTANT shall violate any of the <br />covenants, agreements, or stipulations of this Contract, <br />the COUNTY shall thereupon have the right to terminate <br />this Contract by giving written notice to the CONSULTANT <br />of such termination and specifying the effective date <br />thereof. In that event, all items or materials <br />furnished by the COUNTY and any finished or unfinished <br />reports, notes, or field data prepared by the CONSULTANT <br />shall immediately be delivered to a place designated by <br />the COUNTY,and the CONSULTANT shall be entitled to receive <br />just and equitable compensation for any satisfactory <br />work or services completed. <br />Notwithstanding the above, the CONSULTANT shall not be <br />relieved of liability to the COUNTY for damages sustained <br />by the COUNTY by virtue of any breach of the Contract by <br />-3- <br />AUG 81979 @00K 41 PAGE 320 <br />
