B. The CONSULTANT agrees to hold the lump sum fees, as outlined in <br />Attachment C to this Agreement, constant for six (6) months from the date of <br />execution of this Agreement. After that date, the fees contained in Attach- <br />ment C shall be subject to renegotiation; any change in such fees shall apply <br />only to the unfinished services as of the effective date of such change. <br />IV. GENERAL CONSIDERATIONS <br />A. The COUNTY shall furnish, without charge to the CONSULTANT, certain <br />data, more particularly described as follows: copies of any or all maps, air <br />photos, records, reports, ordinances, resolutions, schedules, correspondence <br />or other items currently in the possession of, or readily obtainable by the <br />COUNTY, when the use of such materials may be needed by the CONSULTANT for the <br />effective performance of its obligations under this Agreement. <br />B. The CONSULTANT represents that it has, or will secure at its own <br />expense, all personnel required in performing the services under this Agree- <br />ment. Such personnel shall not be employees of, or have any contractual re- <br />lationship with the COUNTY. The parties acknowledge that the CONSULTANT is <br />an independent contractor and that its agents, employees and representatives <br />shall not be deemed to be employees or agents of the COUNTY. <br />C. All of the services required hereunder will be performed by the CON- <br />SULTANT or under its supervision, and all personnel engaged in the work shall <br />be fully qualified to perform such services. <br />D. None of the work or services covered by this Agreement shall be sub- <br />contracted without prior written approval of the COUNTY. <br />E. The CONSULTANT agrees to provide the COUNTY with the products out- <br />lined in the Scope of Services. <br />F. Notwithstanding that specific services are enumerated in Attachment <br />B, the CONSULTANT will, upon written request of the COUNTY, provide any and <br />all other planning and civil engineering consulting services normally falling <br />within the capability of the CONSULTANT; provided, however, that such addi- <br />tional services shall result in extra compensation to the CONSULTANT, as pro- <br />vided in Attachment C. It is understood and agreed that if such additional <br />services are requested, this Agreement shall be considered as a continuing <br />contract with respect thereto. <br />G. The COUNTY hereby acknowledges that estimates of probable construc- <br />tion cost cannot be guaranteed, and such estimates are not to be construed as <br />a promise to design facilities within a cost limitation. <br />JAN 28 1981 <br />
