receivable at closing. Seiler agrees to look to any d.eposi'Us <br />Seller may have on hand for each respective delinquent customer <br />for final payment. After closing Purchaser will have no <br />responsibility to aid Seller in the collection of any delinquent <br />accounts receivable whatsoever; however, all delinquent Seller <br />accounts paid to Purchaser in error shall be paid to Seller in <br />sixty (60) days. <br />8. Customer Advances in Aid of Construction: The <br />Seller further agrees with the Purchaser that on and after the <br />execution of this Agreement, it will not enter into any agreement <br />with customers in the nature of customer advances in aid of con- <br />struction contracts without the prior knowledge and written acqui- <br />esence of the Purchaser. <br />9. Hold Harmless and Indemnification: <br />(a) As to Seller: Company does hereby agree to <br />indemnify and to hold Purchaser harmless from any and all <br />obligations, expenses, costs, attorneys' fees, damages, penalties - <br />or other liabilities of every kind and nature whatsoever which <br />arise prior to the closing date, even though same may be asserted <br />after closing, from <br />(1) the ownership and operation of the Subject <br />Assets; <br />(2) all contracts, easements, licenses, fran- <br />chises, service agreements, developer agreements, right of way <br />agreements and other privileges and rights assumed by Purchaser; <br />and <br />(3) all obligations within the area served by <br />the Subject Assets, to construct, maintain, operate, repair, <br />improve, remove and extend the water and sewer utility systems <br />which are a part of the Subject Assets and serve customers with <br />said Assets with the exception of DER litigation Case No. 79-77; <br />(4) claims of all creditors. <br />(b) As to Purchaser: Purchaser does hereby agree <br />to indemnify and to hold Seller harmless from any and all expen- <br />ses, costs, attorneys' fees, damages, penalties or other liabili- <br />ties of every kind and nature whatsoever which arises after the <br />closing date from: <br />-7- Pt�OK 49 Fd;Ec�67 <br />MAY 5 - 1982 <br />
