MAY 51982 <br />"I" obligations; <br />(2) the performance by Purchaser of Exhibit <br />(3) all contracts, easements, licenses, fran- <br />chises, service agreements, developer agreements, right of way <br />agreements, and other privileges and rights assumed by and dis- <br />closed to Purchaser; and <br />(4) all disclosed obligations within the area <br />served by the Subject Assets to construct, maintain, operate, <br />repair, improve, remove and extend the water and sewer utility <br />systems which are a part of the Subject Assets and to serve cus- <br />tomers with the Subject Assets. <br />10. Customer Deposits: Seller will give to Purchaser at <br />closing a list of all customer deposits including the amount of <br />each deposit and whether said deposit has been accruing interest <br />and at what rate. Seller will maintain the deposits for sixty <br />(60) days following closing and may deduct from the customers <br />respective deposits any delinquency.. within sixty (60) days of <br />closing, seller will assign and turn over to Purchaser all remain- <br />ing deposits with a full accounting of any deductions. <br />11. Commissions: The transaction contemplated by this <br />- Agreement is a direct, private transaction between Seller and <br />Purchaser without the use of a broker or commissioned agent by <br />either party hereto. <br />12. Survival of Representations, warranties, Covenants, <br />Conditions, Commitments, and Agreements: All representations, <br />warranties, covenants, conditions, commitments, and agreements <br />contained herein or made pursuant hereto shall not merge with the <br />closing hereof but shall survive the closing. <br />13. Closing: The closing of the purchase and sale of <br />assets as contemplated by this Agreement shall take place in the <br />County Attorney's Office on a date acceptable to both parties <br />under the foregoing provision of this Agreement. If Seller or <br />Purchaser has not fulfilled all of its duties and obligations to <br />be performed under the terms of this Agreement prior to the time <br />of closing, the other party may, at its option, extend th.-� zlate of <br />closing. <br />8- _ <br />
