Paull REFERENCES: <br />Assistant County Attorney <br />I have reviewed the proposed service contract submitted to you by <br />Communications of Vero Beach and have the following comments: <br />1- The contract as written does not clearly indicate that the <br />service provider will pay for all parts and materials required <br />for maintenance or repair of equipment. The contract only <br />specifies that "adjustments and repairs" will be made. The <br />understanding should be that the costs of any parts or <br />materials inoluded to make the adjustments or repairs is <br />covered by the monthly price. While I feel this was intended <br />to have been covered in the present language, I would recommend <br />that you have Mr. Stork confirm their intentions on this point. <br />This could be done in letter form signed by Mr. Stork. <br />2- Note that the contract states that emergency service will be <br />provided as often as required "without additional charge" <br />during normal work hours, but makes no reference as to charges <br />for emergency service during abnormal hours. I would think <br />that emergency service may need to be provided at any time of <br />day or night, and that the contract should specify what <br />"additional charge" will be made for emergency service <br />performed after normal hours. <br />3- Note that the contract provides for automatic renewals unless <br />either party gives notice prior to the renewal. Be careful <br />come renewal time, as you would have to stick with renewal for <br />up to ninety days before you could terminate. <br />4- The price offered by CVB seems awfully high. Have you <br />considered bidding this contract? <br />Overall, the agreement does not appear to be objectionable as <br />presently written, with the above exceptions. <br />ON MOTION by Commissioner Lyons, SECONDED <br />by Commissioner Bird, the Board unanimously <br />approved the Communications Maintenance Service <br />Contract per recommendation in staff memo of <br />June 30, 1982, and authorized the signature of <br />the Chairman. <br />35 <br />
