writing, the Engineer shall cause the names of the engineering <br />firms responsible for the major portions of each separate <br />specialty of the work to be inserted on the reports or other <br />data. <br />SECTION -XV - WARRANTY <br />The Engineer warrants that he has not employed or <br />retained any company or person other than a bona fide employee <br />working solely for the Engineer to solicit or secure this contract <br />and that he has not paid or agreed to pay any company or person <br />other than a bona fide employee working solely for the Engineer <br />any fee, commission, percentage fee, gifts or any other considera- <br />tions, contingent upon or resulting from the award or making of <br />this contract. For breach or violation of this warranty, the <br />County shall have the right to annul this contract without <br />liability. <br />SECTION XVI - CANCELLATION OF AGREEMENT <br />It is expressly understood and agreed that the County <br />may terminate this agreement without penalty by declining to issue <br />work orders, as provided in Section II, in which event the <br />County's sole obligation to the Engineer shall be payment for <br />those units or sections of the work previously authorized in <br />accordance with the provisions of Section XII, such payment to be <br />determined on the basis of the hours of work performed by the <br />Engineer up to the time of termination. In the event of such <br />termination, the County may, without penalty or other obligation <br />to the Engineer, elect to employ other persons to perform the same <br />or similar services in connection with units or sections of the <br />work not previously authorized. <br />SECTION XVII - DURATION OF AGREEMENT <br />This agreement shall remain in full force and effect for <br />a period of two years after the date of execution thereof or until <br />completion of all project phases as specified by Section III - <br />Time for Completion, whichever occurs first, or unless otherwise <br />terminated by mutual consent of the parties hereto or pursuant to <br />Section XVI. <br />-17- &#i(J .1L ?bcE <br />AUG 18 1982 <br />
