preclude the agency from being in direct competition to <br />private business. <br />Commissioner Lyons requested that Attorney Brandenburg <br />and Attorney McDonough get together and reference that part <br />of the Humane Society charter to ascertain the prohibition <br />of competitive services and incorporate that into the sales <br />agreement. <br />Chairman Bird questioned the right to -assign the <br />contract and wanted that deleted from the contract. <br />Attorney McDonough said that he just automatically checked <br />that box on the standard contract and will see that it is <br />changed to non -assignable. <br />Chairman Bird and Commissioner Wodtke questioned the <br />clause giving the County the right of refusal if the Society <br />wanted to sell the property and asked how a fair value price <br />would be determined. Attorney McDonough suggested agreeing <br />on one of various formulas that could be applied. <br />Attorney Brandenburg informed the Board that he would <br />take their comments and draft a sales agreement and submit <br />it through Attorney McDonough to the Humane Society and <br />prepare a resolution to approve it. He advised that a <br />resolution setting forth certain things is required by <br />Florida Statute 125.38 prior to approval of these types of <br />agreements. He would then put it on the next Agenda. <br />Commissioner Lyons felt that they all agreed that we <br />have the basis for a rewrite and a Resolution and that <br />everything would work out. <br />Chairman Bird asked if anyone else wished to be heard. <br />Joan Carlson presented some site plan sketches, and the <br />Board felt it looked very good but noted that it has to go <br />to the Planning Department for formal processing. <br />MAY 8 1983 <br />33 <br />ao�K c,3.
